Pursuant to Law N° 48/2017 of 23/09/2017 governing the National Bank of Rwanda as amended to date especially in Articles 6, 6 bis, 8, 9 and 10, and 15; Pursuant to Law N° 030/2021 of 30/06/2021 governing the organisation of insurance business, especially in its articles 56, 57, 58, 60; Having reviewed Regulation N° 30/2019 of 16/12/2019 on publication of financial statements and other disclosures by insurers In the context of being accountable to the public for the growth of fair and orderly insurance sector; The National Bank of Rwanda, hereinafter referred to as “ Supervisory Authority”, issues the following regulation:

CHAPTER ONE: GENERAL
PROVISIONS
Article One: Purpose
The purpose of this Regulation is to establish the requirements for publication of relevant, comprehensive and adequate financial statements and other disclosures on a timely and regular basis by insurers in order to give policyholders and potential policyholders and other insurance market participants a clear view of their business activities in order to:
1° ensure that every insurer maintains a level of adequate transparency enabling potential policyholders and other market participants to make informed decisions; 2° promote and maintain public confidence in the insurance sector; 3° enhance market discipline; and 4° promote competition among market players. CHAPITRE PREMIER: DISPOSITIONS GÉNÉRALES
Article premier: Objet
Le présent Règlement a pour objet d’établir les exigences relatives à la publication des états financiers et autres informations appropriés, complets et adéquat par les assureurs de manière opportune et régulière afin de donner aux assurés, assurés potentiels et autres acteurs du marché d’assurance une vision claire de leurs activités commerciales dans le but de:
1° s’assurer que chaque assureur maintient un niveau de transparence suffisant permettant aux assurés potentiels et autres participants du marché de prendre des décisions éclairées ; 2° promouvoir et maintenir la confiance du public dans le secteur des assurances; 3° renforcer la discipline du marché ; et 4° promouvoir la concurrence entre les acteurs du marché.

Article 2: Scope
This Regulation applies to all insurers operating on the territory of the Republic of Rwanda.
Article 3: Definitions of terms
For the purpose of this Regulation, the following terms mean:
1° insurer: a licensed or authorized legal entity which carries out insurance business; 2° insurance business: activity of assuming risks or undertaking liability related to insurance arrangements and reinsurance in accordance with the Law governing organization of insurance business or other laws applicable in Rwanda; 3° Unexpired Risks Reserve (URR): a reserve account opened at the discretion of an insurer when it believes the amount of funds kept in

Ce Règlement s’applique à tous les assureurs opérant sur le territoire de la République du Rwanda.
Article 3: Définitions des termes
Aux fins du présent Règlement, les termes suivants signifient:
1° assureur : personne morale agréée ou autorisée d’exercer l’activité d’assurance ; 2° activité d’assurance: activité de prise en charge au titre d’un arrangement d’assurance et de réassurance en vertu de la loi régissant l’activité d’assurance ou d’autres lois applicables au Rwanda; 3° Réserve des risques non expirés :
compte de réserve ouvert à la discrétion de l’assureur lorsqu’il estime que le montant des fonds conservés sur le

the premium corresponding to the time period remaining on an insurance policy and it is proportionate to the unexpired portion of the insurance; 5° reserve for Incurred But Not Reported claims (IBNR): amount owed by an insurer to all valid claimants who have had a covered event but have not yet reported it; 6° life assurance provisions:

Article 4: Standards of information
The board of directors of an insurer shall ensure that financial statements are prepared in accordance with International Financial Reporting Standards (IFRS). The financial statement and audit of public insurers shall be done in accordance with the laws relating to audit and public accounting and the laws governing such institutions.
Article 5: Criteria for information to be
disclosed
Every information to be disclosed by an insurer under this Regulation shall be:
1° comprehensive, meaningful and concise; 2° reliable, as a basis upon which

Toute information devant être publiée par l’assureur en vertu du présent Règlement doit être:
1° complète, significative et concise; 2° fiable, en tant que base même de prise

1° imibare cyangwa ibisobanuro byayocyangwa byombi; 2° amakuru y’igihe cyahise, ay’igihe cya none cyangwa ay’ahazaza, cyangwa yose akomatanyirijwe hamwe. decisions are made; 3° timely published and up-to-date at the time decisions have to be made; 4° presented under the same format as described in the disclosure policy; 5° consistent over time so as to enable relevant trends to be discerned; 6° without error, not defective, not misleading.
Article 6: Composition of information to
be published
The information to be disclosed shall comprise of the following:
1° qualitative or quantitative elements, or any appropriate combination thereof ; 2° historical, current or prospective elements, or any appropriate combination thereof. des décisions; 3° publiée en temps opportun et actualisée, au moment où les décisions doivent être prises; 4° présentée sous le même format que celui décrit dans la politique de déclaration d’informations; 5° cohérente au fil du temps afin de permettre de dégager les tendances appropriées ; 6° sans erreur, non défectueuse et non trompeuse.
Article 6: Composition des informations à
publier
Les informations à communiquer comprennent les éléments suivants :
1° les éléments qualitatifs ou quantitatifs, ou toute combinaison appropriée de ceux-ci et; 2° éléments historiques, actuels ou prospectifs, ou toute combinaison appropriée de ceux-ci.

1° ibigize amakuru, ibyifashishwa mu kuyatangaza, ururimi atangazwamo, ireme ryayo n’inshuro atangazwa; 2° uburyo bukurikizwa mu gutangaza amakuru y’ingenzi; 3° ingamba zigamije kugenzura cyangwa gusuzuma ukuri kw’amakuru yatangajwe ; 4° uburyo bukurikizwa mu gucunga ibishobora guteza ingorane byakomoka ku makuru yatangajwe; no 5° indi ngingo iyo ari yo yose inama y’ubutegetsi ibona ko ari ingirakamaro.
Article 7: Responsibilities of the board of
directors
The Board of Directors of an insurer shall be responsible for the adherence and compliance with the provisions of this Regulation. Subject to the provisions of this Regulation, the board of directors of an insurer shall develop a policy on publication of information that shall, at minimum, consider the following:
1° contents, medium, language, quality and frequency of the publication of information ; 2° the procedure for publication of material information; 3° mecanisms for verifying or reviewing the accuracy of the published information; 4° procedures for managing possible risk that may result from publication of information; and 5° any other element that the board may consider useful.
Article 7: Responsabilités du Conseil
d’administration
Le Conseil d’administration d’un assureur est responsable du respect et de la conformité aux dispositions du présent Règlement. Sous réserve des dispositions du présent règlement, le conseil d’administration d’un assureur doit élaborer une politique de publication d’information qui, à tout le moins, tenir compte des éléments suivants:
1° le contenu, le support, la langue, la qualité et la périodicité de publication de l’information ; 2° la procédure de publication d’informations importantes; 3° les mécanismes permettant de vérifier ou d’examiner l’exactitude des informations publiées; 4° les procédures de gestion des risques pouvant résulter de la publication d’informations; et 5° tout autre élément que le Conseil d’administration pourrait juger utile.

Article 8: Responsibilities of the senior
management
Senior management of an insurer shall be responsible for developing and implementing an internal review system to ensure timely publication of accurate, complete and relevant information.
Article 9: Risks inherent to publication
An insurer shall identify material risks, their severity and frequency inherent to the information to be disclosed and their management. At the request of an insurer, the Supervisory Authority may permit to not publish certain information for any of the following reasons:

Article 8: Responsabilités de la direction

Article 9: Risques inhérents à la publication
Un assureur doit identifier des risques importants, leur gravité et leur périodicité inhérents aux informations à publier, ainsi que leur gestion. A la demande de l’assureur, l’Autorité de contrôle peut autoriser au demandeur de ne pas publier certaines informations pour une des raisons suivantes :
1° telle publication permettrait à ses concurrents d’obtenir un avantage indu

Ingingo ya 11 : Ibikubiye muri raporo z’imari Raporo z’imari z’igihembwe zitagenzuwe na raporo z’imari z’umwaka zigenzuwe advantage; 2° there are obligations to policyholders or other counterparty relationships binding an insurer to secrecy or confidentiality; 3° the publication can cause harm to the insurer or the insurance sector in general.
CHAPTER II: PUBLICATION OF
INFORMATION
Article 10: Information to be published
An insurer shall publish the following information:

Article 12: Contents of the integrated
report
The integrated report shall at least contain:
1° the annual activities of the insurer; 2° the concise insurer’s strategy, governance and performance; 3° the link between the insurer’s financial performance and its wider social, environmental and economic context; 4° the way how the insurer’s create value over the short, medium and long term; 5° Qualitative and quantitative information provided in this Regulation.
Article 13: Submission of information to
be published
An insurer shall submit to the Supervisory Authority, for notification, information to be published within 3 working days before publication date.
Article 12 : Contenu du rapport intégré
Le rapport intégré doit au moins contenir:

Article 16: Evidence of publication
Within three (3) working days as from the date of publication, an insurer shall submit to the Supervisory Authority an evidence of accomplished publication. In case of publication in newspapers, the insurer shall submit a copy of pages of the newspaper containing the accomplished publication.
Article 17: Effect of breach of article 5
The Supervisory Authority may order any of the following in case an information has been published in breach of Article 5 of this Regulation:

Article 18: Duration and continuous
accessibility of information The annual audited financial statements and integrated report shall be available on the relevant insurer’s website for a minimum period of at least five (5) years from the date of publication. Article 19: Institutional profile
Every insurer shall disclose to the public detailed information on institution profile in a way that is accessible to market participants. The information about insurer’s profile shall cover the following:
1° the nature of business, and a general description of key products; 2° the external environment in which it operates; 3° the insurer’s objectives, and le site Internet de l’assureur. Article 20: Corporate governance

Article 21: Capital adequacy
An insurer shall disclose to users information that enables them to evaluate its objectives, policies and processes for managing the capital and to assess its capital adequacy. The disclosure of such information shall encompass a description of the capital management that shall include at least the following:
1° the regulatory capital requirements; 2° instruments regarded as available capital; 3° the policies and processes for managing capital; 4° key risks and measures which influence the capital calculation; and 5° the insurer’s risk tolerance policy. infrastructures de gestion.

1° valuation methods of liabilities and assets; 2° the future cash flow assumptions; 3° the rationale for the choice of discount rates; 4° risk adjustment methodology, where used; and 5° other information as appropriate to provide a description of the method used to determine technical provisions.
Article 23: Insurance risk exposures and
their management

Article 25: Investment information
disclosures
Insurer shall disclose the financial position of an insurer that includes appropriately detailed quantitative and qualitative information about financial instruments and other investments by class. Insurers shall disclose the following additional information:
1° investment objectives; 2° policies and processes; 3° values, assumptions and methods used for financial reporting and solvency purposes, as well as an explanation of the differences (where applicable); and 4° information concerning the level of sensitivity to market variables hypothèses utilisées pour évaluer les actifs et les passifs aux fins de la gestion actif-passif, ainsi que les fonds propres et/ou les provisions détenus en conséquence d’un écart entre les actifs et les passifs.

Article 29: Bilateral meeting with external
auditors
The Supervisory Authority may convene a meeting with external audit firms at least once year and whenever deemed necessary by the Supervisory Authority to discuss issues of common interest relating to the insurer’s operations.
Article 30 Corrective measures
If an insurer fails to publish its financial statements on time without prior authorization of the Supervisory Authority, misrepresent its financial statements or fails to comply with the provisions of this regulation, it shall be subject to applicable corrective actions and sanctions.
Article 31: Repealing provisions
