Issuing institutions must include specific clauses in Financial Letters, such as conversion into shares and subordination to other liabilities, to compose Reference Equity. The payment of these instruments is subordinate to other liabilities, except Principal Capital elements, and their purchase is not subject to financing by the issuer. Early redemption requires Central Bank of Brazil authorization, and clauses altering raised value or remuneration conditions post-issuance are ineffective.
Provides for the deposit of Financial Letters in an entity authorized by the Central Bank of Brazil and for the authorization to use funds raised through Financial Letters in the composition of Reference Equity.

The amendment, alteration, or revocation of the provisions of this Subordination Core and the other issuance conditions of the Financial Letter depend on prior authorization from the Central Bank of Brazil.
The payment of this Financial Letter is subordinate to the payment of other liabilities of the issuing institution, with the exception of the payment of the elements that compose the Principal Capital, in the event of dissolution of the issuing institution.
This Financial Letter will not be subject to guarantee, insurance, or any other mechanism that obliges or permits payment or transfer of resources, directly or indirectly, from the issuing institution, an entity within the conglomerate, or a non-financial controlled entity, to its holder, in a manner that compromises the subordination condition referred to in item 3.
Any clause of this Financial Letter or of another accessory document that, directly or indirectly, alters the originally raised value, including through agreements that obligate the issuing institution to compensate the investor if a new instrument is issued with better remuneration conditions, is considered ineffective, with the exception of repurchase and redemption cases, when provided.
The purchase of this Financial Letter is not subject to financing, direct or indirect, by the issuing institution.
The maturity of this Financial Letter is conditioned, exclusively, to the occurrence of the dissolution of the issuing institution or to the default of the obligation to pay the remuneration stipulated herein.
The payment of the values related to this Financial Letter is made in cash.
The repurchase and early redemption of this Financial Letter, even if carried out indirectly through an entity within the conglomerate or by a non-financial entity controlled by the issuing institution, are conditioned on authorization from the Central Bank of Brazil, except in the cases provided for in arts. 5, § 6, and 10, § 4, of Resolution No. 4.733, of June 27, 2019.
Any clause of this Financial Letter or of another accessory instrument that provides for the variation of remuneration conditions after its issuance, including due to fluctuations in the credit quality of the issuing institution, is considered ineffective.
The payment of the remuneration of this Financial Letter will occur only with resources from profits and profit reserves distributable in the last reporting period, with payments exceeding these resources suspended.
In the event of imposition by the Central Bank of Brazil on the issuing institution of restrictions on the distribution of dividends or other results related to shares, quotas, or quota shares eligible for Principal Capital, the payment of the remuneration of this Financial Letter will be suspended in the same proportion as the imposed restriction.
The payment of the remuneration of this Financial Letter will be suspended in the same percentages as those referred to in Art. 9, § 4, of Resolution No. 4.193, of March 1, 2013, or any that may succeed it, in the event of:

The occurrence of the situations provided for in items 11 to 16 will not be considered a default event or other factor that generates the acceleration of debt maturity in any legal transaction involving the issuing institution.
The effectiveness of items 11 to 15 is conditioned on the validity of the Central Bank of Brazil's authorization to use the funds raised through this Financial Letter for the purpose of composing PR, so that it will cease in the event of cancellation of said authorization, which may occur, among other cases arising from regulation, in case of non-compliance with the terms of this Subordination Core, even if the acts or clauses causing the violation are deemed ineffective.
