BRPD Circular Letter No. 23: Prohibiting presence of non-member at bank's Board Meetings and excess benefits to directors

The circular prohibits the presence of non-members, such as outsiders or shareholders, at board meetings of registered banks in Bangladesh, restricting attendance to directors, the Managing Director, the Company Secretary, and relevant officers only when presenting specific items. It further instructs banks to strictly adhere to Section 18(1) of the Bank Companies Act 1991 by ensuring that directors receive no financial benefits or facilities beyond the fixed fee for attending board meetings. Banks are required to present this circular at their next board meeting.
