Circular CONAU 1 - 963: Distribution of Results. Adjustments.

Financial entities must obtain Superintendence authorization at least 30 business days before shareholder approval to distribute results. Distributions are prohibited if average minimum cash falls below requirements, if minimum capital is less than the recalculated requirement plus 75%, or if the entity receives Central Bank illiquidity assistance. For foreign branches, the regulator also considers parent house liquidity and solvency. Distributable amounts derive from unassigned results and discretionary reserves, minus mandatory legal and statutory reserves. This circular replaces specific paragraphs in the rules on "Distribution of results" and updates related reporting sheets, effective 27/01/2012.
