Rule · BCRA · 6 Feb 2004 · A 4093
Financial entities must ensure immobilized assets do not exceed 100% of computable net worth, with holdings granting control liquidated within one year. Refinancings require original compliance, non-disbursement, and target companies with >50% shareholding. Defaults increase minimum capital requirements by 100% or 130% of excesses, while repeated defaults trigger a regularization plan within 30 days. Non-compliance prohibits dividend distribution and subsidiary installation. Effective 06/02/2004, this replaces specific points in the rules on Immobilized Assets and Credit Graduation.

Credit Risk Fractionation and Rules on "Relationship for Immobilized Assets and Other Concepts" and "Credit Graduation".
Modifications.
We address you to inform you that this Institution adopted the following resolution:
“1. Replace point 4.1. of Section 4. of the rules on "Relationship for Immobilized Assets and Other Concepts" with the following:
“4.1. Maximum Limit.
Immobilized assets and other concepts, computed as provided in Section 3., shall not exceed -calculated jointly- 100% of the computable net worth of the financial entity for the corresponding month.”
Eliminate the third paragraph of point 7.1. of Section 7. of the rules on "Relationship for Immobilized Assets and Other Concepts".
Exclude, until 12.31.05, Compensation Bonds or Promissory Notes received in accordance with articles 28 and 29 of Decree 905/02 and amendments, for the purpose of determining the relationship indicated in point 2.1. of Annex II of Communication “A” 2140.
Incorporate as point 2.2. in Section 2. of the rules on "Relationship for Immobilized Assets and Other Concepts" the following:
“2.2. Exclusions.
Credit assistance related to activities contemplated in points 2.2.6. and 2.2.8. of Section 2. of the rules on "Complementary Services of Financial Activity and Permitted Activities", to the extent that shareholdings, direct or indirect, exceeding 50% of the social capital and 50% of the total votes are maintained.”
“6.4.1. Refinancings that observe the following conditions:
i) The financing was originally granted in accordance with the limits of point 3.1. of Section 3. ii) They are granted to borrowers not affiliated with the financial entity included at the time of refinancing in categories 3 to 5 according to the rules on "Classification of Debtors", or iii) They are granted to companies whose corporate object is the development of the activities listed in points 2.2.6. and 2.2.8. of Section 2. of the rules on "Complementary Services of Financial Activity and Permitted Activities" in which shareholdings, direct or indirect, exceeding 50% of the social capital and 50% of the total votes are maintained. iv) Do not imply disbursement of funds.”
“2.1. Included Concepts.
Financing to affiliated clients -with the exception of those included among immobilized assets (point 1.1.)- covered by the rules on credit risk fractionation, without prejudice to the observance of those provisions.”
Provide that, until 12.31.04, assets taken in defense or in payment of credits incorporated into the entity's patrimony until 03.31.03 will not be counted for the "Relationship for Immobilized Assets and Other Concepts".
Establish that the amount of the excess recorded in the "Relationship for Immobilized Assets and Other Concepts", not exceeding that verified on 12.31.03, less assets taken in defense or in payment of credits as established in point 7. of this resolution, will not be counted until 12.31.04, to determine the limitations established in point 2.3. of Section 2. of the rules on "Default on Minimum Capital and Technical Relationships. Applicable Criteria."”
We clarify that the preceding resolution has been in force since January 2004 and we send you attached the sheets that should replace those previously provided to be incorporated into the ordered texts of the rules on "Relationship for Immobilized Assets and Other Concepts" and "Credit Graduation", adding that both texts contemplate other adjustments to remedy formal aspects and omissions (points 1.1.1., 1.1.2.3., 1.2.1., 3.1.1., 3.1.2.1., 3.2. and 5.5., and index and points 2.2.11., 3.2.2., 6.2., 6.3., 6.4., 6.5., 6.6., 6.7. and 9.1., respectively).

Section 3. Maximum Limits.
Validity:
06/02/2004
3.2. For participations in the capital of companies that do not provide complementary services of financial activity.
3.2.1. Maximum Limit.
12.5% of social capital, not exceeding 12.5% of votes or, in cases where percentages are lower, when the participation grants the votes necessary to form the social will in shareholders' meetings or to adopt decisions in board meetings or similar body, without prejudice to the observance of the maximum limits applicable to all financings included.
3.2.2. Exceptions.
Participations in the capital of companies whose exclusive object is:
3.2.2.1. Coverage of collective disability and death and retirement insurance provided for in Law 24.241.
3.2.2.2. Real estate intermediation between third parties, fulfilling mandates expressly agreed upon with their clients.
3.2.2.3. Intermediation of general insurance contracts, as principal agents adjusting to current legal and regulatory provisions in the matter and mass marketing of insurance included in Executive Decree 855/94 and Resolution No. 23.469 of the Superintendence of Insurance of the Nation.
Prior authorization from the Superintendence of Financial and Currency Entities is required.
3.3. Credits ceded to common credit funds.
During the period of placement of quota shares of a common credit fund to which the entity cedes its credits, the maximum relationships fixed in matters of credit graduation will continue to be observed with respect to the ceded credits, in the proportion that represents the holding of quota shares in relation to the total issued.

Section 6. Defaults.
Validity:
06/02/2004
6.1. Computation of Excesses of the Supplementary Margin.
Excess will be considered the total of financings granted with imputation to the supplementary margin when they do not have the required authorizations or they do not appear in the corresponding minutes books.
6.2. Effects.
Excesses to the maximum limits fixed will determine the application of the treatment established in points 6.3. and 6.4., as applicable.
The application of that treatment, in no case, may imply the superposition of increase in minimum capital requirement for credit risk when, with respect to the same client, there are also excesses to the maximum limits on credit risk fractionation. In these situations, the greater increase in requirement resulting from considering these relationships separately must be observed.
6.3. Defaults Reported by Entities.
6.3.1. Information Entered on Time.
Will originate an increase in the minimum capital requirement for credit risk by an amount equivalent to 100% of the excess to the relationship, starting from the month in which the defaults are recorded and while they remain. The computation of the deviation will be carried out based on the monthly average of daily excesses.
6.3.2. Information Entered Late.
Will originate an increase in the minimum capital requirement for credit risk by an amount equivalent to 100% of the excess to the relationship, starting from the month in which the information is entered, while the default persists and, additionally once regularized, for a number of months equal to the number of periods during which the unreported excess was verified by the entity. The computation of the deviation will be carried out considering the highest amount of excess recorded in the periods covered by the late-entered information and in the following ones, as long as the default remains and even if the information for subsequent periods is entered on time and properly. Such computation will be carried out considering the highest daily amount of excess, with respect to the clients that originated it, recorded in such periods.

Section 6. Defaults.
Validity:
06/02/2004
6.3.3. Repeated Defaults.
6.3.3.1. Definition.
It refers to the non-observance of the relationship in successive periods or with an interval of less than 3 months, derived from voluntary acts (for example: granting financing to a client whose assistance already exceeds the limits and excesses of assistance to different clients in different periods).
6.3.3.2. Consequences.
Will determine that the increase in the minimum capital requirement for credit risk be equivalent to 130% of the excess recorded in the relationship.
6.4. Defaults Detected by the Superintendence of Financial and Currency Entities.
6.4.1. Defense.
The entity will have 30 calendar days counted from the notification of the determination made by the Superintendence of Financial and Currency Entities to present its defense, on which it must issue a ruling within the next 30 calendar days after presentation.
6.4.2. Final Determination.
6.4.2.1. When the entity does not present its defense within the deadline indicated in point 6.4.1., the determination will be considered final on the day the deadline for presenting the defense expires.
6.4.2.2. If the defense presented is rejected -totally or partially- by the Superintendence of Financial and Currency Entities, the default will be considered final on the date of notification of the decision adopted.
6.4.3. Treatment of Determined Default.
Will originate an increase in the minimum capital requirement for credit risk by an amount equivalent to 150% of the excess to the relationship starting from the month it becomes final, while the default persists and, additionally once regularized, for a number of months equal to the number of periods during which the default detected by the Superintendence was verified.

Section 6. Defaults.
Version: 1st COMMUNICATION "A" 4093
Validity:
06/02/2004
The computation of the deviation will be carried out considering the highest amount of excess recorded in the mentioned periods and in the following ones, as long as the default remains and even if the information for subsequent periods is entered on time and properly. Such computation will be carried out considering the highest daily amount of excess, with respect to the clients that originated it, recorded in such periods.
6.5. Other Consequences.
6.5.1. Impediment for:
6.5.1.1. Transformation of financial entities.
6.5.1.2. Installation of subsidiaries in the country and abroad.
6.5.1.3. Installation of representation offices abroad.
6.5.1.4. Participation in financial entities abroad.
6.5.2. Limitations on Deposit Growth.
The provisions established in point 2.3. of Section 2. of the rules on "Default on Minimum Capital and Technical Relationships. Applicable Criteria" apply.
6.6. Accounting Exposure.
Defaults must be reported in notes to financial statements according to the criteria established by the Superintendence of Financial and Currency Entities.
6.7. Admitted Excesses.

6.7.2. Financings that are 100% Provisioned.
The admission of these excesses will take effect from the same month in which provisions have been constituted to reach that percentage.
Admitted excesses will not be considered defaults, for the purposes of applying the treatment established in points 6.3., 6.4. and 6.5.
Additional facilities will only be admitted to the debtors included if they imply disbursements of funds provided that the new assistance granted and the assistance granted previously do not exceed the limits established in point 3.1. of Section 3. Non-observance of the limitation mentioned in the previous paragraph will determine, starting from the month in which this occurs, the computation of the amount of each disbursement as an excess for the purposes of applying the procedure established for defaults.

Section 9. Transitional Provisions.
Validity:
06/02/2004
9.1. Shares Received in Payment of Credits.
With validity until 12.31.04, financial entities may receive shares or participations in the capital of companies in payment of credits, up to the limit of 20% of social capital, not exceeding 20% of votes, with respect to companies that do not provide complementary services of financial activity, subject to the following conditions.
9.1.1. Holdings that Grant Control.
When the incorporation of these assets grants control of the society, within 90 days counted from the date of their incorporation, the financial entity must present to the Central Bank of the Argentine Republic an action plan to liquidate the holding. In the event that the Central Bank makes observations to the presented plan, the entity must adjust it accordingly within 10 calendar days of notification. Failure to present the plan within the fixed terms, its rejection or non-compliance will give rise to the application of article 41 of Law 21.526. These assets must be liquidated within a period of 1 year to reach the admitted holding limit of 12.5% of social capital or less that does not grant control, according to what is established in point 3.2. of Section 3. The aforementioned term may be extended for a maximum of one year, provided there is prior authorization from the Superintendence of Financial and Currency Entities, for which the corresponding request must be presented no less than 30 days in advance of the expiration of the term referred to in the preceding paragraph.
9.1.2. Holdings that Do Not Grant Control.
Must be liquidated within a maximum period of 1 year to reach the admitted holding limit of 12.5% of social capital or less that corresponds.
The incorporation of these assets must be effected at the value of the credit (net of provisions for uncollectible risk attributable to it) or, if applicable, the proportional patrimonial value arising from an audited balance sheet with an age not exceeding 60 days, whichever is lower. Positive adjustments subsequently made on the incorporation value of these assets must have the prior opinion of the entity's external auditor. Shares or participations of companies received will be subject to the limit established in Section 7. of the rules on "Relationship for Immobilized Assets and Other Concepts".
