Demutualization of a Self-Regulatory Organisation (FM.S.3.5)

The Namibia Financial Institutions Supervisory Authority issued Standard FM.S.3.5 to establish the regulatory framework and approval process for self-regulatory organizations converting from unincorporated associations to companies with share capital. The standard mandates specific voting thresholds, public notice periods, and comprehensive application documentation, including valuation reports and governance plans, to ensure functional separation of commercial and regulatory duties. It further requires demutualized entities to adopt board structures dominated by independent directors, implement strict shareholding and voting caps, and maintain robust oversight committees to preserve market integrity.
