Directive for effective governance of the trustee of any debt securities

The Bangladesh Securities and Exchange Commission requires trustees of debt securities or Islamic Shariah-based securities to maintain a professional team including a legal adviser with at least five years' experience and a Shariah adviser for Islamic instruments. Compliance officers must have five years' relevant experience, hold a top-five rank within the trustee, and cannot serve for more than ten securities simultaneously. Entities are capped at managing forty securities simultaneously, with total exposure limited to 100 times paid-up capital or 75 times net worth if net worth is lower. The directive prohibits entities from acting as trustees if their memorandum does not expressly permit it, requires directors to not be bank defaulters, and takes immediate effect.
