This regulation establishes comprehensive rules for the issuance and distribution of bonus shares by public companies in Indonesia, defining bonus shares as dividends paid in stock or capitalized from share premium and other equity elements. It mandates strict information disclosure requirements, including detailed source and valuation data, prior to the General Meeting of Shareholders, and prohibits misleading statements regarding the distribution. The regulation specifies calculation methods for the number of shares based on market price relative to nominal value, sets a 30-day execution deadline after the shareholder meeting resolution, and imposes administrative sanctions for non-compliance.
