Rule · OJK · 8 Dec 2014 · 35/POJK.04/2014
The Financial Services Authority mandates that issuers or public companies must establish a company secretary function, either through an individual or a dedicated unit, with specific qualifications including legal capacity, knowledge of law and finance, and residency in Indonesia. The regulation defines the secretary's duties, such as ensuring information transparency, facilitating board meetings, and maintaining confidentiality, while requiring the appointment of a replacement within 60 days of any vacancy. Issuers are obligated to report appointments and terminations to the regulator and publish them on their website within two working days, and must include a summary of the secretary's activities and training in their annual reports. Non-compliance subjects parties to administrative sanctions, including written warnings, fines, business restrictions, or license revocation.
