Intendancy Resolution of the General Directorate of Research and Innovation No. 001-2022-SMV/12.1 Lima, March 4, 2022

HAVING SEEN:

File No. 2022002999, regarding the request for authorization to organize a managing society for a financial participatory financing platform, whose name will be Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C., as well as Report No. 313-2022-SMV/12.1 dated March 3, 2022;

CONSIDERING:

That, by letter dated January 26, 2022, Mr. Martín Alonso Reaño Avendaño and Mr. Luis Alonso León Lozano requested authorization for the organization of a managing society for financial participatory financing to be named Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C.;

That, according to the information presented, the organizers mentioned in the preceding paragraph will hold shareholdings of 70.00% and 30.00% respectively, in the social capital of Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C.;

That, from the evaluation of the documentation presented, it is evident that the organizers of Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C. have met the requirements for obtaining the organizational authorization established in Articles 7 and 8 of the Regulation of the Activity of Financial Participatory Financing and its Managing Societies, approved by SMV Resolution No. 045-2021-SMV/02 (hereinafter, the Regulation), as developed in Report No. 313-2022-SMV/12.1 of the General Directorate of Research and Innovation;

That, furthermore, since no objections were raised regarding the organization of the aforementioned Managing Society for Financial Participatory Financing Platform or the persons organizing it, within the timeframe established by Article 8 of the Regulation, the requested authorization must be granted;

Being governed by what is stipulated in Title IV of Urgency Decree No. 013-2020, through which the Executive Power approved measures promoting the financing of SMEs, Entrepreneurships and Startups; in Chapter I of Title II of the Regulation; as well as what is stipulated in numeral i), of clause 11, of Article 53°, of the Regulation of Organization and Functions of the Securities Market Superintendence, approved by DS No. 216-2011-EF and its amendments;

RESOLVES:

Article 1°.- Grant to Mr. Martín Alonso Reaño Avendaño and Mr. Luis Alonso León Lozano, the organizational authorization for a managing society for a financial participatory financing platform to be named Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C.

Article 2°.- The organizational authorization referred to in the preceding article will have a non-renewable validity of one (01) year from its notification to the organizers.

Article 3°.- This resolution does not authorize Proyecto Crowd Managing Society for Financial Participatory Financing Platform S.A.C. to carry out the activity of financial participatory financing. For this purpose, it must previously obtain the respective operational authorization from the Securities Market Superintendence.

Article 4°.- This resolution must be published in the Official Gazette El Peruano within a period not exceeding fifteen (15) business days.

Article 5°.- Order the dissemination of this resolution on the Portal of the Securities Market of the Securities Market Superintendence (www.smv.gob.pe).

Article 6°.- Notify this resolution to Mr. Martín Alonso Reaño Avendaño, in his capacity as representative of the organizers.
