HAVING REVIEWED:

File No. 2021021897, regarding the request for authorization to organize a society administrator of a financial participatory financing platform, whose name will be FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C., as well as Report No. 847-2021-SMV/12.1 of August 05, 2021;

CONSIDERING:

That, by writing dated June 02, 2021, Finsmart S.A.C. and Mr. Diego Luis Escobal Castillo and Mr. José Martín Huapaya Castañeda, requested authorization for the organization of a society administrator of a financial participatory financing platform that will be named FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C;

That, according to the information presented, the organizers mentioned in the preceding paragraph will have a shareholding participation of 99.98%, 0.01% and 0.01% respectively, in the share capital of FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C;

That, from the evaluation of the documentation presented, it is evident that the organizers of FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C. have met the requirements for obtaining the organizational authorization established in articles 7 and 8 of the Regulation of the Activity of Financial Participatory Financing and its Administrator Societies, approved by SMV Resolution No. 045-2021-SMV/02 (hereinafter, the Regulation), as developed in Report No. 847-2021-SMV/12.1 of the General Directorate of Economic Studies;

That, likewise, since no objections were filed regarding the organization of the platform administrator society for financial participatory financing nor regarding the persons organizing it, within the term established by article 8 of the Regulation, it corresponds to grant the requested authorization;

Given the provisions of Title IV of Urgency Decree No. 013-2020, through which the Executive Power approved measures that promote the financing of SMEs, Entrepreneurships and Startups; in Chapter I of Title II of the Regulation; as well as the provisions of Memorandum No. 80-2021-SMV/02 of June 17, 2021;

RESOLVES:

Article 1.- Grant to Finsmart S.A.C. and to Mr. Diego Luis Escobal Castillo and Mr. José Martín Huapaya Castañeda, the organizational authorization of a society administrator of a financial participatory financing platform that will be named FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C.

Article 2.- The organizational authorization referred to in the preceding article will have an unextendable validity of one (01) year from its notification to the organizers.

Article 3.- This resolution does not authorize FS CROWD Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero S.A.C. to carry out the activity of financial participatory financing. For this, it must previously obtain the respective operational authorization from the Securities Market Superintendence.

Article 4.- This resolution must be published in the official newspaper El Peruano within a period not exceeding fifteen (15) business days.

Article 5.- Order the dissemination of this resolution on the Portal of the Securities Market of the Securities Market Superintendence (www.smv.gob.pe).

Article 6.- Notify this resolution to Mr. Diego Luis Escobal Castillo and Ms. Rosa Jacqueline Escobar Rodas, in their capacity as representatives of the organizers.
