SEEN:

File No. 2025040976, regarding the request for authorization to organize a financial participatory financing platform administrator company, to be named "Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada", as well as Report No. 1572-2025-SMV/12.1 dated October 31, 2025;

CONSIDERING:

That, by writing dated September 17, 2025, Mr. Gonzalo Espinosa Anaya and Mr. Pierre Rimarachin Tucto, requested authorization for the organization of a financial participatory financing platform administrator company to be named "Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada".

That, according to the information presented, the organizers mentioned in the preceding paragraph will have a shareholding participation of 99% and 1% respectively, in the social capital of Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada;

That, from the evaluation of the documentation presented, it is evident that the organizers of Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada, have met the requirements for obtaining the organization authorization established in articles 7 and 8 of the Regulation of the Activity of Financial Participatory Financing and its Administrator Companies, approved by SMV Resolution No. 045-2021-SMV/02 (hereinafter, Regulation), as developed in Report No. 1572-2025-SMV/12.1 of the General Directorate of Research and Innovation;

That, likewise, since no objections have been presented to the organization of the aforementioned Financial Participatory Financing Platform Administrator Company nor to the persons who would organize it, within the period established by article 8 of the Regulation, it corresponds to grant the requested authorization;

Being in accordance with what is established by Title IV of Urgency Decree No. 013-2020, through which the Executive Power approved measures that promote the financing of SMEs, Entrepreneurships and Startups; in Chapter I of Title II of the Regulation; as well as what is established in numeral i), of clause 11, of article 53° of the Regulation of Organization and Functions of the Securities Market Superintendence, approved by Supreme Decree No. 216-2011-EF and its amendments;

IT IS RESOLVED:

Article 1°.- Grant to Mr. Gonzalo Espinosa Anaya and Mr. Pierre Rimarachin Tucto, the organization authorization of a financial participatory financing platform administrator company that will be named Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada.

Article 2°.- The organization authorization referred to in the preceding article will have an unextendable validity of one (01) year from its notification to the organizers.

Article 3°.- This resolution does not authorize the named Fondea Peru.io Sociedad Administradora de Plataforma de Financiamiento Participativo Financiero Sociedad Anónima Cerrada, to carry out the activity of financial participatory financing. For this, it must previously obtain the respective operating authorization from the Securities Market Superintendence.

Article 4°.- This resolution must be published in the Official Gazette El Peruano within a period not exceeding fifteen (15) business days.

Article 5°.- Order the dissemination of this resolution on the Institutional Page of the Securities Market Superintendence – SMV on the Single Digital Platform of the Peruvian State (www.gob.pe/smv).

Article 6°.- Notify this resolution to Mr. Gonzalo Espinosa Anaya and Mr. Pierre Rimarachin Tucto in their capacity as organizers.
