Considering:
That, through writings submitted on September 1 and 14, 2026, Caja Rural de Ahorro y Crédito Los Andes S.A. requested the Superintendency of the Securities Market – SMV, within the framework of an anticipatory procedure, the registration of the issuance program called "First Subordinated Bond Program Caja Los Andes" for an amount up to S/ 60’000,000.00 (Sixty Million and 00/100 Soles), and the registration of the corresponding Framework Prospectus in the Public Securities Market Registry; and, within the framework of the referred issuance program, the registration of the securities titled "First Issuance of the First Subordinated Bond Program Caja Los Andes" for an amount up to S/ 12’000,000.00 (Twelve Million and 00/100 Soles), as well as the registration of the respective Framework Prospectus Supplement in the Public Securities Market Registry and in the Securities Registry of the Lima Stock Exchange.
That, from the review carried out in the framework of the request to which this resolution pertains, it was observed that at the Mandatory Annual General Shareholders' Meeting of Caja Rural de Ahorro y Crédito Los Andes S.A., held on March 26, 2026, it was unanimously approved the issuance program called "First Subordinated Bond Program Caja Los Andes" for a total circulating amount of S/ 60’000,000.00 (Sixty Million and 00/100 Soles) or its equivalent in United States Dollars; and the delegation of powers to the Board of Directors to determine each and every term, condition and characteristic of the referred program and its issuances, without reservation or limitation; as well as the authorization for the Board of Directors of Caja Rural de Ahorro y Crédito Los Andes S.A. to delegate to the General Manager or other officials all the aforementioned powers.
That, taking into account the agreement mentioned in the preceding consideration, at the Board of Directors meeting of Caja Rural de Ahorro y Crédito Los Andes S.A., held on March 26, 2026, the granting of powers and the authorization to gentlemen Javier Sanchez Griñan Caballero and Jorge Enrique Siu Rivas, so that either of them, acting jointly or individually, may define all terms, characteristics and conditions of the subordinated bond program, as well as its issuances, without reservation or limitation, was approved.
That the Superintendency of Banking, Insurance and Private Pension Fund Administrators – SBS, by SBS Resolution No. 02078-2026 of August 19, 2026, issued a favorable opinion for Caja Rural de Ahorro y Crédito Los Andes S.A. to carry out the "First Subordinated Bond Program Caja Los Andes" for an amount of S/ 60’000,000.00 (Sixty Million and 00/100 Soles), computable as part of its level‑2 effective equity and subject to the limit defined in numerals 1 and 2 of article 185 of the General Law of the Financial System and the Insurance System and the Organic Law of the Superintendency of Banking and Insurance, Law No. 26702.
That, by a letter dated September 23, 2026, Caja Rural de Ahorro y Crédito Los Andes S.A. has completed the documentation and information requirements imposed by the Consolidated Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF; as well as by the Regulation of Primary Public Offerings and Sale of Securities, approved by CONASEV Resolution No. 141-1998-EF/94.10 and its modifying and complementary norms.
That article 7, numeral 6, of the Policy on Dissemination of Normative Projects, General Legal Norms, Early Agenda and Other Administrative Acts of the SMV, approved by SMV Resolution No. 014-2014-SMV/01 and its modifying norms, establishes that decisions contained in administrative resolutions referring to the registration of issuance programs and securities within the framework of an anticipatory procedure, as well as the registration of informational prospectuses in the Public Securities Market Registry, must be disseminated through the SMV Institutional Page on the Single Digital Platform of the Peruvian State for Citizen Guidance (www.gob.pe/smv);
That, pursuant to articles 58 and following of the Consolidated Text of the Securities Market Law; as well as article 46, numerals 4 and 6, of the Regulation of Organization and Functions of the Superintendency of the Securities Market, approved by Supreme Decree No. 216-2011-EF and its amendments, which empowers the General Supervision Office of Conduct Supervision to resolve requests submitted by regulated entities related to primary public offerings and to evaluate and/or resolve any procedure linked to such offerings, as well as to order the registration of securities in the Public Securities Market Registry.
Resolves:
Article 1.- Order, within the framework of an anticipatory procedure, the registration of the issuance program called "First Subordinated Bond Program Caja Los Andes" for a maximum issuance amount of S/ 60’000,000.00 (Sixty Million and 00/100 Soles), as well as the registration of the corresponding Framework Prospectus in the Public Securities Market Registry.

Article 2.- Order, within the framework of the "First Subordinated Bond Program Caja Los Andes", the registration of the securities titled "First Issuance of the First Subordinated Bond Program Caja Los Andes" for a maximum issuance amount of S/ 12’000,000.00 (Twelve Million and 00/100 Soles), and the registration of the respective Framework Prospectus Supplement in the Public Securities Market Registry.
Article 3.- Pronounce in favor of the registration of the securities "First Issuance of the First Subordinated Bond Program Caja Los Andes" in the Securities Registry of the Lima Stock Exchange.
Article 4.- The registration of the securities and the registration of the Framework Prospectus Supplements carried out within the framework of the issuance program referred to in Article 1 of this resolution shall be subject to the provisions of article 14, numeral 14.3, clause 14.3.2, of the Regulation of Primary Public Offerings and Sale of Securities, which establishes that the registration of the security corresponding to an issuance and the registration of the prospectus supplement shall be effected within a maximum period of five (5) business days, under a prior evaluation procedure subject to negative administrative silence, which is not subject to renewal.
Article 5.- The issuances and/or offers carried out within the framework of the program referred to in Article 1 of this resolution, in accordance with the provisions of article 14, numeral 14.2, clause 14.2.3, of the Regulation of Primary Public Offerings and Sale of Securities, may be made during the six (06) years following the date of registration of the issuance program, a period that is non‑extendable. After three (03) years from the effectiveness of the program registration, the issuer must submit an updated framework prospectus that consolidates all variations made up to the date of its submission, as well as an update of the remaining documentation and information that is pertinent; otherwise, no new offers may be made until such procedure is fulfilled.
Article 6.- The placement of the securities registered and to be registered within the framework of the "First Subordinated Bond Program Caja Los Andes" may be carried out within a non‑extendable period that shall not exceed three (3) years, counted from the date of registration of the security in the Public Securities Market Registry, provided that the validity period of the program registration and the anticipatory procedure have not ended, and that the corresponding information and documentation are duly updated, in accordance with the provisions of article 25 of the Regulation of Primary Public Offerings and Sale of Securities.
Article 7.- The registration of the issuance program and the securities referred to in this resolution has not involved administrative verification activities, nor inspection, nor audit of the information presented, nor an examination of the issuer’s economic‑financial situation, and does not imply certification by the Superintendency of the Securities Market – SMV regarding its quality, the issuer’s solvency, or the risks of the security or the offer; the issuer is responsible for the truthfulness of the information presented to the market, in accordance with articles 13, 21, 24 and 65 of the Consolidated Text of the Securities Market Law.
