Governance and Management of Variable Capital Companies (VCCs)

VCC managers and their appointed directors must ensure substantive fund management, appoint licensed representatives for regulated activities, and maintain independent custody for assets unless exempt. They must also enforce robust AML/CFT controls via appointed EFIs, including beneficial ownership verification and timely reporting. Managers are prohibited from using VCCs as mere conduits for third-party investments or passive marketing. Failure to comply may result in sanctions under MAS Notice VCC-N01 and the Variable Capital Companies (Sanctions and Freezing of Assets of Persons) Regulations 2020.
