(a) “regulations” means a written instrument issued by the NBR in accordance with its responsibilities, and whose purpose is to specify, in detail, procedures for the implementation of the provisions of this Law or any other law; (b) “directives” means a written instrument issued by the NBR that sets out prescriptions or prohibitions and is intended for a natural person or legal entity; (c) “reserve funds” means any liquid assets set aside for future use to address budgetary shortfalls in respect of CHAPITRE PREMIER : DISPOSITIONS GÉNÉRALES
Article premier : Objet de la présente loi
La présente loi régit la Banque nationale du Rwanda, désignée par le sigle « BNR » en français.
Article 2 : Interprétation
Dans la présente loi:
(a) « règlement » signifie un acte écrit émis par la BNR conformément à ses attributions et ayant pour objet de préciser dans les détails les modalités de mise en œuvre des dispositions de la présente loi ou de toute autre loi ; (b) « directives » signifie un acte écrit émis par la BNR, à l’intention d’une personne physique ou morale, et énonçant des prescriptions ou des interdictions ; (c) « fonds de réserve » signifie tous actifs liquides mis à part pour une utilisation ultérieure pour pallier un

(g) « ikigo gifite ubuzimagatozi » bivuga isosiyete y’ubucuruzi, koperative cyangwa urwego rutari umuntu ku giti cye bihabwa uburenganzira n’inshingano imbere y’amategeko; (h) « imirongo ngenderwaho » bivuga inyandiko ishyirwaho na BNR, itanga icyerekezo ku bikorwa biri mu nshingano cyangwa mu bubasha bwayo; (i) « intumwa ya BNR » bivuga ikigo cy’imari gikorera mu Rwanda cyangwa mu mahanga, gikora ibikorwa byihariye mu izina rya BNR, hashingiwe ku (vii) a forex bureau; (viii) a payment services provider; (ix) a payment system operator; and (x) a financial institution that is not supervised by another institution under a specific law. (g) “legal entity” means any company, cooperative or other entity, other than a natural person, having rights and obligations under the law; (h) “guidelines” means a written instrument issued by the NBR that provides guidance in respect of activities within the scope of its responsibilities or powers; (i) “agent of the NBR” means a financial institution operating in Rwanda or abroad that, pursuant to an agreement, performs specific activities on behalf (vii) un bureau de change ; (viii) un prestataire de services de paiement ; (ix) un opérateur de système de paiement ; et (x) une institution financière qui n’est pas soumise à la supervision d’une autre institution en vertu d’une loi particulière. Article 3: Capital
(1) The capital of the NBR is FRW 7,000,000,000, wholly subscribed by the Government of Rwanda. It is not subject to any lien or encumbrance. (2) The capital of the NBR may be increased either through the capitalisation of reserve funds, upon advice of the Board of Directors or through additional contributions from the State of Rwanda upon approval by a Presidential Order.
Article 4: Legal personality, independence
and autonomy
(1) The NBR has legal personality and enjoys independence, as well as administrative and financial autonomy. (2) In the exercise of their powers or in the discharge of their responsibilities, the NBR, its staff members, its agents and the members of its decision-making bodies are not subject to any external interference from any person or organ.
Article 3 : Capital
(1) Le capital de la BNR est fixé à
7.000.000.000 FRW et est entièrement
souscrit par le Gouvernement du Rwanda. Il ne peut faire l’objet d’aucune sûreté ni d’aucune autre charge. (2) Le capital de la BNR peut être augmenté soit par incorporation des fonds de réserve, sur avis du Conseil d’administration, soit par des apports supplémentaires de l’État du Rwanda après approbation par arrêté présidentiel.
Article 4 : Personnalité juridique,
indépendance et autonomie (1) La BNR est dotée de la personnalité juridique, et jouit d’une indépendance ainsi que d’une autonomie administrative et financière. (2) La BNR, les membres de son personnel, ses agents et les membres de ses organes de décision ne sont soumis, dans l’exercice de leurs pouvoirs ou dans l’accomplissement de leurs attributions, à aucune ingérence extérieure de la part de

(3) BNR ishobora kugena intumwa yayo (3) The NBR is neither subject to registration in the commercial register, nor to the rules governing public accounting. However, the NBR remains subject to the ordinary rules of commercial accounting and is, in its commercial relations with third parties, governed by commercial legislation unless specific legislation governing it provides otherwise.
Article 5: Head office, branches,
correspondents and agents of the NBR (1) The head office of the NBR is located in the City of Kigali. It may, where necessary, be relocated to any other location within the territory of Rwanda, upon approval by an Order of the Prime Minister. (2) The NBR may establish a branch at any location within the national territory, upon approval by the Board of Directors. (3) The NBR may appoint an agent or quelque personne ou organe que ce soit. Article 5 : Siège, succursales,

(2) La BNR peut établir une succursale en tout lieu du territoire national, sur approbation du Conseil d’administration. (3) La BNR peut désigner un agent ou un

Article 6: Mission
The mission of the NBR is to maintain price stability and a sound financial system, thereby enabling sustainable and inclusive growth.
Article 7: Responsibilities of the NBR
The NBR has the following responsibilities:
(a) to define and implement monetary policy; (b) to organise and supervise the foreign exchange market; (c) to supervise financial institutions; (d) to supervise trust and company service providers; (e) to supervise and oversee payment systems; correspondant pour l’exercice de ses activités. Opinions of the NBR on the status of currency, access to credit and the economy in general are particularly sought in the event the Government intends to take monetary or financial measures; (o) to undertake crisis management and resolution, unless that mandate is expressly assigned to another institution under specific laws; (p) to periodically communicate to the public monetary and financial stability strategies and the mechanisms for their implementation; compte de la nécessité pour les institutions financières de concurrencer efficacement sur le marché et de prendre toutes les mesures raisonnables pour prévenir les risques ; (n) fournir, de sa propre initiative ou à la demande du Gouvernement, des avis sur la situation financière intérieure du pays et proposer des mesures appropriées. Article 8: Powers of the NBR
The NBR has the following powers:
(a) to issue regulations, directives or guidelines; (b) to grant, suspend and revoke licenses or authorisations in relation to its responsibilities; (c) to impose administrative sanctions in relation to its responsibilities; (d) to establish a legal entity or acquire shares in a domestic, foreign or international company, where the Board of Directors considers it necessary, for the purposes of financial sector innovation, the training of its staff members or regulated institutions and the welfare of its staff; (q) accomplir toute autre attribution liée ou accessoire à ses fonctions en vertu de la présente loi, ou pouvant être prévue par d’autres lois.
Article 8 : Pouvoirs de la BNR
La BNR dispose des pouvoirs suivants:
(a) édicter des règlements, des directives ou des lignes directrices; (b) accorder, suspendre et révoquer les licences ou autorisations en rapport avec ses attributions ; (c) infliger des sanctions administratives en rapport avec ses attributions ; (d) créer une personne morale ou acquérir des actions dans une société commerciale nationale, étrangère ou internationale, lorsque le Conseil d’administration le juge nécessaire, aux fins de l’innovation dans le secteur financier, de la formation de son personnel ou de ses institutions

(3) The Governor serves as the Chairperson of the Board of Directors and is assisted by the Deputy Governor, unless otherwise provided by their appointing authority. Article 11: Requirements for being a
member of the Board of Directors For a person to be a member of the Board of Directors must – (a) be a person of integrity; (b) not have been definitively sentenced to imprisonment for a term equal to or more than 6 months; (c) not have been convicted of the crime of genocide ideology and related offences; and (d) not have been convicted of the crime of genocide. Article 12: Responsibilities of the Board of
Directors
(1) The Board of Directors formulates the general policy of the NBR and oversees its implementation. (2) In particular, the Board of Directors has the following responsibilities:
(a) to formulate policies relating to the discharge of the functions of the NBR and define its organisational chart; (b) to deliberate on and authorize the minting, issuance or withdrawal of banknotes, coins or any other form of currency and their features, and submit them to the competent authority for approval; (c) to determine the terms and conditions of service of the Governor and the Deputy Governor, that are not provided for under this Law;

Article 13: Powers of the Board of Directors
(1) The Board of Directors has the following powers:
(a) to supervise the implementation of the general policy and the management of the NBR; (b) to adopt regulations and directives; (c) to make a decision relating to the supervision of financial institutions in accordance with laws; (d) to adopt the internal rules and policies of the NBR; (e) to adopt staff rules governing the recruitment, appointment, management, and dismissal of the staff members of the NBR, and their salaries and other fringe benefits; (f) to adopt specific rules that regulate procurement activities of the NBR;

Article 14: Duties of the Chairperson of the
Board of Directors
The Chairperson of the Board of Directors has the following duties:
(a) to convene and preside over the meeting of the Board of Directors and coordinate its activities; (b) to monitor the implementation of resolutions of the Board of Directors; BNR ainsi que sur l’utilisation de ses fonds propres ; (m)statuer sur toute autre question en rapport avec la mission de la BNR qui n’est pas confiée par la présente loi ou toute autre loi à un autre organe de la BNR. Article 16: Incompatibilities with
membership of the Board of Directors (1) The duties of members of the Board of Directors of the NBR are incompatible with membership of Parliament or of the Cabinet, and with any form of participation, whether remunerated or not, in an institution subject to the d’administration ; (c) accomplir toute autre fonction en rapport avec les attributions du Conseil d’administration que celui-ci peut lui confier.

Article 17: Convening and holding the
meeting of the Board of Directors (1) The Board of Directors holds its ordinary meeting once every quarter. The meeting is convened and presided over by the Chairperson of the Board of Directors or, in his or her absence, by the Deputy Chairperson. (2) The notice convening a meeting of the Board of Directors is submitted in writing to the members of the Board of non, dans une institution soumise à la supervision de la BNR. However, where a second meeting of the Board of Directors is convened following an inquorate meeting, such a meeting takes place if at least one half of its members are present.
Article 18: Invitation of a resource person
to a meeting of the Board of Directors (1) The Board of Directors may invite to its meeting any other person whom it considers capable of providing it with advice on any item on its agenda. d’administration au moins dix jours ouvrables avant la tenue de la réunion. Article 19: Decision-making and minutes of
the meeting of the Board of Directors (1) The Board of Directors takes decisions by consensus. Failing consensus, decisions are taken by a majority of the votes cast by the members present at the meeting. In the event of a tied vote, the chair of the meeting has a casting vote. (2) The minutes of a meeting of the Board of Directors are signed by all members present at the meeting. (3) A copy of the decisions of the meeting of the Board of Directors is transmitted to the Minister in charge of finance (2) Toute personne ainsi invitée ne peut ni prendre part au vote ni suivre les délibérations sur d’autres points à l’ordre du jour. Article 19 : Prise de décisions et procès￾verbal de la réunion du Conseil
d’administration
(1) Le Conseil d’administration prend ses décisions par consensus. À défaut de consensus, les décisions sont prises à la majorité des voix exprimées par les membres présents à la réunion. En cas d’égalité des voix, le président de réunion a voix prépondérante. (2) Le procès-verbal d’une réunion du Conseil d’administration est signé par tous les membres présents à la réunion. Article 20: Personal interest in an item

Article 23: Audit Committee of the Board of
Directors
(1) The Committees established by the Board of Directors that are provided for under Article 13(1)(i) include an Audit Committee of the Board of Directors. (2) The Audit Committee of the Board of Directors operates in accordance with its Charter. (3) Non-executive members of the Board of Directors who are civil servants may serve on the Audit Committee of the Board of Directors in an advisory capacity only. However, civil servants who are members of the Audit Committee of the Board of Directors and who are from academia or research institutions have voting rights.

Article 24: Composition of the
Management, appointment and removal of its members (1) The Management of the NBR consists of the Governor and the Deputy Governor, who are appointed and removed by a Presidential Order. (2) The Governor and the Deputy Governor are appointed within 90 days from the date of occurrence of a vacancy in the respective office, and such appointment is subject to the approval of the Senate.
Article 25: Term of office of members of the
Management
The Governor and the Deputy Governor serve for a term of office of six years, renewable.
Article 26: Duties of the Governor
(1) The Governor has the following duties:

Article 27: Duties of the Deputy Governor
The Deputy Governor has the following duties:
(a) to assist the Governor in the performance of the Governor’s duties; (b) to sign banknotes; (c) to deputize for the Governor during the Governor’s absence or act in the capacity of Governor pending the appointment of a Governor; (d) to perform any other duty relating to the responsibilities of the NBR as may be assigned by the Board of Directors.
Article 28: Incompatibilities with the offices
of Governor and Deputy Governor The offices of Governor and Deputy Governor are incompatible with the holding of any other full-time office.

Article 30: Grounds for cessation of office
of Governor or Deputy Governor The Governor or Deputy Governor ceases to hold such office where – (a) his or her term of office expires; (b) he or she no longer fulfils the requirements on the basis of which he or she was appointed in such office; (c) he or she becomes incapable of performing his or her duties by reason of physical or mental disability certified by an authorised medical doctor; (d) he or she resigns; (e) he or she is dismissed; or

The Monetary Policy Committee is responsible for the formulation of the monetary policy within the NBR. Committee, decision-making and minutes taking procedures (1) The Monetary Policy Committee meets once every quarter and whenever necessary. (2) The quorum for the meeting of the Monetary Policy Committee consists of two thirds of its members. (3) The Monetary Policy Committee takes its decisions by consensus. Article 36: Responsibilities of the Financial
Stability Committee
The Financial Stability Committee has the following responsibilities:
(a) to regularly review and ensure the soundness and stability of the financial system; (b) to promote the stability of the Rwandan financial system by analysing it within its environment on a permanent basis; (c) to identify, monitor and publish the risks associated with the financial system in order to take appropriate measures to prevent, reduce and sont nommées par le Conseil d’administration en raison de leurs connaissances, de leur expérience et de leur expertise pertinentes au regard des attributions du Comité. (5) Banknotes, coins or any other form of currency that are legal tender in the Republic of Rwanda remain legal tender until they are demonetised. (6) Any monetary obligation or transaction entered into in the Republic of Rwanda is presumed to be expressed and settled in the Rwandan franc, unless otherwise provided for by other abrégé « FRW », ci-après dénommé « le franc ». (2) La monnaie se présente sous forme de billets de banque, de pièces de monnaie ou de toute autre forme approuvée par l’autorité d’émission de la monnaie. Article 40: Value of the franc
The value of the franc in terms of foreign exchange is determined in accordance with the monetary policy strategy set by the NBR. However, where exceptional circumstances are likely to cause excessive speculation against the franc, the NBR fixes the exchange rate of the franc for a specified period.
Article 41: Management of the currency
The NBR has the sole privilege to manage the currency on behalf of the State.
Article 42: Limitations on the exchange of
banknotes and coins
(1) The exchange of banknotes is not subject to any limitation. (2) For each type of coin, the exchange is limited to 100 times its unitary face value, unless the creditor agrees to receive coins exceeding this amount. However, coins are accepted, without limitation, where tendered to the NBR, the Public Treasury or to a deposit￾taking financial institution.
Article 40 : Valeur du franc
La valeur du franc en devises étrangères est déterminée conformément à la stratégie de la politique monétaire arrêtée par la BNR. Toutefois, en cas de circonstances exceptionnelles de nature à provoquer une spéculation excessive contre le franc, la BNR fixe le taux de change du franc pour une période déterminée.
Article 41 : Gestion de la monnaie
La BNR jouit du privilège exclusif de gestion de la monnaie pour le compte de l’État.
Article 42 : Limitations à l’échange des
billets de banque et des pièces de monnaie (1) L’échange des billets de banque n’est soumis à aucune limitation. (2) Le pouvoir libératoire des pièces est limité, pour chaque type de pièces, à 100 fois leur valeur faciale unitaire, à moins que le créancier n’accepte de recevoir des pièces dont la valeur dépasse ce montant. Toutefois, les pièces sont acceptées sans limitation lorsqu’elles sont remises à la BNR, au

Article 43: Demonetisation of banknotes,
coins or any other form of currency and procedures for its publication (1) The NBR advises on the demonetisation of banknotes, coins or any other form of currency having legal tender status. (2) A Presidential Order demonetises banknotes, coins or any other form of currency having legal tender status and specifies the time from which such banknotes, coins or other form of currency cease to be legal tender. (3) The demonetisation of banknotes, coins or any other form of currency having legal tender status is published in at least two media with a large audience in the country. However, such publication may be disregarded under exceptional circumstances. Trésor public ou à une institution financière acceptant des dépôts.
Article 43 : Démonétisation de billets de

Toutefois, cette publication peut ne pas être respectée dans des circonstances exceptionnelles.

After the date specified in the publication, the NBR decides on banknotes, coins or other form of currency presented for exchange beyond that date.
Section 2: Foreign reserves management
Article 44: Authorised transactions
For the purposes of maintaining and managing foreign reserves, the NBR may – (a) buy, sell, hold, lend, and borrow foreign currency in any form; (b) engage in transactions with foreign commercial banks, eligible foreign counterparties, and other financial institutions or agencies; (4) La publication visée au paragraphe (3) précise les conditions dans lesquelles les opérations d’échange de billets de banque, pièces de monnaie ou autre forme de monnaie ayant cessé d’avoir cours légal doivent avoir lieu. Article 44 : Opérations autorisées
La BNR, aux fins du maintien et de la gestion des réserves de change, peut – (a) acheter, vendre, détenir, prêter et emprunter des devises étrangères sous quelque forme que ce soit; (b) effectuer des opérations avec les banques commerciales étrangères, les contreparties étrangères éligibles ainsi qu’avec d’autres institutions ou agences financières ;

(c) conduct transactions in gold, for its own account or for the account of third parties; (d) buy, sell or hold monetary gold, bullion or other precious metals; (e) invest in foreign currency in any eligible asset class, currency and sector as determined by its investment policy and guidelines; (f) open any account and hold balances in foreign currency with approved partners, whether domestic or foreign; and (g) conduct trade finance transactions and issue or accept guarantees denominated in foreign currencies. Article 45: Foreign exchange market
organisation
The NBR is responsible for the organisation and management of the foreign exchange market. It issues regulations and directives governing the market and ensures their enforcement.
Article 46: Management of the effects of
exchange rate fluctuations (1) Foreign exchange gain and loss resulting from exchange transactions are recognised in the statement of profit and loss of the NBR. (2) Unrealised gains or losses arising from a revaluation of reserve exchange holdings or international commitments recorded in the balance sheet of the NBR, owing to changes in the foreign exchange system or in the exchange value of the franc, are recorded in a special account entitled “Foreign Exchange Revaluation Account”. (3) The NBR accounts for the revaluation gains or losses in line with international financial reporting

(1) The NBR issues regulations and directives relating to the organisation and functioning of the money market, designates entities authorised to intervene in the market and specifies the instruments that may be traded thereon. (2) The NBR ensures the smooth operation of the interbank market and oversees interbank operations.
Article 48: Interventions by the NBR in
money market
(1) The NBR may intervene in the money market for the purposes of lending and borrowing or buying and selling liquid assets which can be resold through repurchase agreements of securities sold, pledging government or private securities or other negotiable d’information financière.

Article 49: Management of State accounts
(1) The NBR performs transactions relating to the banking and withdrawal of State funds, to the borrowing operations of the State and the payment of its debts. It maintains in its books, free of charge, the current account of the Public Treasury, in accordance with an agreement concluded with the Ministry in charge of finance. (2) The NBR may, at the request of the Minister in charge of finance, open other State accounts governed by special legal provisions. (3) The credit balances on the accounts provided for under this Article do not bear interest.
Article 50: Domestic government debt
securities
The NBR participates, on the account of the Government, in the issuance and distribution of domestic government debt securities, in accordance with an agreement concluded with the Ministry in charge of finance.
Article 49 : Gestion des comptes de l’État

Article 51: Loans to the State
(1) The NBR does not grant loans to the State, except by way of direct advances to meet a shortfall between public revenue and public expenditures in the Public Treasury in order to ensure its smooth operation. Such direct advances may not exceed 11% of the State current revenue collected during the preceding financial year. (2) The NBR levies on the debit referred to in Paragraph (1) interests computed at the daily average rate of the interbank market. (3) The State repays, in cash, the advances loaned to it by the NBR within the financial year in which they are granted.

Article 57: Required reserves

Section 3: Confidentiality in the NBR

(1) A member of the Board of Directors, a staff member of the NBR, or any other person who acquires confidential information, whether in the course of, or after the cessation of, his or her duties at NBR or otherwise, is bound by a duty of confidentiality. Article 60: Exchange of confidential
information

Article 62: Internal audit
(1) The internal audit department of the NBR operates independently to support the NBR in achieving its strategic objectives, safeguarding its assets, and enhancing the effectiveness of its risk management, internal control, and governance processes. Within four months following the close of each financial year, the Governor submits to the President of the Republic and to both Chambers of the Parliament, the annual activity report, including financial statements for that financial year.
Article 66: Amortisation of losses

(3) Within six months of receiving the request for recapitalisation, the State transfers to the NBR the required amount, in cash or in negotiable interest-bearing securities at financial market-determined interest rates and having a fixed maturity date.
Article 67: Distributable profit

Article 70: Enforcement of regulations,
