Article 2: Interpretation In this Law: (a) “regulations” means a written instrument issued by the NBR in accordance with its responsibilities, and whose purpose is to specify, in detail, procedures for the implementation of the provisions of this Law or any other law; (b) “directives” means a written instrument issued by the NBR that sets out prescriptions or prohibitions and is intended for a natural person or legal entity; (c) “reserve funds” means any liquid assets set aside for future use to address budgetary shortfalls in respect of CHAPITRE PREMIER : DISPOSITIONS GÉNÉRALES Article premier : Objet de la présente loi La présente loi régit la Banque nationale du Rwanda, désignée par le sigle « BNR » en français. Article 2 : Interprétation Dans la présente loi: (a) « règlement » signifie un acte écrit émis par la BNR conformément à ses attributions et ayant pour objet de préciser dans les détails les modalités de mise en œuvre des dispositions de la présente loi ou de toute autre loi ; (b) « directives » signifie un acte écrit émis par la BNR, à l’intention d’une personne physique ou morale, et énonçant des prescriptions ou des interdictions ; (c) « fonds de réserve » signifie tous actifs liquides mis à part pour une utilisation ultérieure pour pallier un

(g) “legal entity” means any company, cooperative or other entity, other than a natural person, having rights and obligations under the law; (h) “guidelines” means a written instrument issued by the NBR that provides guidance in respect of activities within the scope of its responsibilities or powers; (i) “agent of the NBR” means a financial institution operating in Rwanda or abroad that, pursuant to an agreement, performs specific activities on behalf (vii) un bureau de change ; (viii) un prestataire de services de paiement ; (ix) un opérateur de système de paiement ; et (x) une institution financière qui n’est pas soumise à la supervision d’une autre institution en vertu d’une loi particulière. (2) Imari shingiro ya BNR ishobora kongerwa n’amafaranga y’ingoboka, Inama y’Ubuyobozi imaze kubitangaho inama cyangwa ikongerwa n’amafaranga y’inyongera atangwa na Leta y’u Rwanda bikemezwa n’Iteka rya Perezida. Ingingo ya 4: Ubuzimagatozi, ubwigenge n’ubwisanzure (1) BNR ifite ubuzimagatozi, ubwigenge n’ubwisanzure mu byerekeye imiyoborere, imicungire n’imari. (2) BNR, abakozi bayo, intumwa zayo n’abagize inzego zifata ibyemezo ntibagengwa n’amabwiriza y’undi muntu cyangwa ay’urundi rwego mu gihe bakoresha ububasha bwabo cyangwa buzuza inshingano zabo. Article 3: Capital (1) The capital of the NBR is FRW 7,000,000,000, wholly subscribed by the Government of Rwanda. It is not subject to any lien or encumbrance. (2) The capital of the NBR may be increased either through the capitalisation of reserve funds, upon advice of the Board of Directors or through additional contributions from the State of Rwanda upon approval by a Presidential Order. Article 4: Legal personality, independence and autonomy (1) The NBR has legal personality and enjoys independence, as well as administrative and financial autonomy. (2) In the exercise of their powers or in the discharge of their responsibilities, the NBR, its staff members, its agents and the members of its decision-making bodies are not subject to any external interference from any person or organ. Article 3 : Capital (1) Le capital de la BNR est fixé à 7.000.000.000 FRW et est entièrement souscrit par le Gouvernement du Rwanda. Il ne peut faire l’objet d’aucune sûreté ni d’aucune autre charge. (3) BNR ishobora kugena intumwa yayo (3) The NBR is neither subject to registration in the commercial register, nor to the rules governing public accounting. However, the NBR remains subject to the ordinary rules of commercial accounting and is, in its commercial relations with third parties, governed by commercial legislation unless specific legislation governing it provides otherwise. Article 5: Head office, branches, correspondents and agents of the NBR (1) The head office of the NBR is located in the City of Kigali. It may, where necessary, be relocated to any other location within the territory of Rwanda, upon approval by an Order of the Prime Minister. (2) The NBR may establish a branch at any location within the national territory, upon approval by the Board of Directors. (3) The NBR may appoint an agent or quelque personne ou organe que ce soit. CHAPTER II: MISSION, RESPONSIBILITIES AND POWERS Article 6: Mission The mission of the NBR is to maintain price stability and a sound financial system, thereby enabling sustainable and inclusive growth. Article 7: Responsibilities of the NBR The NBR has the following responsibilities: (a) to define and implement monetary policy; (b) to organise and supervise the foreign exchange market; (c) to supervise financial institutions; (d) to supervise trust and company service providers; (e) to supervise and oversee payment systems; correspondant pour l’exercice de ses activités. Opinions of the NBR on the status of currency, access to credit and the economy in general are particularly sought in the event the Government intends to take monetary or financial measures; (o) to undertake crisis management and resolution, unless that mandate is expressly assigned to another institution under specific laws; (p) to periodically communicate to the public monetary and financial stability strategies and the mechanisms for their implementation; compte de la nécessité pour les institutions financières de concurrencer efficacement sur le marché et de prendre toutes les mesures raisonnables pour prévenir les risques ; (n) fournir, de sa propre initiative ou à la demande du Gouvernement, des avis sur la situation financière intérieure du pays et proposer des mesures appropriées. Article 8: Powers of the NBR The NBR has the following powers: (a) to issue regulations, directives or guidelines; (b) to grant, suspend and revoke licenses or authorisations in relation to its responsibilities; (c) to impose administrative sanctions in relation to its responsibilities; (d) to establish a legal entity or acquire shares in a domestic, foreign or international company, where the Board of Directors considers it necessary, for the purposes of financial sector innovation, the training of its staff members or regulated institutions and the welfare of its staff; (q) accomplir toute autre attribution liée ou accessoire à ses fonctions en vertu de la présente loi, ou pouvant être prévue par d’autres lois. CHAPTER III: ORGANISATION Section One: Governing organs Article 9: Governing organs of the NBR The governing organs of the NBR are – (a) The Board of Directors; and (b) The Management. (2) The minutes of a meeting of the Board of Directors are signed by all members present at the meeting. (2) The quorum for the meeting of the Monetary Policy Committee consists of two thirds of its members. (3) The Monetary Policy Committee takes its decisions by consensus. Failing consensus, decisions are taken by a majority of the votes cast by the members present at the meeting, excluding non-executive members of the Committee who are civil servants, except those drawn from academia or research institutions. In the event of a tied vote, the chair of the meeting has a casting vote. Article 37: Meeting of the Financial Stability Committee, decision-making and minutes taking procedures (1) The Financial Stability Committee meets once every quarter and whenever necessary. The meeting is convened and presided over by its Chairperson or, in his or her absence, by the Deputy Chairperson. (2) The quorum for the meeting of Financial Stability Committee consists of two thirds of its members. (3) The Financial Stability Committee takes its decisions by consensus among the members present at the meeting. Failing consensus, decisions are taken by a majority of the votes cast by the members present at the meeting, excluding non-executive members of the Committee who are civil servants, unless they are those drawn from academia or research institutions. (5) Banknotes, coins or any other form of currency that are legal tender in the Republic of Rwanda remain legal tender until they are demonetised. (6) Any monetary obligation or transaction entered into in the Republic of Rwanda is presumed to be expressed and settled in the Rwandan franc, unless otherwise provided for by other abrégé « FRW », ci-après dénommé « le franc ». Article 40: Value of the franc The value of the franc in terms of foreign exchange is determined in accordance with the monetary policy strategy set by the NBR. However, where exceptional circumstances are likely to cause excessive speculation against the franc, the NBR fixes the exchange rate of the franc for a specified period. Article 41: Management of the currency The NBR has the sole privilege to manage the currency on behalf of the State. Article 42: Limitations on the exchange of banknotes and coins (1) The exchange of banknotes is not subject to any limitation. (2) For each type of coin, the exchange is limited to 100 times its unitary face value, unless the creditor agrees to receive coins exceeding this amount. However, coins are accepted, without limitation, where tendered to the NBR, the Public Treasury or to a deposit￾taking financial institution. Article 40 : Valeur du franc La valeur du franc en devises étrangères est déterminée conformément à la stratégie de la politique monétaire arrêtée par la BNR. (2) A Presidential Order demonetises banknotes, coins or any other form of currency having legal tender status and specifies the time from which such banknotes, coins or other form of currency cease to be legal tender. (3) The demonetisation of banknotes, coins or any other form of currency having legal tender status is published in at least two media with a large audience in the country. (c) conduct transactions in gold, for its own account or for the account of third parties; (d) buy, sell or hold monetary gold, bullion or other precious metals; (e) invest in foreign currency in any eligible asset class, currency and sector as determined by its investment policy and guidelines; (f) open any account and hold balances in foreign currency with approved partners, whether domestic or foreign; and (g) conduct trade finance transactions and issue or accept guarantees denominated in foreign currencies. It issues regulations and directives governing the market and ensures their enforcement. Article 46: Management of the effects of exchange rate fluctuations (1) Foreign exchange gain and loss resulting from exchange transactions are recognised in the statement of profit and loss of the NBR. (2) Unrealised gains or losses arising from a revaluation of reserve exchange holdings or international commitments recorded in the balance sheet of the NBR, owing to changes in the foreign exchange system or in the exchange value of the franc, are recorded in a special account entitled “Foreign Exchange Revaluation Account”. (3) The NBR accounts for the revaluation gains or losses in line with international financial reporting Article 45 : Organisation du marché des changes La BNR est chargée de l’organisation et de la gestion du marché des changes. Article 48: Interventions by the NBR in money market (1) The NBR may intervene in the money market for the purposes of lending and borrowing or buying and selling liquid assets which can be resold through repurchase agreements of securities sold, pledging government or private securities or other negotiable d’information financière. Article 49: Management of State accounts (1) The NBR performs transactions relating to the banking and withdrawal of State funds, to the borrowing operations of the State and the payment of its debts. It maintains in its books, free of charge, the current account of the Public Treasury, in accordance with an agreement concluded with the Ministry in charge of finance. (2) The NBR may, at the request of the Minister in charge of finance, open other State accounts governed by special legal provisions. (3) The credit balances on the accounts provided for under this Article do not bear interest. Article 50: Domestic government debt securities The NBR participates, on the account of the Government, in the issuance and distribution of domestic government debt securities, in accordance with an agreement concluded with the Ministry in charge of finance. Article 49 : Gestion des comptes de l’État (1) La BNR effectue les opérations relatives à l’encaissement et au décaissement des fonds de l’État, aux opérations d’emprunt de l’État et au service de sa dette. Such direct advances may not exceed 11% of the State current revenue collected during the preceding financial year. (2) The NBR levies on the debit referred to in Paragraph (1) interests computed at the daily average rate of the interbank market. (3) The State repays, in cash, the advances loaned to it by the NBR within the financial year in which they are granted. Section 2: Relations of the NBR with financial institutions in Rwanda Article 55: Management of accounts of financial institutions NBR may, under the conditions it determines, open and keep accounts for a financial institution. Section 3: Confidentiality in the NBR operations Article 59: Duty of confidentiality (1) A member of the Board of Directors, a staff member of the NBR, or any other person who acquires confidential information, whether in the course of, or after the cessation of, his or her duties at NBR or otherwise, is bound by a duty of confidentiality. (2) Non-compliance with the provisions of Paragraph (1) is punishable under relevant laws. (3) The persons provided for under Paragraph (1) do not incur punishment for violation of professional secrecy where – (a) the disclosure of confidential information is made for the performance of their professional duties under this Law; (b) the disclosure of confidential information is made to satisfy the requirements of an agreement concluded by the NBR with any other relevant supervisory authority; or (c) the disclosure of confidential information is required by a court order. (4) The NBR may provide confidential information to a public sector entity and any other agency in accordance with relevant laws.
