LETTER modifying the terms of the authorization for the organization and operation of Banco Compartamos, S.A., Multiple Banking Institution

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

By letter 312-3/9919/2025 dated September 1, 2025, this Commission approved the reform to Article Seventh of the bylaws of Banco Compartamos, S.A., Multiple Banking Institution (Banco Compartamos), due to the increase in its social capital in the amount of $90,648,000.00, to go from $799,092,000.00 to $889,740,000.00, in terms of the minutes of the extraordinary general shareholders' meeting held on April 11, 2025.

With a document presented to this Commission on December 4, 2025, through the email address VPSupervisionGIFB@cnbv.gob.mx and compliance with the requirement contained in the aforementioned letter 312-3/9919/2025, Banco Compartamos sent a certified copy of public deed number 71,330 dated October 13, 2025, granted before the notary public 195 of Mexico City, Lic. Patricio Garza Bandala, and registered in the Public Registry of Commerce of this same city on November 27, 2025, under electronic commercial folio 270503, in which the aforementioned statutory modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Compartamos, S.A., Multiple Banking Institution", contained in letter 101-340 issued by the Ministry of Finance and Public Credit on May 17, 2006 and published in the Official Gazette of the Federation on May 26, 2006, last modified by letter 312-3/42896/2024 issued by this Commission on December 12, 2024 and published in the same Gazette on December 30 of the same year, to read as follows:

" ...

THIRD.- The social capital of Banco Compartamos, S.A., Multiple Banking Institution amounts to $889,740,000.00 (eight hundred eighty-nine million seven hundred forty thousand pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph, 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Compartamos is required to inform this authority of the date of publication of the text of this modification letter, carried out in the Official Gazette of the Federation and in two widely circulated newspapers in its social domicile, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within fifteen business days following the date of receipt of this letter.

The above is communicated based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
