METHODOLOGICAL GUIDELINES

on filling out the periodic regulatory report of a microcredit company and microcredit agency

Chapter 1. General Provisions

1. These Methodological Guidelines on filling out the Periodic Regulatory Report of a microcredit company/microcredit agency (hereinafter - Methodological Guidelines) provide an explanation of the procedure for filling out the appendices to the Regulation "On the Periodic Regulatory Report of a microcredit company/microcredit agency" (hereinafter - PRR), submitted by microcredit companies (hereinafter - MCC), microcredit agencies (hereinafter - MCA), including MCC/MCA conducting operations on Islamic principles of banking and financing within the "Islamic window", having received a certificate of registration or a license from the National Bank of the Kyrgyz Republic (hereinafter - National Bank) for the following sections:

• Title page;
• Information on members of the Board of Directors, the Executive Board, major founders (shareholders) and members of the Shariah Council of MCC/MCA;
• Information on certain officials;

Note. Sections not described in these Methodological Guidelines are filled out in accordance with the corresponding normative legal acts of the National Bank.

All amounts must be indicated in thousands of som (foreign currency in som equivalent at the official exchange rate of the National Bank on the reporting date).

1-1. Sections/subsections of the PRR intended for disclosure of information on operations conducted in accordance with Islamic principles of banking and financing are filled out only by MCC/MCA having an "Islamic window".

Chapter 2. Title Page

2. The title page indicates:

• date and outgoing registration number;
• date as of which the report was prepared. The date is the last day of the reporting period, and the report is compiled as of the end of the day;
• date of completion of the report;
• periodicity: "quarterly", "annual" or "correction". Submission of a corrected report is allowed if technical errors arise. In this case, only those reporting forms in which changes were made are submitted, with changes marked by a marker;
• accuracy of the report is confirmed: one or two of the following lines are indicated:
  a) by internal audit - if the audit was conducted by internal audit or auditors; b) audit without opinion - if an audit was conducted that does not provide recommendations, but is limited to issuing an opinion on the correctness of conducting banking operations and accounting; c) audit with opinion - if an audit was conducted that, in addition to checking the correctness of conducting banking operations and accounting, provides MCC/MCA with recommendations and an action plan for improving and/or perfecting its activities;
• name of the reporting institution, indicated in capital letters;
• information that the MCC/MCA conducts operations on Islamic principles of banking and financing within the "Islamic window" (hereinafter - under IPF);
• verifying signatures of the Head of the Executive Body, the Chief Accountant;
• signature of the employee responsible for compiling and submitting the PRR with indication of position, surname, first name, patronymic, and phone number.

Chapter 3. Information on members of the Board of Directors, the Executive Board, major founders (shareholders) and members of the Shariah Council of MCC/MCA

3. This section is filled out by MCC/MCA in the presence of the following governing bodies (or bodies equivalent to them), as well as for major founders (shareholders):

• Supervisory Body (Board of Directors);
• Executive Body (Executive Board, head);
• Major founders (shareholders);
• Shariah Council.

4. Information on members of the supervisory body (Board of Directors) of MCC/MCA must contain the following information:

• surname, first name, and patronymic of the member of the supervisory body;
• date of election of the member of the supervisory body;
• place of work of the member of the supervisory body;
• position held by the member of the supervisory body of MCC/MCA (chairman, deputy chairman, member of the supervisory body);
• work phone number of the member of the supervisory body (including city/settlement code), mobile phone number of the member of the supervisory body (including operator code);
• share of the member of the supervisory body in the authorized capital of the company/share of the member of the supervisory body in ownership of shares in other NFKO;
• share of the member of the supervisory body in the authorized capital of other companies/share of the member of the supervisory body in ownership in other companies with indication of company names;
• date of entry of the member of the supervisory body into the capital of other companies/date of acquisition of share of shares in other companies by the member of the supervisory body;
• specimen signature of the member of the supervisory body (in paper form of the report).

5. Information on the executive body (Executive Board, head) of MCC/MCA must contain the following information:

• surname, first name, and patronymic of the member of the executive body or head of MCC/MCA;
• date of appointment of the member of the executive body of MCC/MCA;
• date of approval by the National Bank of the candidate for the position of member of the executive body or head of MCC/MCA (Resolution of the Supervisory Committee/letter of consent);
• place of work of the member of the executive body;
• position held by the member of the executive body of MCC/MCA (chairman, deputy chairman, member of the executive body);
• work phone number of the member of the executive body (including city/settlement code), mobile phone number of the member of the executive body (including operator code);
• position held in other companies/company names;
• share of the member of the executive body in the authorized capital of the company/share of the member of the executive body in ownership of shares in other NFKO;
• share of the member of the executive body in the authorized capital of other companies/share of the member of the executive body in ownership in other companies with indication of company names;
• date of entry of the member of the executive body into the capital of other companies/date of acquisition of share of shares in other companies by the member of the executive body;
• distribution of powers (supervised areas of activity);
• specimen signature of the member of the executive body (in paper form of the report).

5-1. Information on founders/participants (for OOO and OF) must contain the following information:

• surname, first name, and patronymic of the founder (participant)/name (for a legal entity);
• share of the founder (participant) in the authorized capital of the company (in percentage);
• date of entry of the founder (participant) into the capital;
• country of origin of the founder/participant (for legal entities, country of registration);
• place of work of the founder (participant)/location (for a legal entity);
• type of activity (position held in other companies);
• work phone number of the founder/participant (including city/settlement code), mobile phone number of the founder (participant) (including operator code);
• share of participation, shares in other FCO;
• ultimate beneficiary;
• specimen signature of the founder (participant) and head of the founder (participant) - a legal entity (in paper form of the report).

6. Information on shareholders of MCC owning more than 1% of shares (for joint-stock companies) must contain the following information:

• surname, first name, and patronymic of shareholders/name (for legal entities);
• share in the authorized capital of the company (in percentage);
• date of acquisition of shares;
• country of origin of the shareholder (for legal entities, country of registration);
• place of work of the shareholder/location (for a shareholder - a legal entity);
• type of activity (position held in other companies);
• work phone number of the shareholder (including city/settlement code), mobile phone number of the shareholder (including operator code);
• shares in other FCO (foreign or local FCO and share of ownership);
• ultimate beneficiary;
• specimen signature of the shareholder and head of the shareholder - a legal entity (in paper form of the report).

Note: this information is provided in the annual report or in case of changes during the quarter in the quarterly report.

6-1. Information on members of the Shariah Council of MCC/MCA must contain the following information:

• surname, first name, and patronymic of the member of the Shariah Council;
• date of election of the member of the Shariah Council;
• date of approval by the National Bank of the candidate for the position of member of the Shariah Council (Resolution of the Supervisory Committee/letter of consent);
• place of work;
• position held in the Shariah Council (chairman, deputy chairman, member of the Shariah Council);
• work phone number of the member of the Shariah Council (including city/settlement code), mobile phone number of the member of the Shariah Council (including operator code);
• position held in other companies/company names;
• share of the member of the Shariah Council in the authorized capital of the company/share of the member of the Shariah Council in ownership of shares in other NFKO;
• share of the member of the Shariah Council in the authorized capital of other companies/share of the member of the Shariah Council in ownership in other companies with indication of company names;
• date of entry of the member of the Shariah Council into the capital of other companies/date of acquisition of share of shares in other companies by the member of the Shariah Council;
• specimen signature of the member of the Shariah Council (in paper form of the report).

Chapter 4. Information on certain officials of MCC/MCA

7. Information on certain officials of MCC/MCA contains a list of the following officials (or persons equivalent to them):

1. chief accountant;
2. internal auditor;
3. risk manager;
4. compliance officer;
5. head of a structural unit responsible for credit activity;
6. head of a structural unit responsible for asset and liability management (or a person equivalent to him in terms of functional duties);
7. head of a structural unit responsible for financing on Islamic principles;
8. head of the "Islamic window".

8. For each official, the following information must be contained:

• surname, first name, and patronymic of the official;
• for officials whose candidates are subject to mandatory approval by the National Bank, the date of approval by the National Bank (Resolution of the Supervisory Committee/letter of consent);
• number of subordinate employees;
• work phone number of the official (including city/settlement code), mobile phone number of the official (including operator code);
• specimen signature of the official (in paper form of the report).

Chapter 5. Basic information on MCC/MCA, information on branches/representative offices/structural units (offices), subsidiary and affiliated companies, active committees

9. Basic information on MCC/MCA must contain information on the following subsections:

• basic information on MCC/MCA;
• information on branches, representative offices, structural units (offices) of MCC/MCA;
• subsidiary and affiliated companies of MCC/MCA;
• active committees of MCC/MCA.

9-1. Basic information on MCC/MCA includes the following information:

• full name of MCC/MCA;
• organizational and legal form of MCC/MCA;
• address (actual and legal address, city where the head office of MCC/MCA is located, street, house number, postal index);
• date of issuance of the certificate, additional licenses of the National Bank (indicated in chronological order, No., date);
• presence of restrictions in the licenses of the National Bank and/or in the activities of MCC/MCA (yes/no);
• list of restrictions in the licenses of the National Bank and/or in the activities of MCC/MCA;
• external audit (date of the last external audit, name of the audit organization);
• website of MCC/MCA on the Internet (link to the website address);
• officially announced contact: work phone numbers (including city/settlement code), mobile phone (including operator code), fax, email;
• personnel of MCC/MCA (total number of employees) with indication of staff units and employees under fixed-term employment contracts.

9-2. Information on branches, representative offices, structural units (offices) of MCC/MCA includes the following information:

• number of branches, representative offices, structural units, offices of MCC/MCA;
• names of branches, representative offices, structural units, offices of MCC/MCA;
• addresses of branches, representative offices, structural units, offices of MCC/MCA;
• surnames, first names, and patronymics of heads of branches, representative offices, structural units, offices of MCC/MCA.

9-3. For each subsidiary and affiliated company of MCC/MCA, the following information must be contained:

• name of the subsidiary and affiliated company;
• country of origin of the subsidiary and affiliated company;
• type of activity of the subsidiary and affiliated company;
• share of the company in the subsidiary and affiliated company in percentage;
• share and names of other founders/shareholders in the subsidiary and affiliated company;
• strategic plans regarding the subsidiary and affiliated company.

9-4. For each active committee of MCC/MCA, the following information must be contained:

• name of the committee;
• composition of committee members (Full Name), position held in the committee;
• position in MCC/MCA;
• date of approval by the National Bank (Resolution of the Supervisory Committee, letter of consent).

Note: Information indicated in other chapters must correspond to the information indicated in this chapter. On all other issues concerning the report, the National Bank will use the information presented in this chapter.

Chapter 6.

Section 1. Regulatory report on financial condition

10. In the Regulatory report on financial condition, the most significant items of the financial condition of MCC/MCA are separately highlighted from the point of view of the regulatory report.

11. The Regulatory report on financial condition consists of three columns: name of the report item; value of the item in som, in the third column, the som equivalent of balance sheet items in foreign currency is highlighted at the official exchange rate of the National Bank on the reporting date.

Note: amounts in items of the Regulatory report on financial condition (except for loans and financial leasing) are shown net of corresponding amounts of reserves for potential losses and losses, depreciation charges, and discount/premium (net asset value).

§ 1. Subsection "Assets"

In item 1 "Cash", amounts of monetary funds, including banknotes and coins in the working cash register, as well as banknotes and coins in som (including foreign currency in som equivalent at the official exchange rate of the National Bank on the reporting date) are indicated.

In item 2 "Current accounts", amounts of monetary funds in current accounts in banks or other financial and credit organizations, including in foreign currency, are indicated.

In item 3 "Deposits in banks and other financial and credit organizations", amounts of monetary funds in deposit accounts in banks or other financial and credit organizations, including in foreign currency, are indicated.

In item 4 "Securities", the book value of securities owned by MCC/MCA is indicated: portfolio of trading securities, securities available for sale, and securities held to maturity.

In item 5 "Loans to financial and credit organizations", the unpaid balance of both the principal amount of loans (including factoring operations) and financial leasing to financial and credit organizations on the reporting date is indicated. In addition, the amount of loans to financial and credit organizations under this item must be equal to the amount of loans to financial and credit organizations in Table A "Asset classification by risk degree", as well as the amount of loans to financial and credit organizations indicated in Table C "Breakdown by industries and regions".

In item 6 "Loans to clients", the unpaid balance of the principal amount of issued loans (including factoring operations) to clients, except for loans to FCO and financial leasing on the reporting date, is indicated.

In item 7 "Financial leasing (leasing) to clients", the unpaid balance of the principal amount issued under financial leasing to clients, except for loans to FCO and loans to clients on the reporting date, is indicated.

In item 8 "Minus: Reserve for potential losses and losses on loans", the amount of the special reserve for potential losses and losses on the principal amount of loans and financial leasing to financial and credit organizations and other clients is indicated. The amount of special RPPU under this item must be equal to the amount of special reserves in Table A "Asset classification by risk degree".

In item 9 "Total net loans", the amount of issued loans, minus the special reserve for potential losses and losses on loans and financial leasing (sum of items 5, 6, and 7 minus item 8) is indicated.

In item 10 "Investments", the amount of capital investments in companies not consolidated in this report is indicated.

In item 11 "Fixed assets", the cost of land or land plots, buildings and other structures owned or used by MCC/MCA, furniture and equipment, including vehicles, as well as the cost of materials, work, and other capitalizable expenses arising in connection with construction or major repair is indicated.

Item 12 "Other property, total" includes data from sub-items a) and b), shown separately in the corresponding rows:

In sub-item a) "Real estate of the borrower accepted in settlement of assets", the real estate of the borrower (former collateral) accepted by MCC/MCA in settlement of assets minus the corresponding RPPU is indicated.

In sub-item b) "Other assets of the borrower accepted in settlement of assets", other property of the borrower (except real estate) accepted by MCC/MCA in settlement of assets minus the corresponding RPPU is indicated.

In item 14 "Other assets", the book value of assets not indicated above, minus the corresponding special RPPU, is indicated.

In item 15 "Total: Assets", the sum of items 1, 2, 3, 4, 9, 10, 11, 12, and 14 is indicated.

Note: the sum of loans to financial and credit organizations and loans issued to clients must equal the sum of loans in Table A "Asset classification by risk degree", as well as the sum of loans reflected in Tables B "Lending methods" and C "Breakdown by industries and regions" in Section 3 "Information on the credit portfolio".

§ 2. Subsection "Liabilities"

In item 16 "Loans from banks of the Kyrgyz Republic", loans obtained by MCC/MCA from commercial banks of the Kyrgyz Republic are indicated.

In item 17 "Loans from other financial and credit organizations of the Kyrgyz Republic", loans obtained by MCC/MCA from financial and credit organizations of the Kyrgyz Republic, except commercial banks of the Kyrgyz Republic, are indicated.

In item 18 "Loans from international financial organizations and donors", loans obtained by MCC/MCA from international financial and donor organizations (other sources of financing) are indicated.

In item 19 "Loans from international financial and credit organizations", loans obtained by MCC/MCA from international banks are indicated.

In item 20 "Liabilities to state bodies", funds obtained from state bodies are indicated.

Note: in Section 6 "Disclosures", detailed information on the sources of obtained loans must be disclosed.

In item 21 "Subordinated debt obligations", long-term obligations are indicated, the owners of which have the right to assets after satisfaction of the claims of other creditors. This item also reflects grants, provided that the grant was obtained by MCC/MCA for a certain period of time or under certain conditions (in Section 6 "Disclosures", detailed information on the sources of obtained obligations/grants must be disclosed.)

In item 21-1 "Funds borrowed by MCC from founders (shareholders) - individuals", funds borrowed by MCC/MCA from founders (shareholders) - individuals are indicated;

In item 21-2 "Funds borrowed by MCC from founders (shareholders) - legal entities", funds borrowed by MCC/MCA from founders (shareholders) - legal entities are indicated;

In item 21-3 "Funds borrowed by MCC from legal entities and founders (shareholders)", funds borrowed by MCC/MCA from legal entities and founders (shareholders) are indicated;
