Via office letter 312-3/2511927/2022 dated December 14, 2022, this Commission approved the reform to Article Seven of the corporate statutes of Banco Sabadell, S.A., Multiple Banking Institution (Banco Sabadell), due to the increase to its share capital of the amount of $12,872 ' 929,080.00 to $13,203 ' 544,330.00, in terms of the unanimous resolutions of the shareholders adopted outside of assembly on January 30, 2023.

With a document presented to this Commission on May 3, 2023, through the email VPSupervisionGIFB@cnbv.gob.mx, in compliance with the requirement contained in our office letter 312-3/ 2511927/2022 previously referred, Banco Sabadell presented a certified copy of public deed 108,649 dated February 20, 2023, granted before the faith of Attorney Guillermo Oliver Bucio, public notary number 246 of Mexico City and registered in the Public Registry of Commerce of this same city on March 15, 2023, under the electronic commercial folio number 528922-1, in which the statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify the Fifth Base of the "Authorization for the organization and operation of a subsidiary multiple banking institution to be named Banco Sabadell, S.A., Multiple Banking Institution", contained in office letter P044/2015 issued by this same authority on August 12, 2015 and published in the Official Gazette of the Federation on September 4, 2015, modified for the last time via office letter 312-2/ 83866/2023 issued by this Commission on April 18, 2023 and published in said Gazette on May 10, 2023, to remain in the following terms:

"...
FIFTH .- The amount of its authorized share capital shall be $13,203 ' 544,330.00 (thirteen thousand two hundred three million five hundred forty-four thousand three hundred thirty pesos 00/100 M.N.).
..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Sabadell is required to report to this authority the date of publication of the text of this office letter, made in the Official Gazette of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen business days counted from the date of publication. The foregoing, with the understanding that said publications must be processed within fifteen business days following the date of receipt of this office letter.

This office letter is issued based on Articles 16, third-to-last paragraph of the National Banking and Securities Commission Law; 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
