Based on Article 9, second-to-last paragraph of the Popular Savings and Credit Law (LACP) and due to the comprehensive reform of the corporate bylaws of Servicios Financieros Alternativos, S.A. de C.V., S.F.P. (currently Klar Technologies, S.A. de C.V., S. F. P.), approved by this National Banking and Securities Commission (Commission) via Official Letter No. 311-40617/2024 dated February 26, 2024, the bases of the authorization granted to said popular financial society to organize and operate via official letters 311-550290/2006 and 134-531988/2006 dated October 3, 2006, are modified, to remain in the following terms:

FIRST.

The name of the company is Klar Technologies, which shall be used followed by the words Sociedad Anónima de Capital Variable, Sociedad Financiera Popular or its abbreviation S.A. de C.V., S.F.P.

SECOND.

Its duration shall be indefinite.

THIRD.

Its corporate purpose shall include the carrying out of all operations indicated in Article 36, fraction I of the Popular Savings and Credit Law.

FOURTH.

Its corporate domicile shall be located in Mexico City.

FIFTH.

The company will have an operations level of I.

SIXTH.

The authorization referred to in this official letter is, by its very nature, non-transferable.

SEVENTH.

The company shall be subject to the supervision of the National Banking and Securities Commission, as well as to auxiliary supervision by an authorized Federation to exercise auxiliary supervision of the popular financial society.

EIGHTH.

The operations that the company enters into by virtue of the following authorization, as well as the other operations it carries out, as well as its organization and operation in general, shall be subject, insofar as not expressly stated in this official letter, to the Political Constitution of the United Mexican States, to the treaties or international agreements of which the Mexican State is a party, to the Popular Savings and Credit Law, to the General Law of Mercantile Societies, to the Rules and General Provisions applicable to Popular Financial Societies issued by the Ministry of Finance and Public Credit and the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico, and to the other current and future norms and provisions issued by any competent authority, including those related to operations with resources of illicit origin and terrorist financing, which by their nature are applicable to it.

This official letter is issued based on the legal provisions cited above, as well as in the exercise of the powers conferred upon this Commission by Articles 147, 155 and 158, fraction IV of the LACP; 45, fraction I and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
