OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Tactiv Casa de Bolsa, S.A. de C.V.

We refer to Official Letter No.: 312-1/94529/2023 dated November 29, 2023, through which this Commission approved the reform of Article Three of the bylaws of Tactiv Casa de Bolsa, S.A. de C.V. (Tactiv CB) due to the change in its corporate purpose, eliminating subsections a), c), d), g), i), j), l), m), n), o), p), q), s), u) and v) of said Article Three, in accordance with the minutes of the extraordinary general shareholders' meeting held on December 1, 2023.

Regarding this matter, in compliance with the requirement contained in the aforementioned letter, Tactiv CB presented to this Commission on January 11, 2024, via the email VPSupervisionB@cnbv.gob.mx, an electronic copy of the notarial testimony containing public deed 134,263, dated December 11, 2023, granted before the authority of Licentiate Francisco Javier Arce Gargollo, Notary Number Seventy-Four of Mexico City and registered in the Public Commerce Registry of this same city on December 12, 2023, under electronic commercial folio 327417, with which the aforementioned statutory modification was formalized.

Therefore, this Commission, based on Article 114, last paragraph of the Securities Market Law, has resolved to modify the FOURTH TERM of the "RESOLUTION authorizing the organization and operation of a brokerage firm to be called Protego Casa de Bolsa, S.A. de C.V.", issued by the Ministry of Finance and Public Credit through Official Letter No.: 101.-1291 dated October 13, 2004, published in the Official Gazette of the Federation on March 1, 2005, which was last modified by this Commission through Official Letter No.: 312-1/2511323/2022 dated May 30, 2022, published in the Official Gazette of the Federation on July 1, 2022, to read as follows:

FOURTH . -

Its corporate purpose shall include the realization of any of the activities or

services provided for in Article 171 of the Securities Market Law, in relation

to what is established in Article 10, Section I of the General Provisions applicable to brokerage firms, based on a minimum subscribed and paid social capital

of at least the equivalent in national currency to 3,000,000 UDIs.

... "

Likewise, based on Articles 350 and 360 of the Securities Market Law and Article 19 of the National Banking and Securities Commission Law, this Commission requires Tactiv CB to inform this authority of the dates of publication of this official letter in the Official Gazette of the Federation and two widely circulated newspapers at its corporate address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 14, 19, Section X, 26, Sections I, subsection g), II, III and last paragraph, 44, Sections I and IV and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
