OFFICIAL LETTER modifying the terms of the authorization to organize and operate granted to Union de Crédito Saltillo, S.A. de C.V.

We refer to the documents received on October 7, 8, and 11, as well as December 6, 2021, by which, in compliance with the requirement contained in Official Letter No. 311-10037959/2021 dated November 10, 2021, you send to this National Banking and Securities Commission (Commission), through the email address autespecializadas@cnbv.gob.mx, a digitalized copy of Public Instrument No. 390 dated November 26, 2021, granted before Licentiate Juana Valdés Villarreal, Public Notary No. 50 of the State of Coahuila, and registered in the Public Commerce Registry with NCI 202100285570 of FME 9800, in which the modification to the seventh clause of the bylaws of Union de Crédito Saltillo, S.A. de C.V. was formalized, due to the increase in the social capital of said entity, to remain in the amount of $40,000,000.00 (Forty million pesos 00/100 M.N.), in accordance with the agreements adopted by the extraordinary general assembly of shareholders held on September 6, 2021.

For the above reason and based on articles 14 and 16 of the Credit Unions Law, this Commission deems it appropriate to modify point SECOND, fraction II of the authorization to organize and operate that was granted to said Credit Union, through Official Letter No. 601-II-734 dated January 26, 1993, which was last modified through Official Letter No. 311-12359/2013 dated August 20, 2013, to remain in the following terms:

II.- The authorized social capital will be $40,000,000.00 (Forty million pesos 00/100 M.N.), integrated by 400,000 (Four hundred thousand) shares with a nominal value of $100.00 (One hundred pesos 00/100 M.N.) each. The capital will be divided into three series of shares: series "A" and "A-1" will correspond to fixed capital without withdrawal rights and will be integrated by 250,000 (Two hundred fifty thousand) series "A" shares equivalent to an amount of $25,000,000.00 (Twenty-five million pesos 00/100 M.N.) and 140,000 (One hundred forty thousand) series "A-1" shares equivalent to an amount of $14,000,000.00 (Fourteen million pesos 00/100 M.N.); on the other hand, series "B" will represent variable capital, with withdrawal rights, and will be represented by 10,000 (Ten thousand) shares, equivalent to an amount of $1,000,000.00 (One million pesos 00/100 M.N.).

Likewise, and based on articles 14, second-to-last paragraph, and 78, first paragraph of the Credit Unions Law, and article 19 of the National Banking and Securities Commission Law, you are required to inform this authority of the date of publication of this modification official letter in the Official Gazette of the Federation, within a period of ten business days counted from the date of said publication, which must be processed within fifteen business days following the receipt of this official letter.

The above is communicated based on articles 1, 2, 4, fraction XXXVII, 10, fraction V, and 16, first paragraph, fraction XVII, and second paragraph of the National Banking and Securities Commission Law; 3, fraction IV, 4, fractions I, section B, and II, section B., numeral 29), 12, 16, fraction IX, 17, fraction X, 20, fractions I, subsection a), II, III, and last paragraph, 41, fractions I and III, and 58 of the Internal Regulations of the National Banking and Securities Commission.
