Official Letter Modifying Resolutives of Authorization for Grupo Financiero Aserta Following Insurance Company Name Change

OFFICIAL LETTER modifying the first, third, fourth, fifth, and tenth resolutives of the authorization granted to Grupo Financiero Aserta, S.A. de C.V., derived from the change of denomination of the insurance institution from Alcanza Seguros, S.A. de C.V. to Aserta Seguros Vida, S.A. de C.V., Grupo Financiero Aserta.

At the margin, a seal with the National Emblem, which reads: United Mexican States.- Ministry of Finance and Public Credit.- Undersecretariat of Finance and Public Credit.- Insurance, Pensions and Social Security Unit.- General Legal Directorate for Insurance, Sureties and Pensions.- Official Letter No. 366-III-017/17.

The Federal Government, through this Ministry of Finance and Public Credit, based on the provisions of Articles 31, fraction VIII of the Organic Law of the Federal Public Administration, 11 of the Law to Regulate Financial Groups, and 36, fraction VI of the Internal Regulations of the Ministry of Finance and Public Credit, issues the resolution indicated below, in accordance with the following background and considerations:

BACKGROUND

I.

Grupo Financiero Aserta, S.A. de C.V. is a company authorized by this Ministry to be constituted and operate as a holding company and function as a financial group, as evidenced in resolution 101.-1164 of December 21, 2007, published in the Official Gazette of the Federation on July 8, 2010, and last modified by official letter 366-III-199/16 of May 27, 2016, published in the Official Gazette of the Federation on December 21, 2016.

II.

By official letter 366-III-200/16 of May 27, 2016, the Insurance, Pensions and Social Security Unit:

a)

Approved the modification to the bylaws of Grupo Financiero Aserta, S.A. de C.V., in the terms contained in public deed No. 102,632 of May 12, 2016, executed before the notary of Lic. José Ángel Fernández Uria, Notary Public No. 217, in which the extraordinary general assembly of shareholders of Grupo Financiero Aserta, S.A. de C.V. of April 30, 2015, was notarized, which resolved:

To change the denomination of the insurance institution from Alcanza Seguros, S.A. de C.V. to Aserta Seguros Vida, S.A. de C.V., Grupo Financiero Aserta, and

To adjust said bylaws to the Law to Regulate Financial Groups, published in the Official Gazette of the Federation on January 10, 2014.

b)

Requested to send the first certified copy and three simple copies of the aforementioned public deed 102,632, with registration data in the Public Commerce Registry, for the purpose of proceeding to modify the authorization granted to said financial group, to organize as a holding company and to be constituted and function as a financial group.

III.

By written submission of December 20, 2016, Grupo Financiero Aserta, S.A. de C.V. submitted the first certified copy of public deed 102,632, with registration data in the Public Commerce Registry of July 10, 2016, and commercial folio 325441*.

CONSIDERATIONS

I.

That as a result of the modification to the bylaws of Grupo Financiero Aserta, S.A. de C.V. in order to express the current denomination of the insurance institution Aserta Seguros Vida, S.A. de C.V., Grupo Financiero Aserta and to comply with the Law to Regulate Financial Groups, published in the Official Gazette of the Federation on January 10, 2014, as indicated in Background II, the terms of the authorization granted to said financial group must be modified.

II.

That the first certified copy and the three simple copies of public deed 102,632 with registration data in the Public Commerce Registry were submitted to this Ministry.

RESOLUTION

First.- The First, Third, Fourth, Fifth, and Tenth Resolutives of the authorization granted to Grupo Financiero Aserta, S.A. de C.V., to be constituted and function as a financial group, are modified, to read as follows:

" FIRST.- In exercise of the power conferred upon the Federal Government by Article 11 of the Law to Regulate Financial Groups, this Ministry authorizes the organization of Grupo Financiero Aserta, S.A. de C.V. as a holding company and the constitution and functioning of the respective financial group.

THIRD.- The holding company shall have as its object to participate, directly or indirectly, in the share capital of the financial entities comprising the financial group.

FOURTH.- The holding company of Grupo Financiero Aserta, S.A. de C.V. shall maintain directly or indirectly more than fifty percent of the shares representing the share capital of the financial entities comprising the financial group.

FIFTH.- The financial group shall be integrated by the holding company and by the following financial entities:

1.

Afianzadora Aserta, S.A. de C.V., Grupo Financiero Aserta.

2.

Afianzadora Insurgentes, S.A. de C.V., Grupo Financiero Aserta.

3.

Aserta Seguros Vida, S.A. de C.V., Grupo Financiero Aserta.

Likewise, the Company shall participate in the share capital of the service provider company Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta.

TENTH.- In matters not expressly stated in this resolution, Grupo Financiero Aserta, S.A. de C.V., shall be subject to the Law to Regulate Financial Groups, to the General Rules of Financial Groups, and to the other norms that, by their nature, are applicable to it, as well as all legislation and regulation currently in force applicable to the matter or that may be issued in the future. "

Second.- The authorization granted to Grupo Financiero Aserta, S.A. de C.V. to be constituted and function as a financial group, after the modification indicated in the previous Resolutive, remains in its entirety in the following terms:

FIRST.- In exercise of the power conferred upon the Federal Government by Article 11 of the Law to Regulate Financial Groups, this Ministry authorizes the organization of Grupo Financiero Aserta, S.A. de C.V. as a holding company and the constitution and functioning of the respective financial group.

SECOND.- The denomination of the holding company of the financial group to which this refers shall be "Grupo Financiero Aserta, S.A. de C.V."

THIRD.- The holding company shall have as its object to participate, directly or indirectly, in the share capital of the financial entities comprising the financial group.

FOURTH.- The holding company of Grupo Financiero Aserta, S.A. de C.V. shall maintain directly or indirectly more than fifty percent of the shares representing the share capital of the financial entities comprising the financial group.

FIFTH.- The financial group shall be integrated by the holding company and by the following financial entities:

1.

Afianzadora Aserta, S.A. de C.V., Grupo Financiero Aserta.

2.

Afianzadora Insurgentes, S.A. de C.V., Grupo Financiero Aserta.

3.

Aserta Seguros Vida, S.A. de C.V., Grupo Financiero Aserta.

Likewise, the Company shall participate in the share capital of the service provider company Corporación de Servicios San José, S.A. de C.V., Grupo Financiero Aserta.

SIXTH.- The share capital of Grupo Financiero Aserta, S.A. de C.V. is variable.

SEVENTH.- The domicile of the holding company shall be Mexico City, Federal District.

EIGHTH.- The holding company shall be subject to inspection and supervision by the National Insurance and Sureties Commission.

NINTH.- The authorization referred to in this resolution is, by its nature, non-transferable.

TENTH.- In matters not expressly stated in this resolution, Grupo Financiero Aserta, S.A. de C.V., shall be subject to the Law to Regulate Financial Groups, to the General Rules of Financial Groups, and to the other norms that, by their nature, are applicable to it, as well as all legislation and regulation currently in force applicable to the matter or that may be issued in the future.

This authorization shall be subject to the suspensive condition of this Ministry, through the Insurance, Securities and Pensions Unit, issuing approval of the bylaws of the holding company and the single liability agreement in accordance with Article 17 of the Law to Regulate Financial Groups.

To this effect, Grupo Financiero Aserta, S.A. de C.V. shall submit to this Department the first certified copies and two simple copies of said instruments.

Third.- This resolution shall be published in the Official Gazette of the Federation, at the expense of Grupo Financiero Aserta, S.A. de C.V., in accordance with what is established in Article 11 of the Law to Regulate Financial Groups.
