OFFICIAL LETTER modifying the bases of the authorization for the organization and operation of Banco Bancrea, S.A., Multiple Banking Institution.

SUBJECT: THE BASES OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

Through official letters 312-2/94011/2023, 312-2/94457/2023, and 312-2/42197/2024, dated August 2 and October 25, 2023, and May 6, 2024, respectively, this Commission approved Banco Bancrea, S.A., Multiple Banking Institution (Bancrea) various reforms to Article Seven of the corporate bylaws of that entity, due to the increases in its share capital described below:

1. Increase by the amount of $15,958,549.00 to reach a total of $1,396,591,477.00, pursuant to the minutes of the ordinary and extraordinary general shareholders' meeting held on May 31, 2022.

2. Increase by the amount of $15,437,555.00 to reach a total of $1,412,029,032.00, pursuant to the minutes of the extraordinary general shareholders' meeting held on August 29, 2022.

3. Increase by the amount of $15,437,555.00 to reach a total of $1,427,466,587.00, pursuant to the minutes of the extraordinary general shareholders' meeting held on September 28, 2022.

4. Increase by the amount of $43,125,716.00 to reach a total of $1,470,592,303.00, pursuant to the minutes of the extraordinary general shareholders' meeting held on February 27, 2023.

5. Increase by the amount of $40,048,483.00 to reach a total of $1,510,640,786.00, pursuant to the minutes of the extraordinary general shareholders' meeting held on May 29, 2023.

6. Increase by the amount of $37,980,119.00 to reach a total of $1,548,620,905.00, pursuant to the minutes of the extraordinary general shareholders' meeting held on August 28, 2023.

With writings presented on August 25 and December 1, 2023, and May 30, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx and in compliance with the requirements contained in the official letters referred to in the preceding paragraph, Bancrea submitted to this Commission a certified copy of the documentation indicated below, in which the statutory modifications in question were formalized:

a) Public Deed 33,616 dated August 7, 2023, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on August 17, 2023.

b) Public Deed 33,920 dated October 30, 2023, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on November 22, 2023.

c) Public Deed 33,921 dated October 31, 2023, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on November 22, 2023.

d) Public Deed 33,932 dated November 1, 2023, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on November 22, 2023.

e) Public Deed 33,943 dated November 6, 2023, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on November 22, 2023.

f) Public Deed 34,672 dated May 9, 2024, granted before the notary public Licentiate César Alberto Villanueva García, Notary Public Number 23 of the city of Monterrey, and registered in the Public Commerce Registry of the same city on May 22, 2024.

For the above reason and based on Article 8, last paragraph of the Credit Institutions Law (LIC), this Commission deems it appropriate to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Bancrea, S.A., Multiple Banking Institution," now Banco Bancrea, S.A., Multiple Banking Institution, contained in Official Letter P050/2013 dated June 18, 2013, published in the Official Federal Diary (DOF) on July 15 of the same year and last modified by Official Letter 312-2/2511171/2022 dated March 11, 2022, published in the same DOF on April 25, 2022, to read as follows:

" ...

FIFTH. - The amount of its paid-in share capital shall be $1,548,620,905.00 (one billion five hundred forty-eight million six hundred twenty thousand nine hundred five pesos 00/100) M.N.

... "

Likewise, based on Articles 8, last paragraph, and 97 of the LIC and Article 19 of the Law of the National Banking and Securities Commission, Bancrea is required to inform this authority of the dates of the publications made in the DOF and in two widely circulated newspapers of its social domicile, of this modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission, 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
