OFFICIAL LETTER modifying the bases of the authorization for the organization and operation of Banco Inmobiliario Mexicano, S.A., Multiple Banking Institution.

SUBJECT: THE BASES OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

Through official letters 312-2/2511779/2022, 312-2/42259/2024, and 312-2/43071/2024 dated November 24, 2022, May 14, and December 13, 2024, respectively, this Commission approved Banco Inmobiliario Mexicano, S.A., Multiple Banking Institution (Banco Inmobiliario): i) the reform to the seventh clause of its bylaws due to an increase in its social capital by the amount of $49,882,400.00, leaving said capital at a total sum of $1,115,889,500.00; ii) the reform to the seventh clause of its bylaws due to two increases in its social capital by the amounts of $124,529,800.00 and $130,000,000.00, leaving it at a total sum of $1,370,419,300.00; and iii) the reform to the seventh clause of its bylaws due to an increase in its social capital by the amount of $151,465,000.00, leaving it at a sum of $1,521,884,300.00.

With writings presented on January 26, 2023, June 5 and 21, and July 3, 2024, and January 21, 2025, through the email address VPSupervisionGIFB@cnbv.gob.mx and in compliance with the requirement contained in the official letters referred to in the previous paragraph, Banco Inmobiliario submitted to this Commission a certified copy of the documentation indicated below, in which the statutory modifications in question were formalized:

Public Deed 41,056 dated December 8, 2022, granted before the notary public Licentiate Heriberto Castillo Villanueva, notary public number 69 of Mexico City, and registered in the Public Registry of Property and Commerce of the same city on January 18, 2023.
Public Deeds 42,722 and 42,723, both dated May 31, 2024, granted before the notary public Licentiate Heriberto Castillo Villanueva, notary public number 69 of Mexico City, and registered in the Public Registry of Property and Commerce of the same city on June 10, 2024.
Public Deeds 80,435 and 80,436, both dated December 20, 2024, granted before the notary public Licentiate Liliana Gutiérrez Robles, notary public number 44 of Mexico City, and registered in the Public Registry of Property and Commerce of the same city on December 20, 2024.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law (LIC), this Commission deems it appropriate to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Banco Inmobiliario Mexicano, S.A., Multiple Banking Institution," contained in official letter 100/028/2012 issued by this same authority on November 16, 2012, and published in the Official Federal Diary (DOF) on November 30, 2012, last modified by official letter 312-2/0092/2020 issued by this authority on March 5, 2020, and published in the same DOF on March 31, 2020, to read as follows:

" ...
FIFTH .- The amount of its paid-in social capital shall be $1,521,884,300.00 (one billion five hundred twenty-one million eight hundred eighty-four thousand three hundred pesos 00/100) M.N.
... "

Likewise, based on Articles 8, last paragraph, and 97 of the LIC and 19 of the Law of the National Banking and Securities Commission, Banco Inmobiliario is required to inform this authority of the date of the publications made in the DOF and in two widely circulated newspapers of its social domicile, of this modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
