OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco PagaTodo, S.A., Multiple Banking Institution.

By Official Letter No.: 312-1/2511668/2022 dated October 6, 2022, this Commission approved the reform to the seventh article of the bylaws of Banco PagaTodo, S.A., Multiple Banking Institution (Banco PagaTodo) due to various increases in its social capital, resulting in a total amount of $486,300,000.00 (four hundred eighty-six million three hundred thousand pesos 00/100 M.N.), which were agreed upon in extraordinary general shareholder meetings held on December 31, 2020, March 24 and 31, June 30, September 30, and December 31, 2021.

Regarding this matter, in compliance with the requirement contained in the official letter mentioned in the previous paragraph, Banco PagaTodo presented to this Commission on January 10, 2023, via the email VPSupervisionGIFA@cnbv.gob.mx, simple copies of the notarial deeds containing public deeds 59,550; 59,551; 59,552; 59,553; 59,554; and 59,555, all dated October 25, 2022, granted before the notary public Lic. Maximino García Cueto, Notary Number 14 of Mexico City, and registered in the Public Registry of Property and Commerce of this same city on October 28, 2022, under electronic commercial folio 488838-1, with which the statutory modification in question was formalized.

Therefore, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Banco PagaTodo, S.A., Multiple Banking Institution," issued by this Commission by Official Letter No.: 100/022/2012 dated September 18, 2012, published in the Official Gazette of the Federation on April 4, 2013, last modified by this Commission by Official Letter No.: 312-1/2511145/2022 dated February 10, 2022, published in the aforementioned Gazette on March 22, 2022, to read as follows:

"...

FIFTH.

The social capital of "Banco PagaTodo S.A., Multiple Banking Institution" shall be the amount of $486,300,000.00 (four hundred eighty-six million three hundred thousand pesos 00/100 M.N.)
..."

Likewise, and based on Article 8, last paragraph, Article 97 of the Credit Institutions Law, and Article 19 of the National Banking and Securities Commission Law, Banco PagaTodo is required to inform this Commission of the dates of publication of this official letter, carried out in the Official Gazette of the Federation and two widely circulated newspapers at its social address, within a period of ten business days counted from the date of said publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II, III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
