OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Sabadell, S.A., Multiple Banking Institution.

With official letter 312-3/33116724/2023 dated December 7, 2023, this Commission approved the reform of Article Seventh of the bylaws of Banco Sabadell, S.A., Multiple Banking Institution (Banco Sabadell), due to the increase in its social capital by the amount of $673,296,750.00, to go from the amount of $13,411,083,830.00 to $14,084,380,580.00, in terms of the unanimous resolutions of shareholders adopted outside of assembly on December 15, 2023.

Through a document presented to this Commission on February 26, 2024, via the email VPSupervisionGIFB@cnbv.gob.mx and in compliance with the requirement contained in our official letter 312-3/33116724/2023, Banco Sabadell sent a certified copy of public deed 20,513, dated January 24, 2024, granted before the notary public Licentiate César Álvarez Flores, public notary number eighty-seven of Mexico City and registered in the Public Registry of Commerce of this same city, on February 2, 2024, under electronic commercial folio number 528922, in which the aforementioned statutory modification was formalized.

For the above, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, deems it appropriate to modify the Fifth Base of the authorization for the organization and operation of a multiple banking institution subsidiary to be named Banco Sabadell, S.A., Multiple Banking Institution, contained in official letter P044/2015 issued by this same authority on August 12, 2015 and published in the Official Federal Diary on September 4, 2015, last modified by official letter 312-3/94512/2023 issued by this Commission on November 21, 2023 and published in said Diary on December 18, 2023, to remain in the following terms:

FIFTH. - The amount of its authorized social capital will be $14,084,380,580.00 (fourteen billion eighty-four million three hundred eighty thousand five hundred eighty pesos 00/100 M.N.)

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Sabadell is required to inform this authority of the date of publication of the text of this official letter, carried out in the Official Federal Diary and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II, III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
