OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Sabadell, S.A., Multiple Banking Institution

Through official letter 312-3/93863/2023 dated April 18, 2023, this Commission approved the reform to Article Seventh of the bylaws of Banco Sabadell, S.A., Multiple Banking Institution (Banco Sabadell), due to the increase in its social capital in the amount of $207,539,500.00, to go from the amount of $13,203,544,330.00 to $13,411,083,830.00, in terms of the unanimous resolutions adopted by shareholders outside of a meeting on April 28, 2023.

With a document presented to this Commission on July 26, 2023, through the email address VPSupervisionGIFB@cnbv.gob.mx, in compliance with the requirement contained in our aforementioned official letter 312-3/93863/2023, Banco Sabadell presented a certified copy of public deed number 19,629 dated July 5, 2023, granted before the notary public Licentiate César Álvarez Flores, public notary number 87 of Mexico City and registered in the Public Registry of Commerce of this same city on July 14, 2023, under electronic commercial folio number 528922-1, in which the aforementioned statutory modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify Base Fifth of the "Authorization for the organization and operation of a multiple banking institution subsidiary to be named Banco Sabadell, S.A., Multiple Banking Institution" contained in official letter P044/2015 issued by this same authority on August 12, 2015 and published in the Official Federal Diary on September 4, 2015, last modified by official letter 312-3/93925/2023 issued by this Commission on May 31, 2023 and published in said Diary on June 20, 2023, to remain in the following terms:

FIFTH.- The amount of its authorized social capital will be $13,411,083,830.00 (thirteen billion four hundred eleven million eighty-three thousand eight hundred thirty pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Sabadell is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Diary and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
