OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Punto Casa de Bolsa, S.A. de C.V.

Through official letter 312-3/42270/2024 dated May 17, 2024, this Commission received the written submission through which Punto Casa de Bolsa, S.A. de C.V. (Punto CB) informed of the increase in its fixed share capital by the amount of $49,995,000.00, bringing the total amount to $296,995,000.00, of which $173,495,000.00 correspond to the minimum fixed portion and $123,500,000.00 to the variable portion of said capital, in accordance with the "Unanimous Resolutions Adopted Outside of Shareholders' Meetings" dated June 3, 2024.

Regarding this matter, in compliance with the requirement contained in the aforementioned official letter, through a submission presented on June 5, 2024, via the email address VPSupervisionB@cnbv.gob.mx, Punto CB presented to this Commission a copy of the second testimonial of public deed 58,507 dated June 3, 2024, granted before the notary public Lic. Luis Eduardo Paredes Sánchez, public notary number 180 of Mexico City, and registered in the Public Commerce Registry of this same city on June 4, 2024, under electronic commercial folio number 460057, in which the statutory modification in question was formalized.

For the foregoing, this Commission, based on Article 114, last paragraph of the Securities Market Law, has resolved to modify Base One, fraction III of the "Authorization for the organization and operation of the brokerage house to be named Punto Casa de Bolsa, S.A. de C.V.", contained in official letter 210-111/2011 issued by this authority on May 2, 2011, and published in the Official Federal Diary on July 8, 2011; last modified by official letter 312-3/93909/2023 issued by this Commission on May 22, 2023, and published in said Diary on June 14, 2023, to remain in the following terms.

The minimum fixed share capital of Punto Casa de Bolsa, S.A. de C.V. amounts to the sum of

$173,495,000.00 (one hundred seventy-three million four hundred ninety-five thousand pesos 00/100 M.N.) .

Likewise, based on Articles 114, last paragraph, and 350 and 360 of the Securities Market Law and 19 of the National Banking and Securities Commission Law, Punto CB is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Diary and in two widely circulated newspapers at its social address, within a period of fifteen business days counted from the date of said publications. This is understood to mean that such publications must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 26, fractions I, subsection g), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
