OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Bansi, S.A., Multiple Banking Institution.

By official letter 312-3/2511244/2022 dated March 15, 2022, this Commission approved the modification of Clause Seventh of the bylaws of Bansi, S.A., Multiple Banking Institution (Bansi), on the occasion of (i) the decrease in its social capital by $106,547,000.00, as a consequence of the cancellation of shares held in Treasury, and (ii) the increase in its social capital in the amount of $1,178,637,000.00, to stand at $2,357,274,000.00, in accordance with the minutes of the ordinary and extraordinary general shareholders' meeting held on April 30, 2020.

With a submission presented to this Commission on July 5, 2022, through the email address VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirement contained in our aforementioned official letter 312-3/2511244/2022, Bansi presented a certified copy of public deed 18,561 dated April 6, 2022, granted before the notary public Lic. Ricardo Salvador Rodríguez Vera, public notary number 34 of Zapopan, Jalisco, and registered in the Public Registry of Commerce of Guadalajara on June 10, 2022, under electronic commercial folio number 774, in which the aforementioned bylaw modification was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify point Third of the "Resolution authorizing the establishment and operation of a multiple banking institution to be named Bansi, S.A.", contained in official letter 101.-512 issued by the Ministry of Finance and Public Credit on March 30, 1995 and published in the Official Federal Gazette on April 19, 1995, last modified by official letter 312-2/66512/2018 issued by this Commission on September 26, 2018 and published in said Gazette on October 26, 2018, to read as follows:

"...

THIRD.- The social capital of Bansi, S.A., Multiple Banking Institution amounts to $2,357,274,000.00 (two billion three hundred fifty-seven million two hundred seventy-four thousand pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Bansi is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Gazette and in two widely circulated newspapers at its registered office, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
