OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Autofin México, S.A., Multiple Banking Institution.

The terms of the authorization for the organization and operation of said entity are modified.

Through official letters 312-2/0166/2020 and 312-2/0167/2020, both dated June 30, 2020, this Commission approved the reforms to the seventh article of the corporate bylaws of said entity, due to two increases in its social capital, bringing it to the amount of $965,257,230.00.

With writings presented on October 21, 2020, and February 26, 2021, and in compliance with the requirements contained in the official letters referred to in the preceding paragraph, they send to this Commission certified copies of public deeds 161,444 dated July 13, 2020, and 155,963 dated October 30, 2019, granted before the notary public Lic. Amando Mastachi Aguario, Notary Public Number 121 of Mexico City, and registered in the Public Property and Commerce Registry of said city on September 9, 2020, and February 18, 2021, respectively, in which the aforementioned bylaw modifications were formalized.

For the above reason and based on Article 8, last paragraph, of the Credit Institutions Law, this Commission deems it appropriate to modify Point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Autofin México, S.A., Multiple Banking Institution," contained in official letter 101-865 issued by the Ministry of Finance and Public Credit on December 7, 2005, and published in the Official Gazette of the Federation on January 6, 2006, last modified by official letter 312-2/70363/2019 issued by this Commission on December 12, 2019, and published in the same Gazette on January 28, 2020, to read as follows:

"...

THIRD.- The social capital of Banco Autofin México, S.A., Multiple Banking Institution, amounts to $965,257,230.00 (nine hundred sixty-five million two hundred fifty-seven thousand two hundred thirty pesos 00/100) national currency.

..."

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, this entity is required to inform this authority of the dates of the publications made in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph, of the National Banking and Securities Commission Law; 12, 17, fraction X, 19, fractions I, subsection c), II and III, and last paragraph, and 40, fractions I and IV, of the Internal Regulations of the National Banking and Securities Commission.
