Based on Article 14, fourth paragraph of the Credit Unions Law and due to the reform to the seventh clause of the social statutes of that credit union, in order to reflect the form in which its share capital will remain derived from the increase in its authorized share capital from $70,000,000.00 to $120,000,000.00, in terms of the minutes of the extraordinary general assembly of shareholders of

the Union de Credito Empresarial de Veracruz, S.A. de C.V., held on July 11, 2022, this National Banking and Securities Commission modifies the Second term, fraction II of the authorization to operate that was granted to it via official letter number 601-VI-VJ-A-0124/94 dated July 26, 1994,

to remain in the following terms:

The authorized share capital will be $120,000,000.00 (one hundred twenty million pesos 00/100 M.N.)

represented by 1,000,000 (one million) Series "A" shares corresponding to fixed capital without

withdrawal rights and 200,000 (two hundred thousand) Series "B" shares representing variable capital with

withdrawal rights, all of them with a nominal value of $100.00 (one hundred pesos 00/100 M.N.) each.

This official letter is issued based on the legal provisions cited above, as well as in exercise of the powers conferred in Articles 1, 2, 4, fraction XXXVIII and 10, fraction V of the Law of the National Banking and Securities Commission, as well as Articles 1, 3, fraction V, 4, fractions I, section B and 2,

section B, numeral 32), 14, 45, fraction I and 64, first and third paragraphs of the Internal Regulations of the National Banking and Securities Commission, published in the Official Gazette of the Federation on February 28

of 2022.
