Official Letter whereby the incorporation of Banco Bineo, S.A., Multiple Banking Institution, Grupo Financiero Banorte, S.A.B. de C.V., is authorized as an integrating financial entity of Grupo Financiero Banorte, S.A.B. de C.V.
Grupo Financiero Banorte, S.A.B. de C.V. is authorized to incorporate Banco Bineo, S.A., Multiple Banking Institution, Grupo Financiero Banorte as an integrating financial entity of the financial group. The group must submit certified copies of public deeds regarding the Extraordinary Shareholders' Meeting and Unanimous Resolutions within 40 business days following their execution before a public notary, and must register these instruments in the Public Registry of Commerce. The authorization is subject to resolutory conditions if the agreements differ from the submitted proposal or if registration deadlines are missed, and requires publication in the Official Gazette of the Federation at the expense of Grupo Financiero Banorte, S.A.B. de C.V.
