By means of letter 312-3/0031/2020 dated February 5, 2020, this Commission approved the reform to

Clause Eighth of the corporate bylaws of Intercam

Banco, S.A., Multiple Banking Institution,

Intercam Financial Group

(Intercam

Banco ), due to the decrease in its social capital of the

amount of $1,329 ' 093,34.00, to remain in the amount of $1,304 ' 293,340.00, in terms of the minutes of the

extraordinary general shareholders meeting held on February 20, 2019 which they remitted for

such

effect.

With letter 312-3/0032/2020 dated February 5, 2020, this Commission approved the reform to Clause

Eighth of the corporate bylaws of Intercam

Banco , due to the increase in its social capital of the

amount of $1,304 ' 293,340.00, to remain in the amount of $1,516 ' 293,340.00, in terms of the minutes of the

extraordinary general shareholders meeting held on March 15, 2019 which they remitted for

such

effect.

With letter 312-3/0033/2020 dated February 5, 2020, this Commission approved the reform to Clause

Eighth of the corporate bylaws of Intercam

Banco , due to the increase in its social capital of the

amount of $1,516 ' 293,340.00, to remain in the amount of $1,616 ' 293,340.00, in terms of the minutes of the

extraordinary general shareholders meeting held on August 7, 2019 which they remitted

for such

effect.

With letter 312-3/0308/2020 dated October 13, 2020, this Commission approved the reform to the

Clause Eighth of the corporate bylaws of Intercam

Banco , due to the increase in its social capital of

the amount of $1,616 ' 293,340.00, to remain in the amount of $1,999 ' 509,910.00, in terms of the minutes

of the extraordinary general shareholders meeting held on April 28, 2020 which they remitted for

such

effect.

With writings dated August 20, 2020, February 2, 2021 and January 14, 2022 presented to

this Commission through the email VPSupervisionGIFA@cnbv.gob.mx , in compliance with the requirements

contained in letters 312-3/0031/2020, 312-3/0032/2020, 312-3/0033/2020 and 312-3/0308/2020 before

referenced, Intercam

Banco presented certified copy of the public deeds 42,544, 42,545 and 42,546 of

dates February 18, 2020 and 44,551 dated October 20, 2020 all granted before the faith of the

attorney Luis Eduardo Paredes Sánchez public notary number 180 of Mexico City, all registered

in the Public Registry of Commerce of this same city on the days March 17, 2020, March 18, of

2020, December 9, 2021 and December 7, 2020 respectively, all under the electronic commercial

folio number 472883-1, in which the statutory modifications in question were formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this

Commission sees fit to modify Point Third of the " Resolution authorizing the organization and

operation of a multiple banking institution called Banco Regional, S.A., Multiple Banking

Institution, Banregio Financial Group " , currently Intercam Banco, S.A. Multiple Banking Institution,

Intercam Financial Group, contained in letter 101-696 issued by the Ministry of Finance and Public

Credit on November 17, 2006 and published in the Official Gazette of the Federation on December 15, of

2006, modified for the last time by means of letter 312-2/69966/2019 issued by this Commission on February 20

of 2019 and published in said Gazette on March 21, 2019, to remain in the following terms:

" ...

THIRD .- The social capital of Intercam

Banco, S.A., Multiple Banking Institution, Intercam Group

Financial , amounts to the quantity of $1,999 ' 509,910.00 (one thousand nine hundred ninety-nine million

five hundred nine thousand nine hundred ten pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19

of the National Banking and Securities Commission Law, Intercam

Banco is required to inform this

authority the date of the publication of the text of this modification letter, carried out in the Official Gazette

of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen

business days counted from the date of publication. The foregoing, understanding that said publications

must be processed within the fifteen business days following the date of receipt of this letter.

This letter is issued based on Articles 16, antepenultimate paragraph of the Law of the

National Banking and Securities Commission; 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph,

44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
