OFFICIAL LETTER whereby the terms of the authorization for the organization and operation of Banco Base, S are modified

Via official letter 312-3/2511641/2022 dated September 19, 2022, this Commission approved the reform to Article Sixth of the corporate bylaws of Banco Base, S.A., Multiple Banking Institution, Base Financial Group ( Banco Base ), due to the increase to its minimum fixed social capital from the amount of $731 ' 817,554.00 to the amount of $831 ' 817,554.00, in terms of the minutes of the extraordinary general shareholders' assembly held on June 24, 2022, which were attached for such purpose.

With a document presented on November 9, 2022, through the email VPSupervisionGIFB@cnbv.gob.mx and in compliance with the requirement contained in the official letter 312-3/2511641/ 2022 previously referred to, Banco Base sent to this Commission a certified copy of public deed number 26,369 dated September 28, 2022, granted before Mr. Manuel García Garza, public notary number 62 in San Pedro Garza García, Nuevo León, and registered in the Public Registry of Commerce of Monterrey, Nuevo León on October 14, 2022, under commercial folio 128785, in which the statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify the Second Base of the " Authorization for the spin-off of Base Internacional Casa de Bolsa., S.A. de C.V., as well as for the organization and operation of the multiple banking institution to be named Banco Base, S.A., Multiple Banking Institution " , contained in official letter 210-135/2011 issued by this Commission on June 14, 2011 and published in the Official Gazette of the Federation on July 12, 2011, modified for the last time via official letter 312-3/70034/2019 issued by this Commission on March 27, 2019 and published in said Gazette on May 6, 2019, to remain in the following terms:

" ...

SECOND .- The amount of its social capital shall be $831 ' 817,554.00 (eight hundred thirty-one million eight hundred seventeen thousand five hundred fifty-four pesos 00/100 National Currency).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the Law of the National Banking and Securities Commission, Banco Base is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Gazette of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen business days counted from the date of publication. The above, understanding that said publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, third-to-last paragraph of the Law of the National Banking and Securities Commission; 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
