On the Approval of the Prospectus for the Primary Public Offer of Bonds Issued by the Municipality of Ungheni

Following the examination of the application of the Municipality of Ungheni (registered with the National Financial Market Commission (CNPF) under No. 6446 on 28.07.2026) regarding the approval of the prospectus for the primary public offer of bonds, as well as the related documents, presented in full volume on 31.07.2026 (registered with CNPF under No. 6562),

on the basis of Law No. 419/2006 on the public sector debt, state guarantees and state refinancing, Articles 14 and 15 of Law No. 171/2012 on the capital market, Article 8 letter k), Article 18 paragraph (3), Article 20 paragraph (1) and paragraph (6) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission,

the Instruction on the procedure for registering bonds issued by local public administration authorities (CNPF Decision No. 18/1/2018) and points 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),

the National Financial Market Commission DECIDES:

1. The prospectus for the primary public offer of unregistered, non-materialized, non-convertible bonds, guaranteed by the revenues of the administrative-territorial unit, issued by the Municipality of Ungheni (IDNO 1007601001787, MD-3601, Ungheni city, 7 Nationala Street), is approved, in a total volume of 10,000,000 lei, in the number of 10,000 bonds, with a nominal value of 1,000 lei per bond, of three different classes: 3,000 Class I bonds, with a circulation term of 2 years, with a fixed annual interest rate of 9.50%, paid semi-annually, with ISIN code MD2004000167; 5,000 Class II bonds, with a circulation term of 3 years, with a fixed annual interest rate of 10%, paid semi-annually, with ISIN code MD2004000175; 2,000 Class III bonds, with a circulation term of 4 years, with a floating annual interest rate, equal to the reference rate, connected to the weighted average nominal interest rate on treasury bills with a circulation term of 182 days (or close to this maturity), established at 4 consecutive auctions for the sale of state securities, calculated for the first coupon 3 working days before the offer announcement date and for subsequent coupons – 3 working days before each date of the start of coupon accumulation + a fixed margin of 0.5 p.p. (communicated publicly), paid semi-annually, and with ISIN code MD2004000183.

2. The primary public offer of bonds, indicated in point 1, will run within 30 calendar days, after the expiration of at most 5 calendar days from the date of publication of the offer announcement, and will be addressed exclusively to individuals (residents and non-residents), in the first two working days from the date of opening of the offer, and thereafter, starting from the third working day – to all investors (individuals and legal entities (residents and non-residents)).

3. Allocation will take place on the principle of "First Come – First Served", with the condition of subscribing to at least 5 (five) bonds. The method of repayment of the bond loan and payment of interest is as provided for in the prospectus of the primary public offer of bonds.

4. Responsibility for the data and information included in the prospectus of the primary public offer of bonds lies entirely with the issuer of securities, and for the conduct of the offer – with the public offer intermediary (BC "VICTORIABANK" SA).

5. The issuer, within a period of at most 15 days from the date of closure of the primary public offer of bonds, will notify CNPF regarding the results of the public offer.

6. Control over the execution of this Decision is placed with the Capital Market Department.

7. This Decision may be contested by submitting a preliminary application to the address of CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant Blvd, No. 77), within 30 days from the date of communication.

8. This Decision enters into force on the date of adoption, is communicated to the appropriate recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of CNPF (www.cnpf.md).
