OF
FINANCIAL SERVICES AUTHORITY REGULATION
OF THE REPUBLIC OF INDONESIA
NUMBER 21 /POJK.03/2019
REGARDING
MERGER, CONSOLIDATION, AND ACQUISITION
OF RURAL BANKS AND
SHARIA RURAL FINANCING BANKS
I. GENERAL
One of the steps that can be taken to strengthen the resilience and competitiveness of the BPR and BPRS industry is through Merger, Consolidation, and Acquisition. Merger, Consolidation, and Acquisition can be conducted based on the initiative of the BPR or BPRS or based on an order from the Financial Services Authority.
The requirements for conducting Merger, Consolidation, and Acquisition are currently considered no longer appropriate, so harmonization with the latest statutory regulations is required.
In addition, the implementation mechanism for Merger or Consolidation contained in the currently applicable regulations has obstacles, namely the submission of license applications to the Financial Services Authority and the competent authority is done simultaneously, causing problems for the Financial Services Authority in conducting the process of granting Merger or Consolidation licenses. Therefore, it is necessary to adjust the mechanism to obtain legal certainty and ease for BPRs or BPRSs conducting Merger or Consolidation.
In the Acquisition process, there are differences in interpretation in the implementation of Acquisitions, both those resulting in changes to Control and those not resulting in changes to Control, compared to the share purchase process. Due to these differences in interpretation, it is necessary to align understanding of the Acquisition process by formulating a clearer definition of Acquisition.
In light of these matters, it is necessary to establish regulations that serve as the basis for the mechanism and procedures for Merger, Consolidation, and Acquisition in a Financial Services Authority Regulation.

BPR “W” has shareholders:
A: 30%
B: 50%
C: 20%
“C” purchases 30% of “B”’s shares, becoming 50%. The purchase of these shares constitutes a Share Takeover resulting in a change of Control because the number of shares owned by “C” exceeds the number of shares owned by the next largest shareholder, which is “A” (30%), so the final share composition in BPR “W” becomes as follows:
A: 30%
B: 20%
C: 50%
Letter b
Example:
BPRS “X” has shareholders:
A: 60%
B: 20%
