REGULATION N° 68/2023 OF 14/06/2023 GOVERNING THE INVESTMENT OF INSURERS AND REINSURERS THE NATIONAL BANK OF RWANDA; Pursuant to Law N° 48/2017 of 23/09/2017 governing the National Bank of Rwanda as amended to date, especially in Articles 6, 6bis, 8, 9,10, and 15; Pursuant to Law N° 030/2021 of 30/06/2021 governing the organization of insurance business, especially in its articles 28, 29, 30 and 31; Having reviewed Regulation N° 05/2009 of 29/07/2009 on licensing requirements and other requirements for carrying out insurance business, especially in its articles 20 and 21; ISSUES THE FOLLOWING REGULATION:

CHAPTER ONE: GENERAL
PROVISIONS
Article One: Purpose of this regulation
The purpose of this regulation is – (1) to set guidelines and exposure limits for investments on each category of insurance business; (2) to establish regulatory investment requirements that must be fulfilled by each insurer in order to make sound and appropriate investments that protect policyholders’ interests; and (3) to ensure investment diversification while taking into account the risks and scale of an insurer’s activity.
Article 2: Scope of this regulation
This Regulation applies to insurer whether public or private. Under this Regulation, an insurer refers also to a reinsurer. CHAPITRE PREMIER : DISPOSITIONS GÉNÉRALES
Article premier : Objet du présent règlement
Le présent règlement a pour object de – (1) établir des lignes directrices et des limites d'exposition pour les investissements sur chaque catégorie d'activités d'assurance; (2) établir les exigences règlementaires en matière d'investissement qui doivent être remplies par chaque assureur afin de réaliser des investissements sains et appropriés qui protègent les intérêts des assurés; et (3) assurer la diversification des investissements en tenant compte des risques et de la taille de l'activité d'un assureur.
Article 2 : Champ d’application du présent
règlement
Le présent règlement s'applique aux assureurs qu'ils soient publics ou privés. Aux fins du présent

Insurer invests in a manner that is appropriate to the nature and duration of its assets and liabilities.
Article 4: Investments in the name of insurer
The investment of an insurer is held in the name of the insurer at all times.
Article 5: Restrictions on mortgaging the
assets of an insurer

(1) Avec l'approbation préalable de l'Autorité de Contrôle un assureur peut hypothéquer ses biens pour obtenir des emprunts

However, such mortgage shall not exceed 10% of the value of its total assets. (2) An insurer shall not mortgage any of its assets except for the reason only stated in Paragraph (1) of this Article.
Article 6: Application for mortgage of
insurer’s asset
(1) An insurer seeking approval of the Supervisory Authority to mortgage its assets submits the following:
(a) board of directors resolutions approving the mortgage of the insurer’s asset; (b) duration of the mortgage; (c) the mortgagee; (d) amount to be secured by the mortgaged assets; temporaires ou des découverts bancaires. Article 6: Demande d'hypothéquer les biens de

(1) Un assureur sollicitant l'autorisation de l'Autorité de Contrôle d’hypothéquer ses biens soumet ce qui suit:
(a) les résolutions du conseil d'administration approuvant l'hypothèque d’un bien de l'assureur; (b) la durée de l’hypothèque; (c) le créancier hypothécaire; (d) le montant à garantir par les biens hypothéqués;

(2) Igihe inguzanyo yishingirwa n’umutungo w’umwishingizi izamara ntigishobora kurenga umwaka umwe ku mwishingizi w’igihe kigufi n’imyaka itatu ku mwishingizi w’igihe kirekire. Ingingo ya 7: Gahunda n’ingamba by’ishoramari (1) Umwishingizi ashyiraho gahunda n’ingamba z’ishoramari bijyanye n’intego z’imikorere, imiterere y’imitunganyirize y’imirimo, na politiki y’imigenzurire y’imbere n’ishoramari. (2) Ingamba z’ishoramari zisubirwamo buri gihe uko bibaye ngombwa cyane cyane akurikije impinduka zigenda ziboneka mu masoko y’imari, ishyirwaho ry’ibicuruzuwa bishya byo mu rwego rw’imari (e) payment plan; and (f) any other information that the Supervisory Authority believes can help to assess the application or the applicant insurer believes may support its application. (2) The duration of the loan secured by insurer’s assets shall not exceed one year for short-term insurer and three years for long-term insurer.
Article 7: Investment plan and Strategy
(1) An insurer develops an investment plan and strategy that is in line with the operational objectives, organizational structure, internal control and investment policy. (2) The investment strategy is reviewed regularly and as needed, particularly considering changes in the capital markets, the development of new financial products and the insurer’s commitments to the policyholders. Article 7: Plan et la stratégie d'investissement
(1) L’assureur élabore un plan et une stratégie d'investissement conformes aux objectifs opérationnels, à la structure organisationnelle, au contrôle interne et à la politique d'investissement. (2) La stratégie d'investissement est revue régulièrement et chaque fois que de besoin, notamment en considérant l'évolution des marchés de capitaux, du développement de nouveaux produits financiers et des engagements de l'assureur envers les preneurs d’assurance.

Article 8: Investment policy
(1) An insurer shall have an investment policy approved by the board of directors. (2) A copy of investment policy is submitted to the Supervisory Authority within 15 days after its approval.
Article 9: Content of investment policy
(1) The investment policy indicates at minimum the following:
(a) acceptable assets class and their characteristics; (b) measures in place sufficient to ensure security of the portfolio as a whole; (c) the nature, role and extent of the insurer’s investment activities;
Article 8 : Politique d'investissement

Article 9: Contenu de la politique

(1) La politique d'investissement indique au minimum ce qui suit:
(a) les catégories d’actifs acceptable et leurs caractéristiques; (b) des mesures en place suffisantes pour assurer la sécurité du portefeuille dans son ensemble; (c) la nature, le rôle et l'étendue des activités d'investissement de l’assureur;

(j) how to address investment risk according to the insurer’s risk appetite and risk limits; (k) processes relating to intra-group management of investment activities; (l) procedures for analysing and evaluating investments; (m)monitoring and control mechanisms of investments; and (n) accountability for all investment transactions. (2) At least every three years and whenever necessary, an insurer ensures that its board of directors reviews the relevance and adequacy of its investment policy. Article 10: Prudent investment
(1) Every insurer shall invest policyholders’ fund so as to ensure the security, quality, liquidity and profitability of their portfolio as a whole, which includes the need to be adequately diversified. Insurer shall invest only in assets where it can properly assess and manage the risks. (2) For the purpose of previous paragraph, before making any investment, an insurer shall – (a) have sufficient information about targeted investments; (b) conduct a thorough investment risk analysis including any associated encumbrances; (c) ensure an adequate return on investment yield will be achieved

Article 11: Investments in derivatives
(1) Any investment in derivatives shall require prior approval by the Supervisory Authority which shall be granted on the basis of its evaluation of the risk done by the insurer pertaining the proposed derivative. Article 12: Application for approval of
investment in derivatives (1) An insurer seeking to make an investment in derivatives shall file an application with the Supervisory Authority. (2) The application shall demonstrate the following:

(a) gukurikirana iyubahirizwa rya politiki y’ishoramari yemejwe n’iry’inshingano zo mu rwego rw’ubugenzuzi; (b) kumenya amakosa mu buryo bwemewe no kubikorera raporo ako kanya; (c) gusuzuma ibikorwa bijyanye n’imicungire y’ibyateza ingorane mu rwego rw’ishoramari; (d) no guhuza ingamba z’ishoramari na politiki rusange y’imicungire y’ibyateza ingorane by’umwishingizi. (d) any other information that the Supervisory Authority believes can help to assess the application or the applicant insurer believes may support its application.
Article 20: Responsibilities of risk manager
The responsibilities of the risk management function with regard to an insurer’s investment management are:
(a) monitor adherence to the approved investment policy and regulatory obligations; (b) formally note and promptly report breaches; (c) review risk management activities with regard to investment; and (d) ensure that the investment strategy is aligned with the overall risk management policy of the insurer. Article 20: Responsabilités du gestionnaire des
risques
Les responsabilités de la fonction de gestion des risques en ce qui concerne la gestion des investissements d'un assureur sont les suivants :
(a) surveiller le respect de la politique d'investissement approuvée et des obligations règlementaires; (b) constater formellement et signaler sans délai les manquements; (c) examiner les activités de gestion des risques en matière d'investissement; et (d) s'assurer que la stratégie d'investissement se comforme avec la politique globale de gestion des risques de l'assureur.

Article 21: Responsibilities of internal
auditor
(1) Insurer shall conduct an audit of their investment activities which ensures timely identification of internal control weaknesses and deficiencies in the management information systems. (2) The responsibilities of the internal audit function with regard to an insurer’s investment management are:
(a) evaluate the independence and effectiveness of the insurer’s investment board committee; (b) periodically review the insurer’s asset portfolio to ensure that it is consistent with the insurer’s investment policies and procedures as well as regulatory obligations;

(2) Les responsabilités de la fonction d'audit interne en ce qui concerne la gestion des investissements d'un assureur sont les suivants :
(a) évaluer l'indépendance et l'efficacité du comité d’investissement du conseil d'administration de l'assureur; (b) revoir périodiquement le portefeuille d'actifs de l'assureur pour s'assurer qu'il est conforme aux politiques et aux procédures d'investissement de l'assureur ainsi qu'aux obligations règlementaires;

CHAPTER III: QUANTITATIVE
REQUIREMENTS
Article 22: Concentration and exposure
limits
(1) Investments of insurer shall respect the limits set on annex of this Regulation. (1) Les investissements de l'assureur doivent respecter les limites fixées à l'annexe première du présent règlement.

Article 23: Investment in East African
Community
(1) Aggregate investment within other member states of the Easter African Community (EAC) shall not exceed 30% of total assets of the insurer. (2) Investment in both offshore and within the East African Community (EAC) shall be done in the following:
(a) government securities, and (b) companies and institutions listed on stock exchange and/or at least rated B+ by international rating agencies. Article 23: Investissement dans la
Communauté de l'Afrique de l'Est (1) Le total des investissements dans les autres États membres de la Communauté de l'Afrique de l'Est (EAC) ne doit pas dépasser 30 % du total des actifs de l'assureur. (2) Les investissements à la fois offshores et au sein de la Communauté de l'Afrique de l'Est (EAC) doivent être effectués dans les domaines suivants :
(a) les titres d’Etat, et (b) les sociétés et les institutions cotées en bourse et/ou au moins notées B+ par les agences de notation internationales.

Article 24: Post acquisition valuation
(1) An insurer conducts an annual valuation of its investments. (2) An insurer discloses the valuation method used and the reasons of the choice of that method.
Article 25: Reporting
An insurer shall submit to the Supervisory Authority the report about its investment portfolio in accordance with the Regulation on reporting requirements.
CHAPTER IV: FINAL PROVISIONS
Article 26: Pecuniary and administrative
sanctions
Where an insurer is in violation of this Regulation, the Supervisory Authority shall apply pecuniary and/or administrative sanctions as provided under the insurance law and

Lorsqu'un assureur enfreint le présent règlement, l'Autorité de Contrôle applique les sanctions pécuniaires et/ou administratives prévues par la loi régissant l’activité d’assurance et le règlement

Article 27: Compliance with this Regulation
(1) An insurer is given a period of six months, from the date of publication of this Regulation in the Official Gazette of the Republic of Rwanda, to align its investment policy with the requirements of this Regulation. (2) Insurer is given a period of one year, from the date of publication of this Regulation in the Official Gazette of the Republic of Rwanda, to align its existing investments with this Regulation.
Article 28: Language provision
This Regulation was drafted in English. sur les sanctions administratives et pécuniaires prévues pour les assureurs.
Article 27: Conformité avec le présent
règlement
(1) Un assureur dispose d'un délai de six mois, à partir de la date de publication du présent règlement au Journal Officiel de la République du Rwanda, pour adapter sa politique d’investissement aux exigences du présent règlement. (2) L’assureur dispose d'un délai d'un an, à partir de la date de publication du présent règlement au Journal Officiel de la République du Rwanda, pour adapter ses investissements existants au présent règlement.

Article 29: Repealing provision
All provisions about the investment of insurers as contained in Regulation n° 05/2009 of 29/07/2009 on licensing requirements and other requirements for carrying out insurance business are repealed.
Article 30: Entry into force
This Regulation comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda.
Article 29 : Disposition abrogatoire
Toutes les dispositions relatives à l'investissement des assureurs contenues dans le Règlement n° 05/2009 du 29/07/2009 relatif aux conditions d'agrément et autres conditions requises pour l'exercice de l’activité d'assurance sont abrogées.
Article 30 : Entrée en vigueur
Le présent règlement entre en vigueur le jour de sa publication au Journal Officiel de la République du Rwanda.
