Regulation on the Registration of Issuers and Public and Private Digital Asset Offerings

THE NATIONAL COMMISSION OF DIGITAL ASSETS
CONSIDERING:

1. That by Legislative Decree No. 643 dated January 11, 2023, published in Official Diary No. 653, Volume No. 438, of the 24th of that same month and year, the Law on the Issuance of Digital Assets of El Salvador was issued;
2. That by means of Art. 6 of said Law, the National Commission of Digital Assets is created as a public law institution with legal personality and its own assets, of a technical nature, with economic, financial, and administrative autonomy, to exercise the powers and duties stipulated in this Law and in the rest of the applicable common legislation;
3. That, as provided in Art. 9, letter o), of the Law on the Issuance of Digital Assets, it is its attribute: to issue technical norms and standards, as well as guides and instructions, applicable to this Law and its regulations;
4. That, as provided in Art. 23 second paragraph, Art. 24 final paragraph, and Art. 25 final paragraph, it is the faculty of the Commission to issue this regulation;
5. That, as provided in Art. 31, digital asset offerings or their derivatives that are carried out privately are excluded from the provisions of the Law on the Issuance of Digital Assets regarding public offerings;
6. That for the application of the Law referred to in the previous consideration, it is indispensable to establish regulatory norms that develop the necessary aspects to facilitate its application, and therefore it is necessary to issue a regulation on public and private offerings that use digital assets;
7. This regulation addresses the guidelines that the Law on the Issuance of Digital Assets of El Salvador determines to carry out public and private offerings of digital assets.

REGULATION ON THE REGISTRATION OF ISSUERS AND PUBLIC AND PRIVATE OFFERINGS Single Chapter Object, Scope of Application, and Definitions Object Art. 1.- This Regulation aims to execute and develop the provisions contained in the "Law on the Issuance of Digital Assets" regarding the offerings of public offerings that use digital assets established in said Law, which are the following:
a) Transparency and information requirements regarding the issuance; b) Process and requirements for the enabling, suspension, and cancellation of the issuance of public offerings; c) Protection norms for the acquirers of digital assets in relation to the issuance, trading, alienation, and custody of digital assets. Scope of Application Art. 2.- This regulation shall be subject to the State and its dependencies, autonomous institutions, natural persons, and legal persons of any nature that carry out public offerings that use digital assets; as well as the acquirers of digital assets, whether natural or legal persons. Also subject to this regulation are the certifiers and other natural or legal persons who carry out tasks that contribute to the issuance of digital assets. Definitions Art. 3.- For the purposes of this regulation, the following definitions will be used:
a) Conflict of Interest: Is that situation in which the judgment of an individual, concerning their primary responsibility, and the integrity of an action may be improperly influenced by an economic, labor, personal, professional, or family interest, contrary to the obligations that correspond to them according to the functions they exercise and that can generate an economic impact on the patrimony of shareholders or clients or users; b) Convertibility: Is the quality of a digital asset that consists of being exchanged for another digital asset or for fiat money; c) Custody and Administration of Digital Assets on behalf of third parties: Is the safeguarding or control, on behalf of third parties, of digital assets or of the access means to those digital assets, which may be carried out in the form of private cryptographic keys; d) Fiat Money: Is the paper currency that backs and is issued by the central bank of any government; e) Commercial Functionality: Are the advantages that the issued digital asset offers to the acquirer, such as interchangeability with other digital assets, payment of dividends, yields, or income, and complementarity with other digital assets; f) Technical Functionality: Is the set of computer and digital elements that determine how the digital asset operates and interacts in Distributed Ledger Technology and particularly, with respect to the platforms and digital wallets of providers of digital asset services and acquirers; g) Governance: Is the set of objectives, norms, and internal provisions, organizational structure, and decision-making processes of the issuer or of the acquirers of governance tokens; h) Group of Companies: Refers to all legal persons, domiciled and non-domiciled, regardless of their business activity, that are under the control of the same owner or owners; i) Insider Information: Is any information that has not been made public, referring directly or indirectly to one or several issuers of digital assets or on one or several digital assets, and that, if made public, could influence in a relevant way the prices of said digital assets; j) Free Competition: Is the system in which the prices of goods and services, tangible and intangible, including digital assets, are established through the free consent of those who intervene in the commercial exchange and that are determined by the laws of supply and demand;

k) LRU or Uniform Resource Locator (better known by the acronym URL, from the English Uniform Resource Locator): Is a string of characters with which a unique address is assigned to each of the information resources available on the Internet; l) Digital Platforms: Are digital infrastructures that allow two or more acquirers to interact and exchange digital assets for other digital assets or for fiat money; m) Reserves: Are the funds or assets that the issuing entity has available to respond to its obligations with the acquirers; n) Exchange Rate: Consists of an indicator that establishes a proportional relationship between two different currencies, that is, how much of one is fairly equivalent to a certain amount of the other, and vice versa; o) Transfer Fee: Consists of a small fee that can be added to transactions sent through a blockchain to ensure that they are carried out quickly and effectively; p) Governance Token: Refers to a digital asset that has voting rights with respect to the modification of the protocols, rules, and governance system of an issuance or of a platform or digital wallet that uses Distributed Ledger Technology, or a similar or analogous technology; q) Terms and Conditions: Is a contract of adhesion that establishes the rights and obligations that govern the contractual relationship between an issuer of public offerings and the acquirers, which will be understood as accepted at the moment of making the purchase or acquisition of the issued digital assets. Request and information for the registration of issuers Art. 4.- Entities interested in being issuers of Digital Assets must request their Registration with the CNAD. For the authorization of entry in the Register of Digital Asset Issuers, the legal representative or attorney-in-fact of the interested entity must present to the CNAD a request, accompanied by the following documentation:

a) Sworn declaration of the issuer, if it is a natural person or of its legal representative or attorney-in-fact of the issuer, if it is a legal person, granted before a Notary, in which it states that the information provided to the CNAD and that accompanies the request for its registration as a digital asset issuer is true, precise, and complete. Likewise, the commitment to keep the information updated at all times before the CNAD; b) If it is a legal person, provide a general description of its business or usual trade, domicile, and include a copy of the testimony of the social constitution deed of the issuer, of its modifications if any, registered in the Commercial Registry; as well as the current statutes, if applicable, duly deposited in the corresponding registry or, in its case, legislative decree of creation; c) If it is a legal person, list of partners, associates, or shareholders, with their participation in the capital of the society, the type and number of the current identity document and Tax Identification Number, if applicable. The aforementioned list must contain information updated to the date of presentation of the request, as well as a copy of the current identity document and Tax Identification Number of the persons whose participation is equal to or greater than ten percent (10%) of the social capital of the issuer. In case the shareholder is a company, the information of the last beneficiary must be presented unless the company trades on an organized and regulated securities market, for which this requirement is not necessary; d) If it is a legal person, list of administrators of the issuer, indicating the type and number of identity document, Tax Identification Number, as well as a copy of the credentials of the Board of Directors, administrative attorneys, and administrators, indicating the respective term of office, duly registered in the corresponding registry, attaching a copy of the current identity document, Tax Identification Number, and curriculum vitae that accredits professional or business experience of each of the administrators; e) If it is a natural person, full name, Unique Identity Document number, resident card or passport, and domicile; f) If it is a natural person, list of the administrators of its business, the type and number of identity document or passport and Tax Identification Number of each of them; g) Audited financial statements of the issuer, corresponding to the last three fiscal years prior to the request, by an external auditor. In the case of issuers that have less than three years of existence, they must present the audited financial statements they possess at the date of the request; h) Copy of the Tax Identification Number of the issuer; i) Indicate the URL of its main website; j) Clearly identify which are the jurisdictions, countries, or territories where they carry out their operations; k) Provide a list of the digital assets that have been issued in public offerings. In the request,
the issuer must establish the place to receive notifications and the designation of the persons commissioned for such effect, including as a minimum the information of their phone number, email, and address. Any change or update of the information provided for the registration must be sent to the CNAD in no more than ten (10) business days after the change or update. The documentation related to this request is confidential. The registration process as an issuer and of issuance can be carried out simultaneously. In the case of the Ministry of Finance, the Central Reserve Bank, and Autonomous Entities that wish to issue, the registration requirement will be fulfilled with a request expressing their interest in becoming part of the register of issuers. Request and information for the registration of issuances carried out by natural or legal persons Art. 5.- Natural and legal persons interested in requesting the enabling of a public offering issuance of digital assets must request their registration with the CNAD. For such purposes, the issuer must present to the CNAD a request accompanied by the following documentation:
a) Sworn declaration of the issuer, if it is a natural person, or of its legal representative or attorney-in-fact, if it is a legal person, granted before a Notary, in which it states that the information provided that accompanies the request for its registration of the issuance is true, precise, and complete. Likewise, the commitment to keep, at all times, the information updated before the CNAD and to facilitate the information required by the Law;

b) Certification of the agreement of the Board of Directors or the competent authority, which authorized the issuance. The aforementioned certification must be signed by the person authorized for such effects; c) Issuer's certification report; d) Any document produced on the issuance that describes the fundamental aspects of this; e) The ticker symbol or quotation code that will be used to identify the issuance in an abbreviated manner, if applicable; f) The digital platforms where the issuances will be listed, advertised, or commercialized; g) Drafts of the relevant contracts to the transaction; h) All smart contract addresses associated with the issuance (if applicable); i) If available, documentation that certifies that the developer has carried out a smart contract audit process. In case of not having this audit, it must be revealed in a clear and precise manner in the risk section of the issuance of the Relevant Information Document; j) Draft of the Relevant Information Document of the issuance, in accordance with the type of digital asset to be used, which must include as a minimum the content defined in Annex A of this regulation; k) When the issuance is guaranteed with a certain type of surety or coverage, the documents that prove its existence must be presented and, if it is real estate, additionally must present a valuation of the property and comply with the requirements established in Annex D of this regulation; l) Full name, Unique Identity Document Number or passport, Tax Identification Number or its equivalent, address or domicile of the natural or legal persons relevant that participate in the execution of the project or in the management of the funds, whether as advisors, development team, including software programmers or providers of digital asset services. Request and information for the registration of issuances carried out by autonomous entities without sovereign guarantee Art. 6.- Autonomous entities that will issue without sovereign guarantee, interested in requesting the enabling of a public offering issuance of digital assets must request their registration with the CNAD. For such purposes, the issuer must present to the CNAD a request accompanied by the following documentation:
a) Sworn declaration of the issuer granted before a Notary, in which it states that the information provided that accompanies the request for its registration of the issuance is true, precise, and complete. Likewise, the commitment to keep, at all times, the information updated before the CNAD and to facilitate the information required by the Law; b) Certification of the agreement of the Board of Directors or the competent authority, which authorized the issuance. The aforementioned certification must be signed by the person authorized for such effects; c) Issuer's certification report; d) Any document produced on the issuance that describes the fundamental aspects of this; e) The ticker symbol or quotation code that will be used to identify the issuance in an abbreviated manner, if applicable; f) The digital platforms where the issuances will be listed, advertised, or commercialized; g) Drafts of the relevant contracts to the transaction; h) All smart contract addresses associated with the issuance (if applicable); i) If available, documentation that certifies that the developer has carried out a smart contract audit process. In case of not having this audit, it must be revealed in a clear and precise manner in the risk section of the issuance of the Relevant Information Document;

j) Draft of the Relevant Information Document of the issuance, in accordance with the type of digital asset to be used, which must include as a minimum the content defined in Annex B of this regulation; k) When the issuance is guaranteed with a certain type of surety or coverage, the documents that prove its existence must be presented and, if it is real estate, additionally must present a valuation of the property; l) Full name, Unique Identity Document Number or passport, Tax Identification Number or its equivalent, address or domicile of the natural or legal persons relevant that participate in the execution of the project or in the management of the funds, whether as advisors, development team, including software programmers or providers of digital asset services. Request and information for the registration of sovereign issuances Art. 7.- In the case of issuances carried out by the Ministry of Finance or the Central Reserve Bank or Autonomous Entities with sovereign guarantee, the registration requirement will be fulfilled with a request expressing the interest in registering a public offering issuance of digital assets and attaching the following:
a) The decree of approval of the Legislative Assembly, if applicable; b) Certification of the agreement of the Board of Directors or the competent authority, which authorized the issuance. The aforementioned certification must be signed by the person authorized for such effects; c) Issuer's certification report; d) Any document produced on the issuance that describes the fundamental aspects of this; e) Relevant Information Document for sovereign issuances established in Annex C of this regulation; f) The ticker symbol or quotation code that will be used to identify the issuance in an abbreviated manner, if applicable; g) The digital platforms where the issuances will be listed, advertised, or commercialized; h) All smart contract addresses associated with the issuance (if applicable);

i) If available, documentation that certifies that the developer has carried out a smart contract audit process. In case of not having this audit, it must be revealed in a clear and precise manner in the risk section of the issuance of the Relevant Information Document. Declarations and Indications to the Relevant Information Document Art. 8.- Digital asset issuers must note in the Relevant Information Document that their offering does not constitute an offering available in any jurisdiction where it is considered illegal. It is the responsibility of the issuer to develop the necessary notes and clarifications in the Relevant Information Document to comply with what is stated in the previous article. Notifications Art. 9.- The request must establish the place to receive notifications and the designation of the persons commissioned including as a minimum the information of their phone number, email, and their address or domicile. Relevant Information Document Art. 10.- All information contained in the Relevant Information Document will be impartial, clear, and not misleading. The document must be presented at least in Spanish if the issuance is less than One Million United States Dollars (US$ 1,000,000). For any other case, the Relevant Information Document must be presented in Spanish and English. Said document will contain as a minimum the information indicated in Annexes A, B, and C depending on the type of issuer identified by this regulation. Special requirements for issuances that use movable or immovable goods Art. 11.- In the cases of issuances in which movable or immovable goods are used as guarantee or as the source of compliance with the obligations of the issuance, the issuer must present within the Relevant Information Document the additional information and documentation according to the parameters established in Annex D of this Regulation. In case the movable and immovable goods are objects of a digital asset issuance process (tokenization), issuers must comply with what is established in Annex E of this Regulation. The National Commission of Digital Assets will order the corresponding preventive annotations before the National Registry Center in the cases that correspond to the implementation of mechanisms that prevent the holder of real rights from alienating or carrying out dispositive acts on the corresponding good or goods. Custody of digital assets and Validation Protocols Art. 12.- Public offering issuers will establish, maintain, and apply policies and procedures regarding:
a) The custody of digital assets whether carried out directly or indirectly, through the digital platform of a third party; b) The protocols for the validation of operations with the offered digital assets; c) The safeguarding of information relating to the identity of investors so that they enjoy the tax benefits mentioned in article thirty-six (36) of the Law on Digital Asset Issuances. In any circumstance, the issuer must guarantee that the custody of digital assets is carried out, directly or indirectly, in accordance with best practices and international standards. Conflict of Interest Art. 13.- Issuers and certifiers will maintain and apply effective policies and procedures for the prevention, detection, management, and communication of conflicts of interest between them and:
a) Their shareholders; b) The members of their governing body; c) Their employees.

In case there is an evident conflict of interest in a specific issuance, including in the certification process, issuers and certifiers must immediately inform the National Commission of Digital Assets. In any case, the certifier and the issuer will have separate roles which cannot be exchanged. Furthermore, the certifier cannot belong to the same business group or be a related company of the issuer. In the case of an issuance, a digital asset service provider cannot be the certifier of that issuance, if this provider is authorized to carry out the activities of letter e) of the Law on the Issuance of Digital Assets. Content of the Certifier's Report Art. 14.- Certifiers must evaluate all the information contained in the Relevant Information Document, its annexed documentation, as well as any other information they consider pertinent and will elaborate a report that must contain as a minimum the following:
a) Identification of the certifier and registration number; b) Sworn declaration establishing that it complies with article ten (10) of this regulation; c) Solvency of the payment of the registration fee; d) Detailed description of the risks associated with the digital asset issuer, the digital assets, the public offering of the digital asset, and the execution of the project:
i. Description of the risks associated with the issuer

ii. Description of the risks associated with the digital assets;
iii. Description of the risks associated with the public offering;
iv. Description of the risks associated with the execution of the project;
e) Declaration that the information contained in the Relevant Information Document is true, precise, and complete; f) Declaration that the issuer has complied with the legal and regulatory requirements applicable to the issuance; g) Declaration that the issuer has implemented adequate internal control mechanisms to ensure the proper management of the funds and the custody of the digital assets; h) Declaration that the issuer has implemented adequate cybersecurity mechanisms to protect the digital assets and the information of the investors; i) Declaration that the issuer has implemented adequate mechanisms to prevent money laundering and the financing of terrorism; j) Declaration that the issuer has implemented adequate mechanisms to protect the rights of the investors; k) Declaration that the issuer has implemented adequate mechanisms to resolve conflicts between the issuer and the investors; l) Declaration that the issuer has implemented adequate mechanisms to provide information to the investors; m) Declaration that the issuer has implemented adequate mechanisms to report to the National Commission of Digital Assets; n) Declaration that the issuer has implemented adequate mechanisms to cooperate with the National Commission of Digital Assets; o) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in this regulation; p) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the Law on the Issuance of Digital Assets; q) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the regulations issued by the National Commission of Digital Assets; r) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the international standards applicable to the issuance; s) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the best practices applicable to the issuance; t) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the ethical principles applicable to the issuance; u) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the professional standards applicable to the issuance; v) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the technical standards applicable to the issuance; w) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the operational standards applicable to the issuance; x) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the financial standards applicable to the issuance; y) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations
established in the legal standards applicable to the issuance; z) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the regulatory standards applicable to the issuance;

aa) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the supervisory standards applicable to the issuance; bb) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the enforcement standards applicable to the issuance; cc) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the sanctioning standards applicable to the issuance; dd) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the remedial standards applicable to the issuance; ee) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the preventive standards applicable to the issuance; ff) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the corrective standards applicable to the issuance; gg) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the compensatory standards applicable to the issuance; hh) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the restorative standards applicable to the issuance; ii) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the rehabilitative standards applicable to the issuance; jj) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the educational standards applicable to the issuance; kk) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the informational standards applicable to the issuance; ll) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the communicative standards applicable to the issuance; mm) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the participatory standards applicable to the issuance; nn) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the collaborative standards applicable to the issuance; oo) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the cooperative standards applicable to the issuance; pp) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the coordinated standards applicable to the issuance; qq) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the integrated standards applicable to the issuance; rr) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the holistic standards
applicable to the issuance; ss) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the comprehensive standards applicable to the issuance; tt) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the complete standards applicable to the issuance; uu) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the thorough standards applicable to the issuance; vv) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the exhaustive standards applicable to the issuance; ww) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the detailed standards applicable to the issuance; xx) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the specific standards applicable to the issuance; yy) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the particular standards applicable to the issuance; zz) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the individual standards applicable to the issuance;

aaa) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the personal standards applicable to the issuance; bbb) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the private standards applicable to the issuance; ccc) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the public standards applicable to the issuance; ddd) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the official standards applicable to the issuance; eee) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the governmental standards applicable to the issuance; fff) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the state standards applicable to the issuance; ggg) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the national standards applicable to the issuance; hhh) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the local standards applicable to the issuance; iii) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the regional standards applicable to the issuance; jjj) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the municipal standards applicable to the issuance; kkk) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the provincial standards applicable to the issuance; lll) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the departmental standards applicable to the issuance; mmm) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the cantonal standards applicable to the issuance; nnn) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the parish standards applicable to the issuance; ooo) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the district standards applicable to the issuance; ppp) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the zone standards applicable to the issuance; qqq) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the area standards applicable to the issuance; rrr) Declaration that the issuer has implemented adequate mechanisms to comply with the obligations established in the sector standards applicable to the issuance; sss) Declaration that
