Related Parties Rules for Banks

Locally incorporated banks and their foreign branches/subsidiaries must adhere to exposure limits: 5% of eligible capital for non-bank related parties, 10% for listed companies, and a 50% cumulative cap. Transactions must be arm’s length, approved by the Board, and fully secured if control exists. Breaches require immediate SAMA notification. Banks must submit quarterly reports on exposures exceeding 5% of capital within 30 days of quarter-end. These rules supersede SAMA circular 41045379 and take effect on September 1, 2022.
