RESOLUTION authorizing the disincorporation by dissolution and liquidation of the majority state-owned enterprise named Compañía Mexicana de Exploraciones, S.A. de C.V.

PRESENT.

I refer to your letter number SENER.100/211/2024, dated June 17, 2024, through which you request that steps be taken to authorize the disincorporation by dissolution and liquidation of the majority state-owned enterprise named Compañía Mexicana de Exploraciones, S.A. de C.V.

Regarding this matter, based on articles 31, fraction XXXII, and 46, fraction II, of the Organic Law of the Federal Public Administration; 28, 32, and 39 of the Federal Law of Parastate Entities; 5th, 6th, and 8th of the Regulations of the Federal Law of Parastate Entities, and 3, first paragraph, of the Internal Regulations of the Ministry of Finance and Public Credit, and

CONSIDERING

That the majority state-owned enterprise named Compañía Mexicana de Exploraciones, S.A., was constituted on November 12, 1968, through public deed No. 8,175, granted before Notary Public number 109, with practice in the then Federal District, now Mexico City;

That, through an Extraordinary General Meeting of Shareholders of the majority state-owned enterprise formerly named Compañía Mexicana de Exploraciones, S.A., held on December 15, 1998, it was agreed: (i) to increase its capital; (ii) to transform into a variable capital anonymous society, and (iii) to give a new text to its Bylaws, which was recorded in public deed No. 45,988, granted before the then Notary Public number 88, with practice in the then Federal District, now Mexico City;

That, through an Extraordinary General Meeting of Shareholders, held on April 17, 2023, it was agreed, among other things, to approve the dissolution and liquidation of Compañía Mexicana de Exploraciones, S.A. de C.V., for its disincorporation and bankruptcy, as well as the appointment of the Institute to Return to the People What Was Stolen as liquidator, which was recorded in public deed number 29,300, granted before Notary Public number 81, acting as an associate in the protocol of Notary number 183, with practice in Mexico City;

That Compañía Mexicana de Exploraciones, S.A. de C.V., submitted to the consideration of the Ministry of Energy, in its capacity as Sector Coordinator corresponding to said Entity, for its favorable opinion, the proposal for disincorporation by dissolution and liquidation of the aforementioned company; in terms of what is established by article 32 of the Federal Law of Parastate Entities;

That the Ministry of Energy, in its capacity as the coordinating sector dependency, requested the Intersecretarial Commission on Public Spending, Financing and Disincorporation to issue a favorable report for the disincorporation by dissolution and liquidation of Compañía Mexicana de Exploraciones, S.A. de C.V.;

That the Intersecretarial Commission on Public Spending, Financing and Disincorporation, in its Fourth Ordinary Session 2024, held on June 03, 2024, issued Agreement 24-IV-1, through which, among other things, it favorably reported on the disincorporation by dissolution and liquidation of Compañía Mexicana de Exploraciones, S.A. de C.V.;

That the aforementioned Intersecretarial Commission on Public Spending, Financing and Disincorporation, established in the aforementioned Agreement 24-IV-1, a period of 12 months to conclude the disincorporation process by dissolution and liquidation of Compañía Mexicana de Exploraciones, S.A. de C.V., counted from June 03, 2024, and

That, with prior agreement of the Head of the Federal Executive, the proposal of the Ministry of Energy under its charge, in its capacity as sector coordinator, to carry out the disincorporation, through dissolution and liquidation, of Compañía Mexicana de Exploraciones, S.A. de C.V., is considered appropriate, therefore based on all the above, I have deemed it appropriate to issue the following:

RESOLUTION

FIRST.- The disincorporation by dissolution and liquidation of the majority state-owned enterprise named Compañía Mexicana de Exploraciones, S.A. de C.V., is authorized, in terms of its bylaws and in accordance with the General Law of Commercial Societies, the Federal Law of Parastate Entities, the Regulations of the Federal Law of Parastate Entities, and other applicable legal provisions.

SECOND.- In accordance with Agreement 24-IV-1, issued by the Intersecretarial Commission on Public Spending, Financing and Disincorporation, in its Fourth Ordinary Session 2024, held on June 03, 2024, a period of 12 months is established to conclude the disincorporation process by dissolution and liquidation of Compañía Mexicana de Exploraciones, S.A. de C.V., counted from said date.

THIRD.- Compañía Mexicana de Exploraciones, S.A. de C.V., will retain its legal personality exclusively for the purposes of the disincorporation process by dissolution and liquidation, in terms of the applicable legal provisions.

FOURTH.- The Ministry of Energy, in its capacity as sector coordinator, will indicate the manner and terms in which the dissolution, referred to in this Resolution, will be carried out, ensuring at all times the adequate protection of the public interest, of the shareholders or holders of shares or social parts, and the labor rights of the public servants of said Entity.

FIFTH.- The Ministry of Energy, as the coordinating sector dependency, must carry out the necessary acts, in order to comply with the obligations established in fiscal, administrative, and generally applicable provisions, which arise as a result of the disincorporation by dissolution and liquidation, derived from this Resolution.

SIXTH.- Until the liquidator of Compañía Mexicana de Exploraciones, S.A. de C.V., has taken office and begun functions, in accordance with applicable provisions, the Board of Directors and the General Director of said Entity will continue in full function.

SEVENTH.- The expenditures generated as a result of the disincorporation by dissolution and liquidation referred to in this Resolution, will be charged to the budget authorized for the Ministry of Energy, with compensated movements, therefore its regularizable budget will not be increased and no additional resources will be authorized for the fiscal year in question, nor for subsequent years.

EIGHTH.- The Ministry of Public Function, in accordance with its attributes, will supervise the due compliance of what is established in this Resolution.

NINTH.- This Resolution will enter into force the day following its publication in the Official Gazette of the Federation.
