RESOLUTION authorizing the establishment of a Majority State-Owned Enterprise named Inversión Mixta Piedras Negras, S.A. de C.V.
At the margin, a seal with the National Coat of Arms, stating: United Mexican States.- Treasury.- Ministry of
Treasury and Public Credit.
ÉDGAR ABRAHAM AMADOR ZAMORA, Secretary of Treasury and Public Credit, based on
articles 31, fraction XXXIV, and 46, fraction II, of the Organic Law of the Federal Public Administration; 6th,
28, 30 and 31 of the Federal Law of Para-State Entities; 8 of the Federal Budget and
Fiscal Responsibility Law; 5th of the Regulation of the Federal Law of Para-State Entities; 8 B and 8 C
of the Regulation of the Federal Budget and Fiscal Responsibility Law, and 3rd of the Regulation
Internal of the Ministry of Treasury and Public Credit, and
CONSIDERING
That article 25 of the Political Constitution of the United Mexican States establishes, among other
issues, that it corresponds to the State the leadership of national development, guaranteeing that it is integral and
sustainable, strengthening the sovereignty of the Nation and that, through competitiveness, it promotes economic growth
and employment with the participation of the public, private and social sectors, always watching over
the stability of public finances and the financial system to generate conditions
favorable for economic growth and employment;
That the National Development Plan 2025-2030, published in the Official Gazette of the Federation on April 15,
2025, sets national objectives associated with: i) the strengthening of economic development with
welfare; ii) the increase in productivity and competitiveness, and iii) the execution of interventions
strategic with verifiable benefits for the population;
That the National Development Financing Program 2025-2030 (PRONAFIDE), published in the
Official Gazette of the Federation on September 4, 2025, is the governing instrument of the Government of Mexico
to guide the country's fiscal and financial policy. Its main objective is to foster economic growth
generate employment and guarantee fiscal and financial stability. Among its strategies and lines of action stand out: the strategy "3.6 promote the development of infrastructure with the participation of the
public, private and social sectors with the purpose of generating welfare in the population", which contemplates the
action line "3.6.1 strengthen the evaluation procedures economic financial and analysis of
convenience for the implementation of infrastructure projects with private participation"; and the strategy
"3.7 carry out the allocation and reallocation of budgetary resources to programs and projects of investment
in infrastructure to those that demonstrate their feasibility for the start and execution of the work continuously until its conclusion to contribute to the efficiency of investment spending", which considers the
action line "3.7.3 consolidate mixed investment schemes for infrastructure projects that
promote best practices under the principle of shared prosperity";
That the aforementioned strategies of PRONAFIDE align with the Mexico Plan, by contributing to the boost
of strategic projects that strengthen the country's logistical, productive and connectivity capacity, as well
as to the consolidation of investment and institutional coordination mechanisms for the execution of
priority infrastructure with economic and regional impact;
That within such structural change actions, the constitution of the Enterprise is added
Majority State Participation, named "Inversión Mixta Piedras Negras", S.A. de C.V., which will have a
primarily public purpose and will act as an promoting, articulating, coordinating and
structuring entity for strategic infrastructure projects and investment mechanisms for national development, connectivity, regional integration, shared prosperity and social welfare, in accordance with
the principles of economic leadership of the State and democratic planning of national development provided for in
the Constitution and other applicable provisions;
That the Majority State Participation Enterprise will have as its purpose to promote, foster, coordinate,
structure, administer, supervise, finance and manage strategic infrastructure projects, priority and
of public interest linked to economic, logistical, commercial, border, customs,
energy, hydraulic, digital, mobility, connectivity and transport development, as well as those related to the
strengthening of national productive capacity, competitiveness, foreign trade, balanced regional development and
development with welfare and for this it may carry out all activities contemplated in its articles of
incorporation;
That the Intersecretarial Commission on Public Spending, Financing and Disposal, through the
Agreement 26-E-II-1, issued a favorable ruling on the constitution of the Majority State Participation Enterprise
named "Inversión Mixta Piedras Negras", S.A. de C.V., grouped in the sector coordinated by this Ministry of Treasury and Public Credit;
That the General Directorate of Mercantile Normativity of the Ministry of Economy authorized the use of the
social denomination, through document A202603311357461870;
That the Budget Design, Control and Expenditure Monitoring Unit, of the Undersecretariat of
Expenditures, through letter number 411/UDPCSG/2026/18194, authorized budget sufficiency for the
fiscal year 2026, in terms of articles 6 and 8 of the Federal Budget and Fiscal Responsibility Law, as well as 8 B and 8 C of the Regulation of the Federal Budget and Fiscal Responsibility Law, for the
constitution of the Majority State Participation Enterprise, named "Inversión
Mixta Piedras Negras", S.A. de C.V., in the amount of $510,000.00 (five hundred ten thousand pesos 00/100 M.N.) and
with it it will be the holder of 51% of the shares representing the Social Capital;
That through agreement CT/2ª-ORD/02-JUNIO-26/XVII-A, the Technical Committee of the public trust of
administration and payment source for the acquisition of goods, contracting of services and public works not
considered a para-state entity number 1936, named "National Infrastructure Fund", approved the
investment of the
Majority State Participation Enterprise, named "Inversión Mixta Piedras Negras",
S.A. de C.V., in the amount of $490,000.00 (four hundred ninety thousand pesos 00/100 M.N.), and with it it will be
holder of 49% of the shares representing the Social Capital;
That through letter number UF/150000/092/2026, dated July 8, 2026, the Fiduciary Unit of the
National Bank of Public Works and Services, S.N.C., in its capacity as Fiduciary Institution in the Fund
National Infrastructure, informed the Public Credit and International Affairs Unit of Treasury, of the
Undersecretariat of Treasury and Public Credit, both administrative units of this Ministry of
Treasury and Public Credit, the authorization for budgetary availability purposes, in the amount of
$490,000.00 (four hundred ninety thousand pesos 00/100 M.N.), so that that National Credit Society,
in its capacity as Fiduciary Institution, can participate as a minority shareholder of the Majority State Participation Enterprise,
named "Inversión Mixta Piedras Negras", S.A. de C.V., and
That in view of the foregoing, prior agreement of the Person Holder of the Federal Executive, I have had the good
issue the following
RESOLUTION
FIRST. - The constitution of a Majority State Participation Enterprise is authorized, whose
organization and functioning will be that of a Variable Capital Anonymous Society, in terms of the General Law of Mercantile Societies, the Federal Law of Para-State Entities, its Regulation and other applicable legal provisions, which will be grouped in the sector coordinated by this Ministry of
Treasury and Public Credit, through the Public Credit and International Affairs Unit of Treasury.
SECOND. - The social denomination of the Majority State Participation Enterprise will be "Inversión
Mixta Piedras Negras", S.A. de C.V.
THIRD. - The Society will have a primarily public purpose and will act as an entity
promoting, articulating, coordinating and structuring strategic infrastructure projects and
investment mechanisms for national development, connectivity, regional integration, shared prosperity
and social welfare, in accordance with the principles of economic leadership of the State and planning
democratic national development provided for in the Political Constitution of the United Mexican States and
other applicable provisions.
For the fulfillment of this purpose, the Society will have as its purpose to promote, foster, coordinate,
structure, administer, supervise, finance and manage strategic infrastructure projects, priority and
of public interest linked to economic, logistical, commercial, border, customs,
energy, hydraulic, digital, mobility, connectivity and transport development, as well as those related to the
strengthening of national productive capacity, competitiveness, foreign trade, balanced regional development and
development with welfare.
The Society will carry out its activities prioritizing the public interest, the financial sustainability of the
projects, national development and social welfare, above strictly mercantile ends, without that
limit its capacity to generate income, administer resources, recover investments or celebrate the
necessary acts for the fulfillment of its social object.
The Society may participate, implement, structure, develop, administer and consolidate mechanisms,
schemes and specialized investment and financing vehicles for strategic infrastructure projects
and of public interest, including mixed contracts, public, private or mixed investment schemes,
trusts, associations and other modalities referred to in the Law for the Promotion of Investment in
Strategic Infrastructure for Development with Welfare, as well as the mechanisms established in the
other applicable provisions, attending to the nature of the project and to the legal regime of the Society, and
to the schemes provided for in the legislation that corresponds in energy, financial and
infrastructure matters.
For the fulfillment of its object, the Society may act as concessionaire, assignee,
coordinator, administrator, structurer, supervisor or strategic operator of infrastructure projects,
directly or through third parties or various public and private legal figures, as well as participate directly or indirectly in societies, trusts, associations or specialized legal vehicles
linked to such projects, provided that such activities are related to its finality
public and social object.
Likewise, the Society may coordinate, structure, administer, supervise, finance and manage
strategic infrastructure projects and associated services, directly or through third parties, including
roads, national and international bridges, logistics corridors, border infrastructure, platforms
multimodal, supervised facilities, development and welfare hubs, transfer centers, infrastructure
of foreign trade and other projects linked to connectivity, mobility, territorial integration and
national development, including the so-called "Puente Internacional III (Puerto Verde) and Libramiento Norte
of Piedras Negras", located on adjacent premises in Piedras Negras, Coahuila, Mexico and in Eagle Pass
Texas, in the United States of America (the "Puente III").
The Society may obtain, administer, exercise and transmit, in accordance with applicable legislation,
concessions, assignments, permits, authorizations and other legal titles granted by authorities
federal, state, municipal or foreign, related to infrastructure projects and associated services.
Likewise, the Society may carry out contracting procedures in terms of applicable legislation for
the selection or contracting of natural or legal persons, public or private, national or
foreign, for the provision of services, construction, execution of works, financing, administration,
operation, maintenance, conservation, modernization and management of infrastructure and services associated with
the concessions, assignments or projects under its charge, including the celebration of contracts for provision
of services, mixed contracts, associations and other schemes provided for in applicable legislation.
The Society may celebrate the acts, contracts and mechanisms provided for in articles 30 and 31 of the Law
of Roads, Bridges and Federal Auto-transport and other applicable provisions, for the provision,
construction, operation, administration, conservation, maintenance, modernization and management of roads,
bridges and other infrastructure concessioned, directly or through third parties.
In such schemes, the Society will retain at all times the ownership of the concessions,
assignments or rights granted by the State, as well as the leadership, supervision and strategic control of the
projects.
Likewise, the Society may cede, affect, transmit or contribute rights to collect, cash flows, income,
considerations, benefits or assets derived from strategic infrastructure projects to
public or private companies, trusts, fiduciary vehicles, stock market mechanisms or specialized financial schemes linked to financing, sustainability, development and operation of such
projects, in accordance with applicable legislation and retaining at all times the leadership and strategic control
of the State over the respective concessions, assignments and projects.
Likewise, the Society may celebrate all kinds of legal acts, contracts, agreements,
financing mechanisms, fiduciary schemes, guarantees and other operations necessary or
convenient for the fulfillment of its social object, including the contracting of works, services,
supplies, technical assistance, supervision, administration, operation and maintenance of infrastructure,
in accordance with applicable legislation and prior obtaining of the corresponding authorizations when so
required.
The Society may participate in the development, administration, strategic operation, conservation,
maintenance, modernization and management of strategic infrastructure and connectivity projects,
including roads, national and international bridges, logistics corridors, border infrastructure,
multimodal platforms, supervised facilities, development and welfare hubs and other projects linked
with regional development, foreign trade, mobility, territorial integration and shared prosperity,
that are assigned, concessioned, authorized or entrusted to it by the Federal Government.
The Society will ensure that resources, income, residuals and returns derived from its
activities are primarily destined to the fulfillment of its social object, to the strengthening of strategic infrastructure, to the financial sustainability of the projects and to development with welfare,
in accordance with applicable legislation.
The activities of the Society will be carried out in accordance with the principles of economic leadership of the State, financial sustainability, balanced regional development, strengthening of strategic infrastructure,
productive investment, transparency, efficiency, social welfare and shared prosperity provided for in the
Political Constitution of the United Mexican States, the National Development Plan, the National Program
of Development Financing, the Law for the Promotion of Investment in Strategic Infrastructure for the
Development with Welfare and other applicable provisions.
FOURTH.- The social domicile of the Majority State Participation Enterprise will be the
City of
Mexico.
FIFTH.- The social capital of the Majority State Participation Enterprise will be variable. The part
variable of the social capital will be unlimited, and the minimum part, without right of withdrawal, will be $1'000,000.00
(one million pesos 00/100 M.N.) and will be represented by 100 (one hundred) registered shares, whose nominal value
will be $10,000.00 (ten thousand pesos 00/100 M.N.) each.
Based on the above, the initial amount of state participation will be $1'000,000.00 (one million of
pesos 00/100 M.N.), corresponding $510,000.00 (five hundred ten thousand pesos 00/100 M.N.) of origin
budgetary to the Ministry of Treasury and Public Credit and $490,000.00 (four hundred ninety thousand pesos
00/100 M.N.) coming from the assets of the National Infrastructure Fund, as minority shareholder.
The shares representing the social capital will be divided into two series as follows:
a)
Series "G" Shares, which will represent the fixed minimum social capital of the society. Series G shares can only be subscribed by the Federal Government, including its trusts and Para-State Entities of the Federal Public Administration, and
b)
Series "A" Shares, which will represent the variable social capital of the society. The capital in its part
variable will be unlimited, and will be represented by registered shares of Series A, which
may be divided into Classes and will have the characteristics determined by the Shareholders' Meeting
that approves its issuance.
SIXTH. - Regarding its duration, constitution, administration, liquidation and dissolution, the Majority State Participation Enterprise will be subject to the provisions of the Organic Law of the Federal Public Administration, the General Law of Mercantile Societies, the Federal Law of Para-State Entities, the
Regulation of the Federal Law of Para-State Entities and its Articles of Incorporation, as well as to the other applicable provisions.
SEVENTH. - The expenditures generated by the entry into force of this Resolution,
will be charged to the assets of the National Infrastructure Fund, constituted in the National Bank
of Public Works and Services, S.N.C., in its capacity as Fiduciary Institution, as far as the costs of
constitution of the authorized Society.
As for the operating expenses of "Inversión Mixta Piedras Negras", S.A. de C.V., the
same must be covered from private participation in the assets of the Society and from resources
that derive from its own activity.
In such virtue, no additional budgetary resources will be authorized for such purpose in the present fiscal year or subsequent ones.
EIGHTH. - The Public Credit and International Affairs Unit must send to the
Attorney General's Office of the Federation a certified copy of the notarial testimony in which the constitution
of the Majority State Participation Enterprise is stated, named "Inversión Mixta Piedras Negras",
S.A. of
C.V.
NINTH. - The Anti-Corruption and Good Government Secretariat, in accordance with its attributes, will monitor the proper fulfillment of what is established in this resolution.
TRANSITORY
SINGLE. - This Resolution will enter into force the day after its publication in the Official Gazette
of the
Federation.
