RESOLUTION modifying the authorization for the constitution and operation of a financial group controlled by the company named Grupo Financiero Actinver, S.A. de C.V.

Resolution modifying the authorization for the constitution and operation of a financial group controlled by the company named Grupo Financiero Actinver, S.A. de C.V.

The Ministry of Finance and Public Credit, through the Unit of Banking, Securities and Savings, based on the provisions of Articles 31, fraction XXXIV of the Organic Law of the Federal Public Administration and 11 of the Law for the Regulation of Financial Groups, as well as the General Rules of Financial Groups, and in exercise of the powers conferred by Article 27, fraction XXXIII, of the Internal Regulations of the Ministry of Finance and Public Credit, and in attention to the following:

BACKGROUND

Through office 101-084 of March 19, 2010, published in the Official Gazette of the Federation on April 22, 2010, this Ministry authorized Corporación Integradora Actinver, S.A. de C.V. to constitute itself as a controlling society of a financial group, under Article 6 of the Law for the Regulation of Financial Groups, in force until January 10, 2014, under the name "Grupo Financiero Actinver, S.A. de C.V." and the operation of the respective financial group.

Through office UBVA/027A/2011 of May 17, 2011, published in the Official Gazette of the Federation on December 28, 2012, this Ministry, through the Unit of Banking, Securities and Savings, authorized the merger of "Actinver Financial, S.A. de C.V., Investment Company Operating Society, Grupo Financiero Actinver", as the surviving merging entity, with "Actinver Lloyd, S.A., Investment Company Operating Society, Grupo Financiero Actinver", as the merged entity that is extinguished.

Through office UBVA/DGABV/428/2011 of July 5, 2011, this Ministry, through the Unit of Banking, Securities and Savings, approved the modification of Article Seventh of the bylaws of "Grupo Financiero Actinver, S.A. de C.V.", to eliminate the reference to "Actinver Lloyd, S.A., Investment Company Operating Society, Grupo Financiero Actinver", as an entity integrated into said financial group, due to its merger as a merged entity that is extinguished, as well as to contemplate the change of name of "Actinver Financial, S.A. de C.V., Investment Company Operating Society, Grupo Financiero Actinver", to "Operadora Actinver, S.A. de C.V., Investment Company Operating Society, Grupo Financiero Actinver".

Through office 312-2/13796/2015 of April 28, 2015, the National Banking and Securities Commission approved the integral modification of the bylaws of "Operadora Actinver, S.A. de C.V., Investment Company Operating Society, Grupo Financiero Actinver", to contemplate, among others, its change of name to become "Operadora Actinver, S.A. de C.V., Investment Fund Operating Society, Grupo Financiero Actinver".

In accordance with Article Fifty-Two, fraction IV, of the Decree by which various provisions in financial matters are reformed, added to and repealed and the Law for the Regulation of Financial Groups is issued, published in the Official Gazette of the Federation on January 10, 2014, Controlling Societies and Financial Groups that, upon the entry into force of this Law, have authorization to constitute and operate as such under the repealed Law for the Regulation of Financial Groups, shall be deemed authorized under Article 11 of the Law for the Regulation of Financial Groups in force from January 11, 2014.

Through office number UBVA/DGABV/746/2015 of July 31, 2015, this Ministry, through the Unit of Banking, Securities and Savings, prior to the opinion of the Bank of Mexico and the National Banking and Securities Commission, approved, among others, the integral modification of the Bylaws of "Grupo Financiero Actinver, S.A. de C.V.", in the terms agreed by its Extraordinary General Shareholders' Meeting held on June 30, 2014, formalized through Public Deed No. 45,656 of July 27, 2015, granted before the notary of Lic. Héctor Manuel Cárdenas Villarreal, holder of Public Notary No. 201, of the Federal District, acting in substitution and in the protocol of Lic. José Luis Villavicencio Castañeda, Holder of Notary No. 218 of the Federal District, which was carried out in compliance with the Decree by which various provisions in financial matters are reformed, added to and repealed and the Law for the Regulation of Financial Groups is issued, published in the Official Gazette of the Federation on January 10, 2014.

CONSIDERING

1.

That the financial sector must contribute fundamentally to the financing of economic growth in Mexico;

2.

That the National Development Plan 2013-2018 establishes as its general objective "To bring Mexico to its maximum potential", contemplating as one of the five National Goals the so-called "Prosperous Mexico", which has among its objectives "Democratize access to financing for projects with growth potential." In achieving the stated objective, this Administration places emphasis on various Cross-Cutting Strategies and their respective lines of action, among which is "Carry out the necessary reforms to the legal and regulatory framework of the financial system to democratize credit";

That on January 10, 2014, a new Law for the Regulation of Financial Groups was published in the Official Gazette of the Federation, which perfects the regulation applicable to financial groups, by precisely establishing the bases for the organization of Controlling Societies and the constitution and operation of Financial Groups;

That inasmuch as this Ministry approved the integral modification of the bylaws of "Grupo Financiero Actinver, S.A. de C.V.", which was carried out in compliance with Article Fifty-Two, fraction III, of the Decree by which various provisions in financial matters are reformed, added to and repealed and the Law for the Regulation of Financial Groups is issued, published in the Official Gazette of the Federation on January 10, 2014, as well as to contemplate the merger of "Actinver Financial, S.A. de C.V., Investment Company Operating Society, Grupo Financiero Actinver", as the surviving merging entity, with "Actinver Lloyd, S.A., Investment Company Operating Society, Grupo Financiero Actinver", as the merged entity that is extinguished and to contemplate the change of name of said merging entity to "Operadora Actinver, S.A. de C.V., Investment Fund Operating Society, Grupo Financiero Actinver", it is necessary to modify the authorization granted to "Grupo Financiero Actinver, S.A. de C.V." to organize as a controlling society and operate as a financial group;

That the authorization of "Grupo Financiero Actinver, S.A. de C.V.", published in the Official Gazette of the Federation on April 22, 2010, states that its fixed minimum social capital without right of withdrawal amounts to $800,000,000.00 (eight hundred million pesos 00/100 national currency);

6.

That in addition to the above, any increase or decrease in fixed capital implies a statutory modification, which must be approved by this Ministry of Finance and Public Credit, under Article 20 of the Law for the Regulation of Financial Groups;

7.

That in order to promote administrative simplification, it is convenient to suppress Article Fifth of the authorization granted to "Grupo Financiero Actinver, S.A. de C.V.", to eliminate the reference to the amount of its social capital;

8.

That after analyzing the information and documentation presented, and after having determined the appropriateness of this modification, this Ministry of Finance and Public Credit issues the following:

RESOLUTION

SINGLE. The authorization for the constitution and operation of a financial group controlled by the company named "Grupo Financiero Actinver, S.A. de C.V." is fully modified, to read as follows:

FIRST:

In exercise of the power conferred by Article 11 of the Law for the Regulation of Financial Groups, this Ministry authorizes the organization of "Grupo Financiero Actinver, S.A. de C.V." as a Controlling Society and the constitution and operation of the respective financial group.

SECOND:

The name of the Controlling Society of the financial group shall be "Grupo Financiero Actinver, S.A. de C.V.".

THIRD:

The Controlling Society shall have as its purpose to participate, directly or indirectly, in the social capital of the financial entities that are part of the financial group and to establish, through its corporate bodies, the general strategies for the management of the financial group.

FOURTH:

"Grupo Financiero Actinver, S.A. de C.V." shall be the direct or indirect owner of shares representing more than fifty percent of the social capital of the financial entities that are part of the financial group.

FIFTH:

The financial group shall be integrated by the Controlling Society named "Grupo Financiero Actinver, S.A. de C.V.", and by the following financial entities:

1.

Banco Actinver, S.A., Multiple Banking Institution, Grupo Financiero Actinver;

2.

Operadora Actinver, S.A. de C.V., Investment Fund Operating Society, Grupo Financiero Actinver, and

3.

Actinver Casa de Bolsa, S.A. de C.V., Grupo Financiero Actinver.

SIXTH:

The domicile of the Controlling Society shall be Mexico City.

SEVENTH:

The authorization referred to in this Resolution is, by its very nature, non-transferable.

EIGHTH:

The Controlling Society shall be subject to inspection and surveillance by the National Banking and Securities Commission.

NINTH:

In matters not expressly stated in this Resolution, "Grupo Financiero Actinver, S.A. de C.V." shall be subject to the Political Constitution of the United Mexican States, the Law for the Regulation of Financial Groups, the General Rules of Financial Groups, as well as to all other legislation and regulation currently in force applicable to the matter, or that may be issued in the future.

TRANSITIONAL

SINGLE. This Resolution shall be published in the Official Gazette of the Federation at the expense of "Grupo Financiero Actinver, S.A. de C.V."
