RESOLUTION modifying the authorization granted to Grupo Financiero Ve por Más, S.A. de C.V. to organize as a Holding Company in terms of the Law for the Regulation of Financial Groups and the Constitution and Operation of the Corresponding Financial Group.

RESOLUTION MODIFYING THE AUTHORIZATION GRANTED TO "GRUPO FINANCIERO VE POR MÁS, S.A. DE C.V." TO ORGANIZE AS A HOLDING COMPANY IN TERMS OF THE LAW FOR THE REGULATION OF FINANCIAL GROUPS AND THE CONSTITUTION AND OPERATION OF THE CORRESPONDING FINANCIAL GROUP.

The Ministry of Finance and Public Credit, through the Unit of Banking, Securities and Savings, based on the provisions of Article 31, fraction XXXIV of the Organic Law of the Federal Public Administration, Article 11 of the Law for the Regulation of Financial Groups, in exercise of the powers conferred upon it by Article 15, fraction XXXI of the Internal Regulations of the Ministry of Finance and Public Credit, and in view of the following:

BACKGROUND

I.

By Resolution 101.-881 of December 14, 2005, published in the Official Gazette of the Federation on January 3, 2006, this Ministry authorized "Grupo Financiero Ve por Más, S.A. de C.V.", in accordance with the provisions of Article 6 of the Law for the Regulation of Financial Groups, in force until January 10, 2014. The aforementioned authorization was last modified by official letter UBVA/105/2018 dated September 11, 2018, published in the Official Gazette of the Federation on October 18, 2018;

By official letter UBVA/378/2022 dated December 15, 2022, the Unit of Banking, Securities and Savings authorized the separation of "Operadora de Fondos de Inversión Ve por Más, S.A. de C.V., Investment Fund Operating Company, Grupo Financiero Ve por Más", as a financial entity integrated into "Grupo Financiero Ve por Más, S.A. de C.V.", as a consequence of its dissolution and liquidation.

By official letter UBVA/CBV/354/2023 dated July 27, 2023, the Banking and Securities Coordination attached to this Unit of Banking, Securities and Savings, approved, among others, the modification of the bylaws of "Grupo Financiero Ve por Más, S.A. de C.V.", in order to eliminate the reference to "Operadora de Fondos de Inversión Ve por Más, S.A. de C.V., Investment Fund Operating Company, Grupo Financiero Ve por Más", due to its separation from "Grupo Financiero Ve por Más, S.A. de C.V."

By official letter UBVA/CBV/342/2024 dated September 30, 2024, the Banking and Securities Coordination, attached to this Unit of Banking, Securities and Savings, approved the modification of clauses fourteenth bis, fifteenth, seventeenth, eighteenth, twentieth, twenty-third, twenty-sixth, twenty-seventh, twenty-ninth bis 1 and thirty-first bis of the Bylaws of "Grupo Financiero Ve por Más, S.A. de C.V.", in order to provide, among other points, for the holding of board of directors meetings and shareholder assembly meetings through the use of electronic means and to allow shareholder general assembly minutes to be signed through the use of electronic signature.

CONSIDERING

1.

That the Ministry of Finance and Public Credit, through the Unit of Banking, Securities and Savings, in exercise of the power conferred by Article 15, fraction XXXI of the Internal Regulations of this Ministry, is competent to modify the authorization granted to organize as a Holding Company in terms of the Law for the Regulation of Financial Groups and the constitution and operation of the corresponding Financial Group, in accordance with Article 11 of the Law for the Regulation of Financial Groups;

2.

That as a result of the change made in the composition of "Grupo Financiero Ve por Más, S.A. de C.V.", referred to in antecedents II to IV of this resolution, it is necessary to modify the authorization granted to that Financial Group, for the organization of that Holding Company and the constitution and operation of the corresponding Financial Group;

3.

That after analyzing the information and documentation presented, and after having determined the appropriateness of this modification, this Ministry of Finance and Public Credit issues the following:

RESOLUTION

SINGLE.- Article Five of the authorization granted to "Grupo Financiero Ve por Más, S.A. de C.V." to organize as a Holding Company and operate as a financial group is modified, to read in its entirety as follows:

FIRST.-

In exercise of the power conferred by Article 11 of the Law for the Regulation of Financial Groups, this Ministry authorizes the organization of "Grupo Financiero Ve por Más, S.A. de C.V." as a Holding Company and the constitution and operation of the corresponding financial group.

SECOND.-

The name of the Holding Company of the financial group shall be "Grupo Financiero Ve por Más, S.A. de C.V."

THIRD.-

The Holding Company shall have as its object to participate, directly or indirectly, in the share capital of the financial entities integrated into the financial group and to establish, through its corporate bodies, the general strategies for the management of the financial group.

FOURTH.-

"Grupo Financiero Ve por Más, S.A. de C.V." shall be the direct or indirect owner of shares representing more than fifty percent of the share capital of the financial entities integrated into the financial group.

FIFTH.-

The financial group shall be integrated by the Holding Company named "Grupo Financiero Ve por Más, S.A. de C.V." and by the following financial entities:

1.

Banco Ve por Más, S.A., Multiple Banking Institution, Grupo Financiero Ve por Más;

2.

Arrendadora Ve por Más, S.A. de C.V., Multiple Objective Financial Company, Regulated Entity, Grupo Financiero Ve por Más;

3.

Casa de Bolsa Ve por Más, S.A. de C.V., Grupo Financiero Ve por Más, and

4.

Seguros Ve por Más, S.A., Grupo Financiero Ve por Más.

SIXTH.-

The domicile of the Holding Company shall be Mexico City.

SEVENTH.-

The authorization referred to in this Resolution is, by its very nature, non-transferable.

EIGHTH.-

The Holding Company shall be subject to inspection and supervision by the National Banking and Securities Commission.

NINTH.-

In matters not expressly stated in this Resolution, "Grupo Financiero Ve por Más, S.A. de C.V." shall be subject to the Political Constitution of the United Mexican States, to the Law for the Regulation of Financial Groups, to the General Rules of Financial Groups, as well as to all applicable legislation and regulation in force in the matter or that may be issued in the future.

TRANSITIONAL

SINGLE.- This Resolution shall be published in the Official Gazette of the Federation at the expense of "Grupo Financiero Ve por Más, S.A. de C.V."
