Review of Tenure of Executive Management and Non-Executive Directors of Deposit Money Banks in Nigeria

The Central Bank of Nigeria has revised the tenure requirements for Executive Management and Non-Executive Directors of Deposit Money Banks and Financial Holding Companies, effective February 24, 2023. Executive Directors, Deputy Managing Directors, and Managing Directors are limited to a maximum tenure of 10 years, with a cumulative limit of 12 years if a DMD becomes an MD/CEO, or 10 years if an ED becomes a DMD. Non-Executive Directors, excluding Independent Non-Executive Directors, may serve a maximum of 12 years, broken into three four-year terms. Additionally, a 1-year cooling-off period is mandated for exiting Executive Management before becoming a Non-Executive Director, and for exiting Non-Executive Directors before joining another Deposit Money Bank's board, with a cumulative tenure limit of 20 years across the banking industry for all these roles.
