The Superintendent of Banking, Insurance and
Private Pension Fund Administrators
WHEREAS:
That, in accordance with articles 12, 21 and 23 of Law N° 26702, General Law of the Financial System and of the Insurance System and Organic Law of the Superintendence of Banking and Insurance – Law No. 26702, (hereinafter General Law), it corresponds to the Superintendence of Banking, Insurance and Private Pension Fund Administrators (hereinafter, Superintendence) to authorize the organization and functioning of the companies included in said scope; That, in accordance with numeral 2 of article 134 of the General Law, in order to provide adequate protection to the saver and, without prejudice to the other powers conferred by this norm, it corresponds to the Superintendence, among other powers, to supervise that the companies of the financial system are duly organized, as well as administered by suitable personnel; That, through SBS Resolution Nº 211-2021 the Regulation on Authorization of Companies and representatives of the Financial and Insurance Systems (hereinafter, the Regulation) was approved; That it is necessary to optimize authorization procedures, introducing differentiated evaluation schemes according to the risk profile and business model, as well as reducing deadlines, simplifying administrative procedures and incorporating a pre-qualification stage, maintaining adequate prudential standards; That, in accordance with international standards and best practices, oriented to the implementation of a risk-based supervision approach and the principle of proportionality, this Superintendence considers it necessary to issue regulatory norms that develop said standards, ensuring their coherence with the current regulatory framework regarding authorization and supervision; That, through Legislative Decree N° 1531, article 357 of the General Law was modified, expressly incorporating the power of the Superintendence to apply a simplified and proportional supervision approach to risks regarding companies of the financial system not authorized to take deposits from the public, and others that it determines; thus recognizing that the risk profile, business model and impact on the stability of the supervised system constitute relevant criteria to establish differentiated regulatory requirements;

Los Laureles No. 214 - Lima 27 - Peru Tel. : (511)6309000 That, in this sense, it is pertinent to incorporate provisions that allow simplifying the company authorization procedure, through its segmentation based on the risk level of the applicant entities, considering, among other aspects, the nature, complexity, size and scope of the activities to be developed, with the purpose of establishing proportional regulatory requirements, optimize the use of supervision resources and contribute to the adequate functioning, soundness and stability of the financial and insurance systems; That, the provisions referred to in the previous considering imply incorporating into the scope of application of the Regulation on Authorization of Companies and representatives of the Financial and Insurance Systems, the companies of numerals 1,2 and 4 of article 17 of the General Law, that is to say General Deposit Warehouses, Cash Transport, Custody and Administration of Cash Companies and Electronic Money Issuing Companies; That, article 158 of the General Law, establishes that the information corresponding to the Risk Center is available to the companies of the financial and insurance systems, to commercial companies and to any interested party in general, under the conditions established by the Superintendence; given that the companies that have a valid organization certificate and have submitted a functioning authorization request require temporary access to the Consolidated Credit Report to develop and adjust their plans, procedures and operational manuals necessary for the start of their activities, once the corresponding authorization is obtained; That, the information contained in the Consolidated Credit Report is linked to the equity and credit solvency of persons; it being pertinent to enable temporary access to said anonymized information during the processing of the functioning request, subject to the conditions, security measures and other provisions established by the Superintendence, as well as to the obligation to cease access and delete the information obtained when the respective functioning authorization is not granted:
That, in said context, it corresponds to modify SBS Resolution No. 211-2021 to incorporate the standard authorization, authorization for non-deposit-taking companies and special authorization procedures, as well as the Norms for Organization, Functioning and Adaptation to Law Nº 26702 procedures, approved by Circular ETCAN 002-97, the Regulation of General Deposit Warehouses, approved by SBS Resolution N° 040-2002 and the Regulation of Electronic Money Issuing Companies approved by SBS Resolution N°6284-2013; That, for the purpose of collecting the opinions of the general public, the pre-publication of the project was ordered through SBS Resolution N° 01691-2026, under the provisions of the Thirty-Second Final and Complementary Provision of the General Law, as well as of Supreme Decree Nº009-2024-JUS;

RESOLVES:
First Article.- Modify the Regulation on Authorization of Companies and Representatives of the Financial and Insurance Systems, approved by SBS Resolution N° 211-2021, as follows:

1. Modify the First Article of SBS Resolution title of the Regulation, with the following text:
   First Article.- Approve the Regulation on authorization of companies and representatives of the Financial and Insurance Systems and complementary and related services companies of the financial system, which is part of this Resolution:
   "REGULATION ON AUTHORIZATION OF COMPANIES AND REPRESENTATIVES OF THE FINANCIAL AND INSURANCE SYSTEMS AND COMPLEMENTARY AND RELATED SERVICES COMPANIES OF THE FINANCIAL SYSTEM
2. Modify article 1, the denomination of Subchapter I of Chapter II, numeral viii) of literal d) of paragraph 6.2 of article 6, article 7, the heading of article 10, literal c) of paragraph 11.1, paragraph 11.2 and the heading of article 11, paragraph 12.1 of article 12, article 19, paragraph 20.1 of article 20, the heading of article 21 and paragraph 21.1 of article 21, article 22, paragraph 24.1 of article 24, paragraphs 36.3 and 36.4 of article 36, paragraph 50.1. of article 50 and the Sole Final Provision according to the following:
   Article 1.- Scope
   The norms of this Regulation are applicable for the constitution, reorganization and other authorizations of a similar nature, required by the companies referred to in article 16 and numerals 1, 2 and 4 of article 17 of the General Law of the Financial System and of the Insurance System and Organic Law of the Superintendence of Banking and Insurance, Law N° 26702 and its amendments, their subsidiaries, as well as for the establishment of companies of the financial and insurance systems from abroad, hereinafter companies, and of representatives of companies not established in the country. (…) SUBCHAPTER I REQUIREMENTS AND AUTHORIZATION MODALITIES (…)

Article 6.- Information on Shareholders
(…)
6.2 The organizers must present, together with the organization request, the following information of the shareholders of the company in formation and of their beneficial owners:
(…) d) In the case of legal entities

viii. In the case of shareholders or beneficial owners whose consolidated supervision does not correspond to the Superintendence, the organizers must additionally accredit that they have communicated to the supervisor of origin that it will receive a questionnaire from the Superintendence on aspects of consolidated supervision according to the mechanisms and conditions established by the Superintendence, in accordance with what is published on the Institutional Web Portal.
The foregoing in numeral viii. does not apply to credit companies, to the specialized companies referred to in literal B of article 16 nor to the complementary and related services companies referred to in numerals 1, 2 and 4 of article 17 of the General Law.
Article 7.- Information on Economic Group
In case the shareholders belong to an economic group, the organizers must present, together with the organization request, the following information in relation to the economic group to which they belong:
a) Brief review of the background of the economic group, the list of legal persons and/or legal entities that comprise it and their main activities, indicating if they operate under the supervision of a control body. b) Geographic scope where it operates, business volumes and market participation, expansion plans and description of the economic-financial situation of the economic group. c) Diagram showing the composition of the economic group and that includes all legal persons and legal entities or vehicles that comprise it, whether or not of the financial scope, and the relationships between them. d) The list of significant owners of the members of the economic group and their beneficial owners and the number of shares or percentage of participation that they maintain in these. e) The list of beneficial owners of the members of the economic group who are not significant owners. f) Where applicable, the impact of the constitution of the company on the consolidable groups, as well as the projection of equity requirements and the calculation of the effective equity of said groups. The Superintendence may request the list of directors, managers and main officials of the legal persons and/or legal entities that integrate the economic group.

Los Laureles No. 214 - Lima 27 - Peru Tel. : (511)6309000 Credit companies, specialized companies referred to in literal B of article 16 and complementary and related services companies referred to in numerals 1, 2 and 4 of article 17 of the General Law shall only consider the requirements of literals a), c), d) and e).
Article 10.- Submission of the organization request applicable to all authorization modalities

Article 11.- Publication of the organization request applicable to all authorization modalities
11.1 The organizers must publish a notice to inform the public of the following:
(…) c) The right of any interested person so that within a period of ten (10) business days, counted from the date of publication of any of the notices referred to in paragraph 11.2, formulate before the Superintendence any founded objection regarding the organization of the new company or of the persons linked with the company in organization.
11.2 The publication must be carried out two (2) times; the first in the Official Gazette El Peruano within five (5) business days following the notification of the communication of the Superintendence with the notice model. The second publication will be carried out by the Superintendence on its Institutional Web Portal.

Article 12.- Comprehensive evaluation of the organization request
12.1 Upon receipt of complete information, the Superintendence carries out a comprehensive evaluation of the organization request, for which it may convene evaluation meetings with the organizers and those shareholders, directors, managers and main officials that it deems necessary.
Once the pre-qualification period is fulfilled, the periods for the comprehensive evaluation by the Superintendence are the following:
a) Standard authorization modality
It is carried out within a period that will not exceed one hundred twenty (120) days. b) Authorization modality for non-deposit-taking companies It is carried out within a period that will not exceed ninety (90) days. c) Special authorization modality It is carried out within a period that will not exceed seventy (70) days.

Article 19.- Communication to the Central Reserve Bank
In the case of the organization of companies included in incisions A, B and C of article 16 and in numeral 4 of article 17 of the General Law, during the comprehensive evaluation of the organization request provided for in article 12 of this Regulation, the Superintendence, considering the maximum period of the

Los Laureles No. 214 - Lima 27 - Peru Tel. : (511)6309000 comprehensive evaluation, brings to the knowledge of the Central Bank the presented request, so that said entity issues its opinion within a period that will not exceed thirty (30) days of receipt of the communication of the Superintendence.
Article 20.- Resolution and certificate of organization authorization
20.1 Once the comprehensive evaluation is carried out and the opinion of the Central Bank is received or the maximum period for its pronouncement is concluded, as applicable, the Superintendence issues the resolution within the period of the comprehensive evaluation and if affirmative, a certificate of organization authorization is granted, which has a validity period of two (2) years, under penalty of expiration at the end of this period.

Article 21.- Request for functioning authorization applicable to all authorization modalities
21.1 The organizers must present the request for functioning authorization attaching all requirements demanded for the functioning of the company, documentation that must be in accordance with the information presented in the organization stage. The request for functioning authorization must be presented within three hundred sixty (360) days, counted from the granting of the certificate of organization authorization.
The presentation of the request for functioning authorization within the period indicated in the present article does not condition the comprehensive evaluation periods established in article 22, which are computed entirely from the date of presentation of the request, regardless of the moment in which this is presented, within the maximum applicable period. In case the organizers do not comply with presenting the request for functioning authorization in the established period for it, the Superintendence does not modify the period that is required to carry out the comprehensive evaluation of the functioning request, according to article 22 of this Regulation, nor the expiration period of the organization certificate, which could give rise to the termination of the procedure. Article 22.- Comprehensive evaluation of the functioning authorization request
22.1 Once the functioning authorization request is presented, accompanied by the required information, the Superintendence carries out a comprehensive evaluation of the request for which it may convene meetings with the organizers, shareholders, directors, managers and main officials.
The periods for the comprehensive evaluation by the Superintendence for the standard authorization modality and special modality will not exceed one hundred eighty (180) days and for the non-deposit-taking authorization modality will not exceed one hundred twenty (120) days.
22.2 As a result of the evaluation of the file of the functioning authorization request, if applicable, the Superintendence formulates observations and information requirements, requesting correction and/or attention to the organizers.

Los Laureles No. 214 - Lima 27 - Peru Tel. : (511)6309000 The Superintendence may request more information from the company after having received the functioning authorization request, based on: (i) the changes occurred regarding the original organization file and/or (ii) the time that has elapsed between the issuance of the organization authorization certificate and the presentation of the respective request, in case the initial assumptions of the project and/or the economic environment have varied, factors that could affect the risk profile of the company.
22.3 The evaluation of the requirements and the verification of not incurring in the impediments indicated in articles 5, 6 and 8 of this Regulation, is carried out according to the procedure established in articles 13, 14, 15, 16 and 17 of this Regulation.
22.4 In the case of Cash Transport, Custody and Administration of Cash Companies (ETCAN), it is subject to additional verification in the functioning authorization stage, the existence of the corresponding authorization from SUCAMEC according to the applicable regulations regarding the provision of private security services.
Article 24.- Resolution and certificate of functioning authorization
24.1 Once the verifications are carried out within the maximum period of the comprehensive evaluation, the Superintendence issues the corresponding resolution and; if affirmative, grants the certificate of functioning authorization.

Article 36.- Procedure, resolution and certificate of organization authorization of the incorporating company
(…)
36.3 The opinion of the Central Bank is requested as provided in article 19 when applicable, and within the maximum periods established in article 12 of this Regulation, the Superintendence carries out a comprehensive evaluation of the organization request.
36.4 Once the comprehensive evaluation is carried out and within the periods indicated in article 12, as applicable, the Superintendence issues the corresponding resolution, and if affirmative, grants a certificate of organization authorization of the incorporating company.

Article 50.- Start of operations
50.1 The Superintendence will indicate with reasoned justification in the resolution that authorizes the functioning of the company, the period in which the company is obliged to start operations, which cannot exceed the maximum of one (1) year from the granting of the functioning authorization certificate.

FINAL COMPLEMENTARY PROVISIONS
FIRST.- Sworn declaration status of the information

3. Incorporate Articles 9-A, 10-A, 20-A, paragraph 50.4 of article 50 and the second Final Complementary Provision, according to the following:
Article 9-A.- Authorization Modalities
9-A.1 The Superintendence processes the authorization requests for organization and functioning under the following modalities:
a) Standard authorization, applicable to authorization requests of companies that do not qualify for the modalities provided for in literals b) and c) of this article. b) Authorization for non-deposit-taking companies, applicable to authorization requests of companies that do not take deposits from the public and whose operational model presents less complexity. They are the credit companies of numeral 5 of literal A of article 16 of the General Law, the specialized companies of literal B of article 16 of the General Law, and the complementary and related services companies included in numerals 1, 2 and 4 of article 17 of the General Law. c) Special authorization, applicable to authorization requests of:
i) Companies that are part of the conglomerates under consolidated supervision exercised by the Superintendence; or that, with the functioning of the new company would become part of a conglomerate under consolidated supervision of this Superintendence; ii) Companies of the Financial System that will be direct or indirect subsidiaries of first category foreign banks of the list published by the Central Bank; iii) Insurance Companies that will be direct or indirect subsidiaries of the list of Internationally Active Insurance Groups (IAIGs), published by the International Association of Insurance Supervisors (IAIS); and that, in turn, have an international risk classification considered not vulnerable, considering the minimum classifications indicated in paragraph 3.2 of article 3 of the Regulation for the Contracting and Management of Reinsurance and Co-insurance approved by SBS Resolution N° 4706-2017 and its amendments. 9-A.2 In those cases in which characteristics of more than one authorization modality concur, the Superintendence may apply the periods and requirements, based on the risk profile of the applicant. 9-A.3 When an applicant company, from the start of the authorization procedure, intends to carry out operations different or additional to those that correspond to it by the type of company on which they have requested authorization, said intention of expansion of operations may accumulate it, in the request corresponding to the Functioning stage, provided that the applicable regulations to said operations allow it. For this effect, the nature and requirements of the respective procedure must be considered.

Los Laureles Nº 214 - Lima 27 - Peru Tel. : (511)6309000 The Superintendence will evaluate the application for expansion of operations jointly with the application for operating authorization integrating the applicable administrative procedures, adjusting the requirements as appropriate.
9-A.4 In case of accumulation of applications for expansion of operations and operating authorization, the company must attach, together with its application for operating authorization, the pertinent information and documentation that allows evaluating the viability of the additional operations requested.
9-A.5 In addition, the company may accumulate in a single application two or more claims, provided that their joint processing does not affect the corresponding evaluation by the Superintendence. The accumulation may comprise the application for operating authorization together with any other authorization, approval or regulated pronouncement that is necessary for the start or development of the company's operations, in which case the company must include the requirements of the additional procedure that corresponds or others required by the Superintendence. For this effect, the nature and requirements of the respective procedure must be considered. 9-A.6 The Superintendence may request specific information based on the risks, complexity and characteristics of the proposed operations, prioritizing criteria of proportionality, efficiency and timeliness. 9-A.7. The Superintendence may require only the requirements that are applicable according to the nature, level of development and condition of the applicant company, considering that not all requirements of the applicable administrative procedure are enforceable against companies that have not yet started operations. Full compliance with the requirements established for ongoing companies will not be enforceable when these are not pertinent in the operation stage.
Article 10-A.- Prequalification stage
10-A.1 The Superintendence establishes a prequalification stage, prior to the start of the comprehensive evaluation, destined to verify the applicable modality and minimum documentation.
10-A.2 The prequalification stage has a maximum term of fifteen (15) days, counted from the presentation of the application. As a result, the Superintendence continues with the procedure or requires the applicant via official letter the need to adapt or complement their presentation and/or modality presented.
Article 20-A.- Access to the Consolidated Credit Report
The company that has a valid organization certificate, whose business model includes the granting of credits and has presented the application for operation may temporarily access the anonymized information to the Consolidated Credit Report (RCC) of the Superintendence, subject to the conditions, procedures, measures and other provisions that this establishes for its access and use. If upon conclusion of the authorization procedure the Superintendence does not issue an authoritative resolution of operation, the organizer may not continue having access to the RCC,

Los Laureles Nº 214 - Lima 27 - Peru Tel. : (511)6309000 and must delete the information in its possession to which it has had access, under responsibility; being legally responsible for the leakage of any information from the RCC.
Article 50.- Start of operations
50.4 Authorized companies must operate consistently with the business model, the sources of income and the practices declared during the organization and operation stage. Any proposal for substantial change in the business model, the source of income or the operational structure must be justified before the Superintendence within ten (10) business days after its production, without prejudice that if applicable, it must comply with the authorization procedure.
FINAL COMPLEMENTARY PROVISIONS

SECOND.- Contributions to share capital in the organization stage for Companies of Transport, Custody and Cash Management (ETCAN) and General Deposit Warehouses (AGD).
In the case of Companies of Transport, Custody and Cash Management (ETCAN) and General Deposit Warehouses (AGD), the amount of capital with which it is proposed to start operations must indicate the sum that will be paid in cash before starting the verification stage, in accordance with current regulations. Likewise, part of the minimum share capital may be constituted through contributions of assets of a different nature. The Superintendence, in exercise of its attributes, may observe those non-monetary contributions that it considers inadequate, attending, among other criteria, to their nature, valuation, liquidity and to the relationship with the minimum capital required and the volume of real or projected operations.
4. Article 3, literal g) of paragraph 4.1 of Article 4 and paragraph 20.4 of Article 20 are repealed.
Second Article.- Modify Article 4 of the Regulation of Electronic Money Issuers Companies approved by SBS Resolution N° 6284-2013, with the following text:
"Article 4.- Constitution, operation and minimum capital For their constitution and operation, EEDE must comply, as applicable according to their nature and corporate purpose, with the provisions of the Regulation for Authorization of Companies and Representatives of the Financial and Insurance Systems, approved by SBS Resolution N° 211-2021 or norm that replaces it. In addition, they must comply with what is indicated in Articles 17° and 18° of the General Law regarding the minimum capital with which they must count." Third Article.- Repeal the Norms for the procedures of Organization, Operation and Adaptation to Law Nº 26702, approved by Circular ETCAN 002-97.

Fifth Article.- Modify Annex VI of SBS Resolution N° 211-2021, which is published on the Institutional Web Portal (www.sbs.gob.pe).
Sixth Article.- For applications in process the Single Transitory Complementary Provision of the Regulation for Authorization of Companies and representatives of the Financial and Insurance Systems, approved by SBS Resolution N° 211-2021 is applicable.
Seventh Article.- This Resolution enters into force from the day following its publication in the Official Newspaper El Peruano.

ANNEX VI - STANDARD AUTHORIZATION MODALITY
MARKET, FINANCIAL AND MANAGEMENT FEASIBILITY STUDY

1. Executive Summary: Indicate the main aspects of the market, financial and management study.
2. Market Analysis.
   a) General overview:
   i) Analysis of the situation and perspectives on economic policy, the main macro variables and of the financial markets, according to the business model and the scope of the company's operations. ii) General vision of the sector where the company in constitution will operate, including the macroeconomic panorama, the market situation in the geographic scope of operation of the company, the socioeconomic environment, the competitive environment, the opportunities that the company seeks to take advantage of, its sustainability in the long term and also recognize risks and threats that could put its activities at risk. b) Description of the target market Target market:
   i) Profile of the target customer considering qualitative and quantitative aspects of the persons or companies, such as income level, age, gender, occupation, socioeconomic level, size of the productive unit, economic activities, business characteristics, credit experience, etc.
   Products and services:
   i) Detailed description of the main products and services to be offered. Include detail of the size of the operations (range, average amount per client and/or per operation), currency, term, price of the products or costs of the operations for the clients (rates, commissions and other charges), and main contracting conditions with the users according to their profile and the services to be provided. Likewise, identify the main risks to which said products and/or services are exposed. ii) In the case of insurance companies present the products to be marketed indicating the risk to which they would belong according to the nomenclature of the Superintendence and including the respective technical notes even for new products that are not marketed in the local market. iii) When it is a new product or of limited presence in the market, present the results of the market study (field work), as well as an analysis of similar products in the local market or in other countries, and identify the main risks to which the launch of the product is exposed. iv) Specify if an application for additional authorization has been presented in parallel that they must require for the start of their operations (expansion of operations, temporary development of activities through novel models, etc.).

i) Comparative analysis with companies oriented to similar market segments, and/or with similar business model, that operate in the same geographic scope that the proposed company would serve. ii) Analysis of the historical evolution of the operations and of the market share of the competitor companies. iii) Analysis of the similarities and differentiation strategies, in relation to the competition, of the products and/or services according to their attributes in terms of costs, quality of service or other concepts, as well as other positioning strategies in the market. c) Expected market share:
i) Analysis of the current and projected prices for the target market, as well as the competitiveness and sustainability of said prices. ii) Projection of the market size and expected participation of the company in constitution. iii) Identification of the factors that explain the growth of the company's operations, mainly in the first years of activity including macroeconomic perspectives and of the productive sectors, socioeconomic trends, government policies, demographic and socio-environmental factors, among others, and their possible impact on the company.
3. Management Analysis.
a) Strategic Planning i) Objectives of the constitution or transformation of the company from the point of view of the organizers and of the economic group, if applicable. Mission of the company and main goals that it proposes to achieve. ii) General marketing and sales strategy, indicating the differential aspects with respect to the competition and the mechanisms to bring its products and/or services to the target market. Describe the channels and/or platforms for placement, capture and sales, indicating the geographic area and including offices, automatic teller machines, correspondent tellers, electronic channels and other service channels. In the case of companies of the financial system indicate the type of office: agency, branch, special office, shared location, etc. iii) Description of the significant subcontracting planned, specifying if these will be provided by third parties or by the parent company or other companies of the economic group, as appropriate. iv) Specify if an application for additional authorization has been identified in parallel that they must require for any significant subcontracting planned for the start of their operations (for example, internal audit). v) Financing strategy: capture of funds and diversification of financing sources, identifying the sources linked with the company.

i) Organizational and administrative structure, presenting the institutional organogram that details the hierarchical levels and a description of the main functions and reporting lines. Within said structure detail the management of credit, market, liquidity, real estate (if applicable), operational (including business continuity management, legal and fraud risk), money laundering and terrorist financing, and information security and cybersecurity risks; as well as the functions of internal audit, regulatory compliance, market conduct management, customer service and claims management; and the areas responsible for subcontracted functions, model risk management, and consolidation and preparation of consolidated financial information, if applicable. For the case of insurance companies consider additionally: identification of the areas in charge of the actuarial function, the technical risk function, the operational technical areas, as well as the area in charge of reinsurance contracting and management, and the areas in charge of investments (front office), investment risk management (middle office) and registration and control of investments (back office). ii) Estimate the personnel required for the operation of the company for each of the areas of the company indicated in the previous section i). iii) Corporate governance structure, indicating the composition of the board of directors (including the number of independent directors), the main committees, the mechanisms of the management monitoring and control system by the board of directors and of the monitoring system of compliance with the suitability requirements of shareholders, directors, managers and main officials; as well as the role of the internal audit functions, and of regulatory compliance, among others. The proposed structure must guarantee an adequate segregation of functions and avoid potential conflicts of interest from its design. iv) Corporate governance policies, market conduct management, integral risk management, information security and cybersecurity, as well as for the incorporation of partners or shareholders, considering what is provided in current regulations for each case. Likewise, general policies applicable to the main operations and services that the company will provide Take into account the following, in cases that apply:

• Credit risk management:
  In case models are used: Indicate purpose, information limitations and assumptions, as well as the use and scope of the models; and implications in the use of models provided by third parties, if applicable.
  Companies of the financial system:
  General credit policies with guidelines of i) admission, including the adequate measurement of the payment capacity of debtors 1 , the sources of income considered, autonomy levels, among others, ii) monitoring; and, iii) recovery; as well as for the management of over-indebtedness risk, country risk, credit exchange risk, and of higher risk exposures (e.g., refinancing). Likewise, indicators that allow measuring risk appetite levels. Insurance companies:
  If guarantees that guarantee credit obligations (GOC guarantees) and credit insurance will be offered, define policies for credit risk management, policies for the evaluation and monitoring of the contractor, policies related to counter-guarantees (including coverage levels, types of counter-guarantees that will be accepted and guidelines for their valuations).
• Information security and cybersecurity management: Evaluate the dependence on the provider (includes services provided by the parent company when applicable) and if applicable, if guidelines to be considered in contractual agreements have been planned in order to enable modifications and/or updates to computer systems according to business needs.
• Operational risk management: General policies for operational risk management, which must cover, among other aspects: general description of the methodology that contemplates the implementation of a loss event database, the management of risks of significant services provided by third parties, the management of fraud risks and the management of risks in new products and important changes.
• LA/FT risk management: Money laundering and terrorist financing (LA/FT) prevention strategy, specifying if this is based on a risk-based approach or a regulatory compliance approach.
• Consolidated Supervision and Conglomerate Risks:
  Corresponding support (including shareholder pacts or agreements) of the control scheme, in case the control structure of the company in organization, within the economic group to which it will belong, shows joint control scenarios or assignment of powers or cession of control in a natural person or group of natural persons. Evaluation of the application of the Regulation for Consolidated Supervision, according to what is indicated in Article 1° of the cited Regulation, and the formation of any consolidable group or financial group, according to Article 4° of this. If any consolidable group or a financial group is formed indicate: i) the persons that make up the board of directors or equivalent body of the last controlling entity, ii) the list of corporate board committees or other equivalent management units, iii) the statute of the controlling entity of the consolidable group or financial group if applicable.
• Investment management: General policies for integral risk management (considering credit, market, liquidity and real estate risk) and investment policy. Likewise, general policies on ethical conduct and conflicts of interest or other irregularities in investment management, professional conduct standards of the personnel in charge of the investment process and guidelines related to the professional capacity of said personnel. Indicate the tools or systems that will be used for investment management (front office), investment risk management (middle office), and registration and control of investments (back office).
  Additionally for companies of the financial system:
• Market and liquidity risk management: General policies for the management of market and liquidity risks.
  Additionally, for insurance companies:
• Reinsurance: Policies for: (i) the retention and cession of reinsurance, indicating maximum limits per risk; and, (ii) the control of current accounts with reinsurers and co-insurers. Specify the systems that will be used for their management.
• Actuarial: Policies for the management of technical risks. Preliminary versions of the technical notes and methodological documents for the calculation of technical reserves of the insurance products with which it will start to operate 2
  . Specify the systems that will be used for pricing and reserves. c) Infrastructure and service channels i) Description of the infrastructure (proposed scheme) and the information systems that support the main functions according to the business model, specifying the technology and support services that will be provided by linked companies or other third parties, if applicable. Detail the information systems to perform the management of credit, market, liquidity, real estate, operational and money laundering and terrorist financing risks, among others; to support the user service channels; as well as to perform investment and derivatives operations, if applicable. In the case of insurance companies, detail the information systems that will be used for pricing, reserves and reinsurance management. ii) Proposed operational infrastructure, including the general implementation strategy of the service network, as well as, the planned location of the main headquarters, the public service channels, in case offices, agencies, teller machines or alternative channels are foreseen (correspondent tellers, digital platforms, etc.). Describe the security conditions and equipment of the offices. iii) Description of the main and alternate data processing center (including potential locations, providers and description of the planned operation scheme), and the corresponding physical and environmental security measures, required for the operation of the company.

4. Financial Analysis

i) Indicate the amount and origin of share capital with which the company will start operations. ii) Include additional capital contributions planned during the first 3 years following the start of operations or until reaching the break-even point, if greater than 3 years. Specify projected amounts, execution schedule, and source of contributions. If capitalization of profits is considered, the estimated percentage must be specified. iii) Investment budget and financing structure. Detail the structure of the investment budget. Include details of investment in fixed and intangible assets (unit costs, units, among others), considering technological resources, according to what is indicated in literal c) (Infrastructure and service channels) of Section 3 (Management Analysis). Describe the projected financing structure, including additional sources of financing such as bank financing, investors, or others. iv) Opening Statement of Financial Position with details of assets, liabilities, equity, and pre-operating results. v) For the case of merger: amount in intangible assets, detailing goodwill and other amortizable expenses. b) Assumptions and projections of variables: The assumptions of the projections must be clearly specified, detailing at least the following information:
i) Macroeconomic variables: Present the assumptions of the macroeconomic variables relevant to the company's business considering among others: exchange rate, inflation, GDP growth rate of the country, regional GDP, sectoral GDP, etc. ii) Detail the prices of the products and/or services that the company will offer (rates, commissions, and other expenses), as well as the methodology for their determination. iii) Average size of operations, estimated number of operations, number of clients. iv) For companies of the financial system:
a. Projection of the credit portfolio according to debtor credit classification category (normal, with potential problems, deficient, doubtful, and loss) and accounting situation and written-off credits. b. Projection of credit provisions: generic (fixed and countercyclical component), for this assume that the countercyclical rule is activated, specific provisions, and other provisions.
c. Projection of risk-weighted assets, effective equity (detail its composition considering capital levels according to their quality) and the global capital ratio, considering capital requirements for credit, market, operational risks, conservation buffer requirements, by economic cycle (assume that the countercyclical rule is activated), by individual, sectoral and regional concentration risk, by market concentration risk, if applicable, as well as effective equity requirements for additional risks.
d. Composition of the investment portfolio by currency and instrument.

Composition of the investment portfolio by currency and instrument, indicating the economic sector, profitability and risk classification by instrument. vi) Financial expenses: Characteristics and conditions of operations that originate financial expenses, and the flow of expenses by financing source for the projection horizon. vii) Administrative expenses: Detail the main items that make up personnel expenses and third-party services (Ex. insurance to be contracted). Present the detailed payroll of workers (managers, officials, employees, others) for the projection horizon with assumptions on remuneration (number of remunerations per year, benefits, increases, among others). viii) Projected investment in fixed and intangible assets, detailing that destined for technological resources. ix) Policy for allocation of profits: Constitution of reserves, capitalization of profits, distribution of dividends, etc. x) Methodology and assumptions for the calculation of depreciation, amortization, and taxes. c) Projections of Financial Statements and indicators:
i) Projection of the statement of financial position, income statement, cash flow, and break-even point. ii) Projection of financial indicators, including the capital ratio and the surplus or deficit of capital considering the effective equity requirements detailed in point 4.b). For insurance companies, projection of solvency indicators and coverage of technical obligations. iii) Comparative analysis of the financial indicators of the company in constitution with the indicators of the main competitor companies. d) Project viability and sensitivity analysis

Analyze the estimated term to reach the break-even point and the relationship between break-even income and projected income. ii) Evaluation of profitability and financial sustainability of the individual project, including financial indicators for project valuation such as net present value (NPV), internal rate of return (IRR), among others. iii) Sensitivity analysis of financial projections (statement of financial position, income statement, cash flow, financial indicators, NPV and IRR). Evaluate at least three scenarios (base, optimistic and pessimistic) and sensitize key assumptions for the financial performance of the company such as growth and prices of active and passive operations, asset quality, among others. In the case of insurance, sensitize loss ratio and investment profitability. Likewise, present the impact on financial indicators, capital requirements (surplus or deficit) and the variables used to define the viability of the project.
5. Implementation schedule of the business plan of the company in constitution: Present a general plan with the main milestones for the start-up of the company. This schedule must indicate the stages and estimated deadlines to obtain the authorization to operate, contract the necessary resources, complete the installation of the necessary infrastructure and systems, prepare the documents (manuals, procedures), and start operations.
Considerations for the presentation of information a) The feasibility study information is presented in Spanish language and in national currency. b) Updated data must be used and the sources of information used must be cited. c) Annual projections for ten (10) years and monthly for the first year. For the case of insurance companies the annual projections will be at least ten (10) years for general branch companies and fifteen (15) years at minimum for life and mixed branch companies. d) For the formats of the financial statements take as reference the information published in the statistical bulletin of the SBS web portal and consider the accounts established in the accounting regulations established by the Superintendency. e) The document must be presented in files compatible with Word and the financial analysis in files compatible with Excel, incorporating the formulas and links to deduce the logic and the results in the presented files.

ANNEX VI – SPECIAL AUTHORIZATION MODALITY
MARKET, FINANCIAL AND MANAGEMENT FEASIBILITY STUDY

1. Executive Summary: Indicate the main aspects of the market, financial and management study.
2. Market Analysis
   a) General overview:
   i) Analysis of the situation and perspectives on economic policy, the main macro variables and financial markets, according to the business model and the scope of the company's operations. ii) General vision of the sector where the company in constitution will operate, including the macroeconomic panorama, the market situation in the geographic scope of operation of the company, the socioeconomic environment, the competitive environment, the opportunities that the company seeks to take advantage of, its sustainability in the long term and also recognize risks and threats that could put its activities at risk. b) Description of the target market Target market iii) Profile of the target client considering qualitative and quantitative aspects of the persons or companies, such as income level, age, gender, occupation, socioeconomic level, size of the productive unit, economic activities, business characteristics, credit experience, etc. Products and services i) General description of the products and services to be offered, indicating their main characteristics, target audience and their consistency with the proposed business model. Include detail of the size of the operations (range, average amount per client and/or per operation), currency, term, price of the products or costs of the operations for

Competition i) Comparative analysis with companies oriented to similar market segments, and/or with similar business model, that operate in the same geographic scope that the proposed company would serve. ii) Analysis of similarities and differentiation strategies, in relation to the competition, of the products and/or services according to their attributes in terms of costs, service quality or other concepts, as well as other market positioning strategies. c) Expected market share i) Estimation of projected market share, including its main assumptions and factors that will support the growth of the business. ii) Analysis of current and projected prices for the target market, as well as the competitiveness and sustainability of said prices.
3. Management Analysis
a) Strategic Planning i) Objectives of the constitution of the company in the local market, indicating its alignment with the corporate strategy and the role that the company will have within the regional or global strategy of the economic group. Likewise, indicate the main goals to be achieved during the first years of operation. ii) General marketing and sales strategy, indicating the mechanisms to bring its products and/or services to the target market. Describe the channels and/or placement, collection and sales platforms, indicating the geographic zone and including offices, ATMs, correspondent ATMs, electronic channels and other service channels. In the case of companies of the financial system indicate the type of office: agency, special office, shared location, etc. iii) Description of significant planned subcontracting, specifying if these will be provided by third parties or by the parent company or other companies of the economic group, if applicable.

Likewise, specify the support scheme with the group in matters of risk management, and indicate what responsibilities will be centralized or carried out with support from the parent company, and which will be of local responsibility, indicating the areas responsible for the subcontracted functions. In the same way, estimate the number of personnel required for the operation of the company in constitution. For the case of insurance companies consider additionally: identification of the areas in charge of the actuarial function, the technical risk function, the operational technical areas, as well as the area in charge of the contracting and management of reinsurance. ii) Corporate governance structure, including the composition of the board of directors, the main committees, the supervision and control functions, as well as the relationship with the corporate governance of the economic group. iii) General policies applicable to the main operations and services that the company will provide. iv) In companies of the financial system: General credit policies with guidelines for i) admission, including the adequate measurement of the payment capacity of debtors 3, the sources of income support considered and levels of autonomy, ii) monitoring; and, iii) recovery. Likewise, indicators that allow measuring the levels of risk appetite. c) Infrastructure and service channels i) Technological infrastructure that will support the company's operations, including the main systems, integration with systems of the economic group and the technological support that the parent company will provide, if applicable. Indicate the information systems to perform the management of credit, market, liquidity, real estate, operational and money laundering and terrorism financing risks, among others; to support the user service channels; as well as to perform investment and derivatives operations, if applicable. In the case of insurance companies, detail the

For companies of the financial system: projection assumptions of credit portfolio, provisions, risk-weighted assets, effective equity, investment portfolio and liquidity ratio and indicator of global position in foreign currency regarding effective equity. For companies of the insurance system: projection assumptions of policy portfolio, production, loss ratio, residual value, retention index, technical reserves, detailed equity requirement, solvency margin, effective equity and investment portfolio.
c. Projections of Financial Statements and indicators
i) Projection of the statement of financial position, income statement, break-even point, cash flow, capital ratio, and for insurance companies solvency indicators and technical obligations.

1. Executive Summary: Synthesis of the key points of the feasibility study (market, business plan and financial viability), highlighting the most relevant conclusions.
2. Market Analysis
   a) General overview: Brief description of the economic and financial landscape relevant to the company in its scope of operation. b) Description of the target market i) Target market: Define the profile of the customers to be served (age, gender, socioeconomic level, geographic location, economic activities, etc.), as well as their needs and preferences in relation to the products and services to be offered. Include the general conditions of the target market (size, potential demand, price/rate trend) and the specific opportunities that the company seeks to leverage. ii) Products and services: Describe the products and services that the company will provide, indicating their general characteristics: type of product, amounts (range and average) of operation, currency, terms, interest rates or costs for the client (commissions, charges). Ensure that the proposed operations are permitted according to current regulations. iii) Competition: Identify the main competitors and/or companies with a similar business model and their market share, summarizing how the new company will differentiate itself from them (for example, in service focus, unserved niche or conditions offered). Explain the company's growth projections in its first years of operation, justifying the expected market share based on the size of the identified market and the company's competitive advantages.
3. Management Analysis
   a) Strategic planning: Indicate the objectives of the creation or transformation of the company (mission, vision, values) and describe the general strategies to achieve said objectives. This includes how the company will offer its products/services to the market (commercial strategy, distribution channels) and how it will obtain the necessary financing for its operations (sources of funds or leverage). 4 Applies to credit companies, specialized companies referred to in subparagraph B of Article 16 and complementary and connected services companies referred to in items 1, 2 and 4 of Article 17 of the General Law.

In case the company in organization is part of an economic group, identify both the personnel that will be incorporated into its payroll and those who will perform some function being personnel hired by another company of the economic group or related company, specifying the support, the employing entity, the assigned function and if the service will be provided from Peru or abroad. d) Infrastructure and service channels: Briefly describe the infrastructure with which the company will operate. Include the main technological systems or platforms that will support the operations (core, information systems, technological capabilities), as well as the planned location of its administrative offices, main and alternate data processing center, and public service points, in case agencies, ATMs or alternative channels are planned (correspondents, digital platforms, etc.). Include security conditions, equipment and insurance.
4. Financial Analysis
a) Capital and financing: Indicate the amount and origin of share capital with which the company will start operations (specifying how much will be contributed in cash 5 ) and, if applicable, the additional capital contributions planned during the first 3 years of operation or until reaching the break-even point, in case it is greater than 3 years. Describe the initial investment budget considering the resources identified in the previous item (for example, in technology, premises, equipment) and the projected financing structure, including additional sources such as bank financing, investors or others. Include an estimated initial balance sheet showing the company's opening financial situation. 5 For complementary and connected services companies, part of said minimum capital may be constituted with contributions of other assets of a different nature, without prejudice to the fact that this Superintendence may observe, in accordance with its powers, a specific non-monetary contribution if it considers it inadequate, taking into account among other criteria, the relationship between the minimum share capital and the volume of real or projected operations that the company in constitution has.

Include the main expected financial indicators, such as profitability, delinquency (if applicable) and other relevant performance indicators according to the company's business model. For the first year of operations, provide monthly projections. If applicable, you must ensure that the projections reflect compliance with regulatory solvency requirements (example, projected global capital ratio) and confirm that it will be maintained throughout the period. c) Add the detail of the assumptions used in the projections, including at least the following:

• Macroeconomic variables relevant to the company's business, considering the exchange
  rate, inflation, GDP growth rate of the country, regional GDP, sectoral GDP, among others.
• Average size of operations, estimated number of operations, number of clients,
  prices of the products and/or services that the company will offer, financial expenses and allocation of profits. d) Viability of the project and sensitivity: Evaluate the expected profitability and the financial sustainability of the project. Include viability metrics such as the break-even point (at what moment the company begins to obtain net profits), project valuation financial indicators such as the Net Present Value (NPV) or the Internal Rate of Return (IRR) of the investment initial (base scenario). Additionally, perform a sensitivity analysis or alternative pessimistic scenario that shows how the results would vary under conditions less favorable than expected (for example, a scenario with lower growth, or higher delinquency if applicable). This analysis seeks to show that the company could withstand reasonable adverse conditions.

5. Implementation schedule: Present a general plan with the main milestones for the
   startup of the company. This schedule must indicate the stages and estimated deadlines for obtain definitive authorization, hire the necessary resources, complete the installation of the infrastructure and necessary systems, prepare the documents (manuals, procedures), and start operations.
   Considerations for the Presentation of Information:
   a) The information of the feasibility study is presented in Spanish and in national currency. b) Updated data must be used and cite the sources of information used. c) Annual projections for five (5) years and monthly for the first year. The format of presentation of the projected financial statements must correspond to accounting standards approved by the Superintendence; failing that, generally accepted accounting standards will be used. d) For the formats of the financial statements take as reference the information published in the statistical bulletin of the web portal of the SBS and consider the accounts established in the accounting regulations established by the Superintendence. e) The document must be presented in files compatible with Word and the financial analysis in files compatible with Excel, incorporating the formulas and links to deduce the logic and results obtained in the presented files.
