This Act amends the Securities Act [Chapter 24:25] by renaming the regulator to the Securities and Exchange Commission of Zimbabwe and increasing its membership from three to five up to seven to nine commissioners, with specific requirements for professional expertise. It establishes Audit and Licensing Committees within the Commission and introduces strict disclosure obligations for commissioners and staff regarding interests, assets, and conflicts. The legislation grants the Commission authority to dissolve or dismiss boards of registered securities exchanges under defined conditions and mandates annual fees and financial reporting from licensed persons.
