Dear Sir,

Regarding the policy on dividend declaration against shares.

Reference is drawn to your attention to DOS Circular No. 01 issued on March 13, 2025, on the subject cited above.

2. Considering the overall situation of the country's banking sector, protection of depositors' interests, financial strength of banks, and returns to shareholders, a policy on distribution of dividends against shares of banks has been issued through this circular. Paragraph 04 of the circular directs banks to submit a report to the Department of Off-Site Supervision of Bangladesh Bank in accordance with the attached table within 07 (seven) days of dividend declaration.

3. In order to strengthen the banking supervision program and enhance it to international standards, Bangladesh Bank has undertaken a Risk Based Supervision (RBS) implementation program by restructuring all departments related to supervision, which has been informed to you through SPCD Circular No. 03 issued on December 24, 2025.

4. In this context, it is directed that dividend-paying banks submit a report signed by the Managing Director/CEO to the respective Bank Supervision Department and Supervisory Data Management and Analytics Department within 07 (seven) days of dividend declaration, in accordance with the table provided in 'Annexure-A' of the referenced circular at serial number 02.

5. Other instructions of DOS Circular No. 01 issued on March 13, 2025, shall remain in effect.
