The administrative file No. 2025030220, containing the administrative sanctioning procedure initiated by the General Superintendent of Conduct Compliance of the Superintendency of the Securities Market – SMV (hereinafter, the IGCC), against VOLCAN COMPAÑÍA MINERA S.A.A. (hereinafter, the Issuer); as well as Report No. 1349-2025-SMV/11.2 (hereinafter, the Report), issued by the IGCC; CONSIDERING:
I. FUNCTION AND COMPETENCE OF THE SASCM

1. That, the IGCC – the instructing body of the administrative sanctioning procedures (hereinafter, the PAS) referred to in this case – has brought to the knowledge of the Adjunct Superintendency of Market Conduct Supervision of the SMV (hereinafter, SASCM), the PAS of administrative file No. 2025030220, in order for it to issue a decision as the body with single administrative instance jurisdiction in the present PAS. In this way, the SASCM assumes competence in observance of the exercise of the supervisory function and the sanctioning power of the Superintendency of the Securities Market – SMV established by the Unified Concordant Text of its Organic Law, Decree Law No. 26126 (hereinafter, LOSMV), and the Unified Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF-11 (hereinafter, TUO LMV); as well as by what is provided in the Sanctions Regulation, approved by SMV Resolution No. 035-2018-SMV/01 (hereinafter, Sanctions Regulation); and, in articles 42 and 43 of the Organization and Functions Regulation of the Superintendency of the Securities Market – SMV, approved by Supreme Decree No. 216-2011-EF (hereinafter, ROF-SMV), in the sense that it is a specific function of the SASCM to impose sanctions in single administrative instance, whose compliance control corresponds to said Adjunct Superintendency. Likewise; the SASCM has the powers to issue corrective measures aimed at reversing the situation altered by the commission of the infraction;

Likewise; the SASCM has the powers to issue corrective measures aimed at reversing the situation altered by the commission of the infraction;
II. FACTS, CHARGES AND DEFENSES OF THE ISSUER
2.1. Facts
2. That, it was evaluated whether the Issuer complied or not with presenting to the securities market in a timely manner periodic, occasional information and updating its information on the economic group;
2.2. Charges
3. That, as a result of said evaluation, through Letter No. 3858-2025-SMV/11.2 (hereinafter, Letter of Charges), charges were formulated against the Issuer for failing to comply with:
Charge No. 01: Communicate in a belated manner the important event referred to the merger of its subsidiaries (Empresa Administradora Cerro S.A.C. and Óxidos de Pasco S.A.C.). Such merger was agreed upon on September 29, 2023, on which date it should have been communicated; however, it was communicated on October 05, 2023 (File No. 2023042108). Charge No. 02: Communicate in a belated manner the important event referred to the risk classification report issued by Apoyo & Asociados Internacionales Risk Classifier, regarding the common shares of Class A and Class B of Volcan Compañía Minera S.A.A. with a Committee date of November 20, 2023, which should have been communicated as soon as the event occurred or knowledge thereof was obtained; however, it was communicated on January 02, 2024 (File No. 2024000166). Charge No. 03: Communicate in a belated manner the important event referred to the report on the position in financial derivative instruments as of March 31, 2024, which should have been submitted by April 12, 2024 at the latest; however, it was sent on April 23, 2024 (File No. 2024017612). Charge No. 04: Communicate in a belated manner the important event referred to the report on the position in financial derivative instruments as of December 31, 2024, which should have been submitted by January 15, 2025 at the latest; however, it was sent on March 21, 2025 (File No. 2025001818). Charge No. 05: Update in a belated manner its report and diagram of the economic group; considering that through an important event of October 11, 2024 (File No. 2024042511), the transfer of 100% of the shares of its subsidiary HIDROELÉCTRICA HUANCHOR S.A.C. occurred; therefore, the Issuer was obligated to present its report and diagram of the economic group within fifteen (15) calendar days thereafter; that is, until October 28, 2024; however, it was presented on November 27, 2024 (File No. 2024042511). It should be noted that on November 27, 2024, through Letter No. 5382-2024-SMV/11.1 (File No. 2024048879), the General Superintendent of Conduct Supervision requested the Issuer to update its Report and diagram of the Economic Group (GE). Thereafter, on November 27, 2024, in attention to Letter No. 5382-2024-SMV/11.1, the Issuer updated its report and diagram of the Economic Group. Charge No. 06: Present in a belated manner the Annual Individual Audited Financial Statements of the 2024 exercise, approved on March 27, 2025, which should have been presented on the same day of their approval; however, they were presented on March 28, 2025. (File No. 2025013433) Charge No. 07: Present in a belated manner the Annual Report of the 2024 exercise, approved on March 27, 2025, which should have been presented on the same day of its approval; however, it was presented on March 28, 2025 (File No. 2025013433).
2.3. Defenses
4. That, through a document presented on August 07, 2025, the Issuer presented its defenses stating, among other things, the following:
(i) Regarding Charge No. 01, the Issuer accepted that the referred important event was communicated in a belated manner, however, it specifies that the event refers to a merger of two subsidiaries of the Issuer. Therefore, according to the Issuer, the merger of said companies does not generate a significant variation for investors. (ii) Regarding Charges No. 02, 03 and 04; the Issuer accepted that the referred important events were communicated in a belated manner, however, it considers that there was no damage or harm generated to the market by this late presentation and no one was benefited by said presentation. (iii) Regarding Charge No. 05, the Issuer accepted that the economic group diagram was not updated in a timely manner. However, the information regarding the sale of the shares of Hidroeléctrica Huanchor S.A.C. was communicated within the legal deadline. In that sense, according to the Issuer, it is clear that there is no intention to hide this information. (iv) Regarding Charges No. 06 and 07; the Issuer stated that it tried to enter all the Financial Information and the Annual Report with its annexes approved in the Annual Mandatory Shareholders' Meeting; however, there were technical problems in the MVNet and it reported the inconvenience to the SMV Help Desk (atencionSMV@smv.gob.pe) at 18:37 hours on the same day, March 27, 2025, but obtained a response at 18:49 hours indicating that the issue was under review.
5. That, through Supreme Decree No. 004-2019-JUS, the Unified Text of Law No. 27444, General Administrative Procedure Law (hereinafter, TUO of the LPAG), was approved, which contains common rules for the actions of the administrative function of the State and regulates all administrative procedures developed in the entities, including special procedures. Likewise, numeral 3) of article 248 of the TUO of the LPAG, sets forth the criteria regarding the graduation of the sanction: (a) The illicit benefit resulting from the commission of the infraction, (b) The probability of detection of the infraction, (c) The gravity of the damage to the public interest and/or protected legal good, (d) The economic damage caused, (e) Recidivism, for the commission of the same infraction within the term of one (1) year from when the resolution sanctioning the first infraction became final, (f) The circumstances of the commission of the infraction and, (g) The existence or not of intent in the conduct of the infringer;
6. That, the charge, the defenses and the criteria regarding the graduation of the sanction have been the subject of evaluation in the Report, which has been submitted to the knowledge of the SASCM;
7. That, in observance of what is provided by numeral 5 of article 255 of the TUO of the LPAG, through Letter No. 6921-2025-SMV/11 of November 26, 2025, the Report was sent to the Issuer so that it may formulate its allegations within the term of five (5) business days:
8. That, on December 11, 2025, the Issuer formulated its allegations. Regarding this, the Issuer states that it adheres to the conclusions of the Report and that the referred sanctions be liquidated with the corresponding reductions.
III. MATTERS TO BE DETERMINED
9. That, in the present PAS it corresponds to determine the following:
(i) Whether the Issuer incurred or not in the infractions indicated in the Letter of Charges and Report; (ii) Whether it corresponds or not to impose a sanction on the Issuer;
IV. ANALYSIS
4.1. Applicable Normativity
Regarding the communication of important events
10. That, regarding this matter, article 30 of the TUO of the LMV states: "The registration of a certain value or issuance program entails for its issuer the obligation to inform the SMV and, if applicable, to the respective stock exchange or entity responsible for the conduct of the centralized mechanism, of important events, including negotiations in progress, about itself, the value and the offer made of this, as well as to disclose such events in a truthful, sufficient and timely manner. The information must be provided to said institutions and disclosed as soon as the event occurs or the issuer takes knowledge of it, as the case may be." (...)". (Underlining added);
11. That, numeral 9.1 of article 9 of the Regulation of Important Events and Reserved Information, approved by SMV Resolution No. 005-2014-SMV/01 (Regulation of Important Events), states: "The Issuer must inform its important event as soon as such event occurs or the Issuer takes knowledge of it, and in no case beyond the day on which it has occurred or has been known (...)". (Underlining added);

12. That, numeral 5.1 of article 5 of the Regulation of Important Events states the following: "In the Annex that forms part of the present Regulation, an enumerative list of facts, acts, agreements and decisions is included, which aims to facilitate the Issuer in the identification, qualification and classification of information that could qualify as an important event." It should be specified that the reference to Annex corresponds to Annex 1 of said regulation;
13. That, according to numerals 18.1 and 22 of Annex 1 that forms part of the Regulation of Important Events, it is stated that the following constitute important events:
"18.1. Monthly position in financial derivative instruments. In accordance with what is stated in Annex 2."
Likewise, numeral 4 of Annex 2 of the Regulation of Important Events would have been breached, which states the following:
"ANNEX 2
Monthly position in financial derivative instruments (...)
4. The obligated Issuer must send, within ten (10) business days following the close of each month, an important event with the following detail of its derivative instruments updated to the date of the report:
1. Derivative Instrument.
2. Purpose.
3. Notional Amount
4. Asset/Liability or Variable that the derivative hedges.
5. Currency.
6. Fair value of the derivative instrument at the close of the reporting month.
7. Amount of total accumulated gain/loss in the year by financial derivative instruments.
8. Other relevant or explanatory information at the Issuer's discretion.
(...)"
"22. Risk classification reports of the Issuer's securities, as well as their changes, updates or appeals, attaching a copy of the respective classification report."
Regarding the presentation of information on economic group
14. That, article 13 of the TUO of the LMV establishes that: "(...) Legal entities registered in the Registry and issuers of securities registered are obligated to present the information that this law and other general provisions establish, being responsible for the truthfulness of said information."
15. That, regarding the obligation to present Economic Group information, article 8 of the Economic Groups Regulation provides:

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml "Issuers of securities registered in the Registry, legal entities registered therein, and EAFCs are obligated to present to the SMV and when applicable to the entity responsible for a centralized trading mechanism in which said securities are registered, reports on their Economic Group, in accordance with the formats established by the SMV." (Underlining added); Likewise, regarding the responsibility for the presentation of Economic Group information, the aforementioned article adds: "(...) In case there are two or more entities under the competence of the SMV, the aforementioned information shall be presented by the legal entity they designate, which must be communicated to the SMV." (Underlining added);
16. That, regarding the timeliness of the presentation of the information, the second paragraph of article 9 of the Economic Groups Regulation establishes:
"In case any change occurs in the reported information on the economic group, the information must be updated and presented at the same time and jointly with the Annual Report of the obligated subject, unless the change qualifies as an important event or relevant fact, in which case, without prejudice to the respective communication, the obligated subject must update said information within fifteen (15) calendar days following. Such update must be carried out in accordance with the formats indicated in the first paragraph of the previous article and when applicable must also be sent to the entity responsible for the centralized trading mechanism in which the securities are registered." Regarding the presentation of financial information
17. That, article 31 of the TUO of the LMV, which establishes the following:
"Article 31.- Financial Information
The provisions in the previous article do not relieve the issuer of the timely delivery to the SMV and, if applicable, to the respective stock exchange or entity responsible for the conduct of the centralized mechanism, of the information that one or the other requires from it and, necessarily, the following:
a) Its financial statements and indicators, with the minimum information generally indicated by the SMV, with a frequency not greater than quarterly; and, b) Its annual report, with the minimum information generally established by the SMV. (...)". (Underlining added);
18. That, the Issuer would have breached what is provided by article 13 of the Standards on Preparation, Presentation and Dissemination of Financial Statements, Annual Report and Management Report applicable to entities supervised by the Superintendency of the Securities Market, approved by SMV Resolution No. 013-2023-SMV/01 (Standards on Preparation, Presentation and Dissemination of FS), which establishes that issuers with securities registered in the Public Registry of the Securities Market - RPMV must present their annual individual audited financial statements with their corresponding audit report on the day they were approved by the corresponding body, being the deadline for these purposes until March 31 of each year. Likewise, the Issuer would have also breached article 20 of the Standards on Preparation, Presentation and Dissemination of FS, which establishes that the annual report must be presented on the day it was approved by the corresponding body, being the deadline for these purposes until March 31 of each year;
19. That, for the purpose of determining the possible sanction regarding Charges No. 01, 02, 03, 04, 06 and 07; said infractions are typified in paragraph 3.1 numeral 3 of Annex I of the Sanctions Regulation, which states that it constitutes a minor infraction: "Present outside the established deadline, or present it incompletely, or, without observing the technical specifications approved by the SMV or without communicating the approval by the corresponding corporate body, to the SMV, to the Stock Exchange, to the entity in charge of the centralized trading mechanism or to any other entity or subject of the securities market, the individual or consolidated audited financial information, the individual or consolidated interim financial statements, management report, special audit report, important events and, annual reports.".
20. That, likewise, regarding Charge No. 05, said infraction is typified in
"Not present to the SMV or, when applicable, to the entity responsible for a centralized trading mechanism, or not keep updated, the information on its Economic Group, as well as not inform the SMV, the share transfers that imply a change in the unit of decision or control, or any modification of the data recorded in the Public Registry of the Securities Market, in the deadline or form established in the regulations on the matter." (Underlining added);
21. That, according to article 35 of the Sanctions Regulation, these infractions are sanctionable with a reprimand or a fine not less than one (1) UIT and up to twenty-five (25) UIT;
4.2. Evaluation of the case
22. That, in the administrative file No. 2025030220, which contains the documentation of the present PAS, it is appreciated that through Memorandum No. 334-2024-SMV/11.1 of January 19, 2024 (File No. 2024002401), Memorandum No. 5375-2024-SMV/11.1 of December 30, 2024 (File No. 2024051971), Memorandum No. 2252-2024-SMV/11.1 of June 20, 2024 (File No. 2024023808), and Memorandum No. 2435-2025-SMV/11.1 of June 12, 2025 (File No. 2025025945), the General Superintendent of Conduct Supervision (hereinafter, IGSC) – body of the Superintendency of the Securities Market – SMV that has within its functions and powers, the supervision of compliance with the norms applicable to issuer companies with securities registered in the RPMV, evaluating the indications of possible infractions, and sends, for its consideration, the reports of indications of infractions respectively, to the IGCC – sent to the IGCC, the result of its evaluation, and specifically what refers to the present case;
23. That, it must be taken into account that the procedures and legal forms with which the IGSC conducts its inspection and/or supervision activity and upon concluding it with a report of indications of infraction, determine that its pronouncement on a specific topic of supervision – which can even contain a decision, for example, the adoption of corrective measures – is an opinion on the merits of the matter; it must be specified that said opinion and the report of indications of infraction of the IGSC is not binding
