The economic activity is that which is assigned from the origin of the application for the activity that the debtor requests to finance.
For the designation of the categorization linked to the economic activity, the classes of economic activities described in Annex F of the “Technical Standards on the Procedure for Information Collection of the Central Risk System” (NRP-41) will be used, and in the case of Investment Banks, the classes of economic activities described in Annex D of the “Technical Standards on the Information Collection Procedure of the Central Risk System for Investment Banks” (NRP-92), approved by the Central Bank through its Standards Committee. The entity may use as a reference for the AS risk categorization linked to the economic activity, the system of categorization of activities, works, or projects of the Ministry of Environment and Natural Resources. (1)
To incorporate territorial sensitivity, the geographic location of the activity, work, or project will be considered as a minimum, linking it with any reference to protected natural areas, buffer zones, or fragile zones, which the governmental bodies in charge make available to the public.
To incorporate the proportionality variable of the financial operation, the entity may use:
i. The categories of Economic Unit Size or Business Segment, according to what is established in Annex C of the “Technical Standards on the Procedure for Information Collection of the Central Risk System” (NRP-41), and in the case of Investment Banks, Annex E of the “Technical Standards on the Information Collection Procedure of the Central Risk System for Investment Banks” (NRP-92), which facilitates making a differentiation between Micro-enterprise clients and Small and Medium-sized Enterprises (SME), by level of annual sales and number of permanent remunerated workers; or (1)
ii. The amount of credit granted, for which purpose, the entity may define the ranges it considers pertinent.
Both the economic activity element, the territorial sensitivity element, and the proportionality element are mandatory for risk assignment.
For the social evaluation, it must consider as a minimum the elements of labor conditions, negative externalities to the community, and gender issues.
c) AS Risk Categorization Process: The categorization can be implemented through a parametrized scheme or through the use of initial question lists whose responses lead to an AS Risk category, considering for both cases the information inputs established in letter b) of this article.
i. AS Risk Categorization: It must lead to three possible results, as follows:
High Risk Level: Designated for activities, works, or projects that may generate significant, diverse, irreversible, or unprecedented environmental and social impacts in the location of the financed activity;
Medium Risk Level: Designated for activities, works, or projects that may generate limited adverse environmental and social impacts, scarce in number, generally in specific sites in the location of the financed activity, which are mostly reversible and easily addressable through mitigation measures in the case of environmental risks, or addressable through agreements with affected persons in the case of social risks; and
Low Risk Level: Designated for activities, works, or projects that imply minimal and/or non-adverse environmental and social risks and/or impacts, and that are not carried out in protected natural areas, buffer zones, or fragile zones.
d) AS Risk Due Diligence Process: Credit operations categorized as High and Medium Risk must undergo a Due Diligence process, while credit operations categorized as Low Risk do not require additional evaluation processes of their environmental and social performance.
The AS Risk Due Diligence process refers to when the entity applies procedures and formats for collecting additional information related to the environmental and social performance of the activity, work, or project, using information forms and checklists. Due diligence can range from documentary control and questionnaires, to on-site visits combined with an exhaustive evaluation and the performance of analysis by experts in the matter, whose requirements must be defined in the entity's AS Risk Management Policy. For these purposes, the entity must include as a minimum the following inputs:
i. Environmental component: specific information must be requested, including the following:
Presentation of permits or resolutions related to the activity, work, or project issued by the competent authority regarding compliance with environmental legislation and regulations, where applicable; and
Information that allows identifying possible impacts on soil, air, water, biodiversity, and waste management. For these purposes, the entity must include questionnaires with questions it considers pertinent for an evaluation of the environmental implications of the activities, works, or projects, subject to AS Risk evaluation according to the entity's internal policy.
ii. Social component: this component will be oriented to request as a minimum information related to labor conditions, negative externalities to the community, and gender issues. For these purposes, the entity must include questionnaires with questions it considers pertinent for an evaluation of the social implications of the activities, works, or projects, subject to AS Risk evaluation according to the entity's internal policy.
Credit requests with a Medium and High AS Risk category must undergo an additional information review procedure through the Risk Unit or specialized AS Risk area. The procedure must allow evaluating in more detail the environmental and social impact of the activity, work, or project being financed. For this purpose, the procedure may consist of broader documentary control, additional information requirements on the activity being financed, or on-site visits.
The identification of critical points, regarding the social and environmental performance of the activity, work, or project being financed, must be clearly visible in this evaluation phase and categorically reflected in the debtor's file documentation for the final credit granting decision.
e) Decision-Making Process: The environmental and social risk evaluation through the due diligence process can lead to three possible options:
i. That there is no identification of AS Risk, in which case the usual process for rating the credit operation by the corresponding instance must continue;
ii. That the amount of the requested credit will be destined exclusively for the application of corrective or mitigation measures for the identified environmental or social impacts, in which event the entity may continue with the processing of the credit application; and
iii. That AS Risks are identified regarding which the debtor is willing to formalize their commitment to apply corrective measures within a timeframe consistent with the complexity of the management the debtor must perform. If this option is the case, the credit committee or designated instance may accept and formalize the application of such commitment, which will be established in an Action Plan.
For the decision to grant credit, the elements established in this letter must be considered, which must be reflected in the corresponding internal document.
f) Control and Monitoring: The AS Risk categorization methodology must be monitored by the entity, in accordance with the periodicity established in the AS Risk Management Policy, making the corresponding adjustments, which must be duly substantiated.
AS Risk Management Report
Art. 11.- Entities must prepare a report regarding actions taken for the control and evaluation of AS Risk management. The report must contain as a minimum the following:
a) The definition of the strategy used for AS Risk management;
b) The detail of the methodology used for AS Risk management; and
c) The Activity Plan to be developed by the Risk Unit or specialized area, related to AS Risk management, detailed through a schedule.
This report may be part of the “Technical Evaluation Report of Integral Risk Management” contemplated in the “Technical Standards for Integral Risk Management of Financial Entities” (NRP-20) and the “Technical Standards for Integral Risk Management and Information Transparency of Investment Banks” (NRP-93), approved by the Central Bank through its Standards Committee. (1)
Action Plan
Art. 12.- The measures and commitments corresponding to the environmental and social topic agreed with the debtor, referred to by roman numeral iii) of letter e) of article 10 of these Standards, may be recorded in an Action Plan for respective monitoring.
The Action Plan will consist of a detail of corrective measures, execution timeframe or period, and verification methods for the compliance of the measures established to mitigate AS Risks, which must be presented by the debtor for subsequent discussion with the entity. This Action Plan will also contemplate other conditions and requirements established by the entity.
The Action Plan must contain at least the following:
a) Measures to be executed by the debtor, described in the most limited and clear manner possible; and
b) Timeframe or period for compliance and verification of the measures.
Additionally, the entity must perform the following control and monitoring:
a) Verify and evaluate compliance with agreements related to the mitigation of AS Risks established in the Action Plan. This evaluation must be made within the terms provided in said plan and must be registered in the debtor's file for subsequent reports; and
b) In case of non-compliance with what is stipulated in the Action Plan, the entities will be responsible for valuing the actions to be taken.
The AS Risk Management Procedures Manual referred to in article 10 of these Standards must contain the general guidelines that the units involved in the entire credit granting process must follow to comply with this article.
Specific Guidelines by Sector
Art. 13.- Entities may develop specific sector guidelines, which will offer guidance, normally in a brief document, for each sector of the economy (for example, agricultural, livestock, agro-industrial, among others) with the aim of identifying and managing risks and impacts related to these. The content of sector guidelines may contemplate the following:
a) Potential risks;
b) Recommendations for mitigation;
c) References to national legislation; and
d) Best practices within each sector.
